CrowdStrike Acquired Flow Security: Deal Terms, Close Date and Strategic Fit

CrowdStrike acquired Flow Security in March 2024, adding cloud data-runtime security and DSPM capabilities. Here are the closing date, disclosed deal consideration and what filings say about its impact.

CrowdStrike announced its agreement to acquire Flow Security on March 5, 2024, and completed the acquisition on March 26, 2024. The deal added Flow’s cloud data-runtime security and data security posture management (DSPM) capabilities to CrowdStrike’s security portfolio. CrowdStrike disclosed $96.4 million in cash consideration, net of cash acquired, plus $0.5 million in replacement equity awards.

What did CrowdStrike acquire in Flow Security?

Flow Security provided cloud data-runtime security and DSPM capabilities. Its technology was designed to discover, classify and protect data across locations and states, including data at rest and in motion. CrowdStrike’s announcement framed the planned addition as protection spanning cloud and on-premises environments and applications.

DSPM, or data security posture management, helps organizations identify where sensitive data resides and assess how it is exposed or protected. Runtime security adds attention to data as it moves through live cloud workloads and applications, rather than focusing only on static inventories. CrowdStrike said Flow’s capabilities would be brought into its Falcon XDR platform, its extended detection and response offering.

Why did CrowdStrike say Flow mattered?

CrowdStrike’s stated rationale was to address data spread among cloud services, third-party APIs and generative-AI applications. The company argued that separate point products can leave visibility and protection gaps, and presented Flow as a way to discover, classify and protect data across those environments through its platform. That is the company’s strategic rationale; the acquisition announcement does not establish how widely Flow’s technology was later deployed or quantify security outcomes.

In the March 5, 2024 announcement, CEO George Kurtz said: “With the acquisition of Flow Security, we’re expanding our cloud leadership by protecting data in all states as it flows through the cloud, and are redefining the future of data protection by securing data from code, to application, to device and cloud.”

When did the acquisition close, and what did it cost?

How did CrowdStrike account for the purchase?

CrowdStrike’s fiscal 2025 Form 10-K allocated $13.5 million to developed technology, assigned that technology a 72-month useful life, and reported $0.6 million in net tangible liabilities and $84.0 million in goodwill. Goodwill is the residual purchase-accounting amount after allocating value to identifiable assets and liabilities; it is not a separate cash payment to Flow’s owners.

What has CrowdStrike disclosed about the acquisition’s impact?

CrowdStrike’s fiscal 2026 Form 10-K says Flow Security was a leading provider of data-security solutions and that the acquisition did not have a material impact on CrowdStrike’s consolidated financial statements. The filing does not report standalone Flow revenue, customer counts or post-close product-usage figures, so it does not support a more specific assessment of Flow’s commercial contribution.
