SK hynix announced plans to turn Solidigm’s existing corporate entity into a U.S.-based AI-focused business arm, while moving Solidigm’s enterprise SSD operations into a newly formed subsidiary that would retain the Solidigm name. The plan also includes a commitment of up to $10 billion on a capital-call basis—not a statement that the full amount has already been paid or invested. What is SK hynix doing with Solidigm?

In an announcement dated January 28, 2026, SK hynix said it would restructure its California-based enterprise SSD subsidiary, Solidigm. Under the proposed arrangement, the existing Solidigm entity would become an AI-focused business arm, referred to in the announcement as “AI Co.” Its enterprise SSD operations would move to a newly formed subsidiary called Solidigm Inc. So Solidigm is not simply being described as abandoning SSDs to become an AI company. The plan separates the corporate entity intended to pursue AI opportunities from the enterprise storage business that would continue under a Solidigm subsidiary.

Is Solidigm becoming an AI company?

In the proposed structure, the existing Solidigm entity would be repurposed as SK hynix’s AI-focused arm. SK hynix said the U.S. base would put the organization near the AI and data-center ecosystem, and that a more flexible structure could support technical decision-making. Its stated initial focus includes software to optimize AI systems, with the possibility of expanding into the broader AI data-center ecosystem. Those are the company’s goals and intended areas of focus, not evidence of completed investments or delivered products.

SK hynix summarized its intended role this way: “AI Co. will serve as an AI-focused business arm, driving SK hynix’s AI strategy forward.” The statement describes the company’s strategic intent; it does not establish how much business the new arm will conduct or what products it will ultimately offer. What happens to Solidigm SSDs?

Under the announced plan, Solidigm’s SSD operations would transfer to a newly formed subsidiary, Solidigm Inc. SK hynix continues to frame enterprise SSDs as part of its higher-value NAND portfolio. How much is SK hynix investing in its AI business?

SK hynix announced a commitment of $10 billion to AI Co. through a capital-call reserve. In the company’s Q&A, it explained that money would be deployed when requested by the AI company. That means the announced figure is a funding commitment available on a call basis, not confirmation that $10 billion was immediately transferred or spent. Why is SK hynix reorganizing around AI memory?

The Solidigm plan sits within a broader strategy that SK hynix calls a move toward becoming a “full-stack AI memory” creator. At its March 2026 annual meeting, CEO Kwak Noh-Jung linked the company’s 2025 performance partly to a restructured NAND portfolio, including a shift toward higher-value offerings such as enterprise SSDs. SK hynix reported 2025 revenue of 97.1 trillion won and operating profit of 47.2 trillion won; these are company-reported results, and the company attributed performance to multiple factors, including HBM growth, high-value DRAM and NAND portfolio restructuring. The company listed four priorities for 2026:

  • Advance as a full-stack AI memory creator.
  • Maximize production through operational improvement.
  • Build production infrastructure systematically.
  • Broaden the AI ecosystem.

Earlier and parallel organization changes provide context for this direction, but do not demonstrate that the changes have improved results. In December 2024, SK hynix announced five functional C-level areas and a consolidated development executive function for its 2025 organization, with the stated aim of strengthening responsibility and speeding decisions. Has the restructuring been completed?

The available announcements establish what SK hynix said it planned, not that the legal transfer has been completed. The January 28, 2026 release said AI Co.’s formal name would be announced later; the reviewed materials do not provide that name or confirm the transfer of SSD operations to Solidigm Inc. A board-meeting page records approval of an agenda item concerning restructuring overseas subsidiaries, but does not identify that item as the Solidigm transaction, so it cannot confirm completion.
