Yes. Vertiv announced on July 27, 2017, that it would sell ASCO Power Technologies, its automatic-transfer-switch business, to Schneider Electric for $1.25 billion. The transaction closed on October 31, 2017. It was a sale of ASCO—not of Vertiv as a whole.
What Schneider acquired
The asset was ASCO Power Technologies, a business specializing in automatic transfer switches (ATS), equipment used to switch an electrical load between power sources. In settings that depend on continuous power, an ATS can transfer a load from a primary source to a backup source when the primary supply is interrupted. Vertiv described ASCO as a leader in the ATS market in its sale announcement.
The deal concerned ASCO and its transfer-switch business, not all Vertiv products, services or operations. Schneider’s acquisition gave it ownership of the ASCO product line and its related commercial market position, according to the announcement and Vertiv’s later SEC-filed prospectus.

The $1.25 billion announcement figure and the later $1,250.0 million net-proceeds figure are two descriptions of the transaction in different Vertiv disclosures. The prospectus identifies the buyer entity as Schneider Electric USA, Inc. and reports the disposition’s net proceeds; it does not turn the announcement figure into a separate additional payment.

Why Vertiv sold ASCO
Vertiv said the sale would let it direct more resources toward its core data-center, telecommunications, and commercial and industrial markets. The company characterized ASCO’s ATS strengths as outside its increasingly focused digital-critical-infrastructure strategy. In the announcement, Vertiv CEO Rob Johnson called the sale “a significant step forward in our evolution as the premier provider of digital critical infrastructure solutions.”
What the deal means for customers
The transaction transferred the ASCO business to Schneider, but the available transaction disclosures do not establish current ASCO branding, product availability, service arrangements, replacement-parts support or organizational structure after closing. Customers evaluating a particular switch or service should confirm present specifications, support and sales channels directly with the relevant provider rather than infer current terms from the 2017 acquisition.
