Emerson announced on June 30, 2015, that it planned to spin off Emerson Network Power, the company’s data-center and telecommunications infrastructure business. The proposal was part of a broader portfolio restructuring. At the announcement stage, Emerson said the separation would give both businesses a sharper strategic focus; the later separation materials identify Vertiv as the independent company that held the separated Network Power business.
What Emerson announced in June 2015
Emerson’s announcement described a proposed separation of Network Power rather than an immediate sale or completed spin-off. Network Power served data-center and telecommunications infrastructure customers with equipment, software, services and related solutions.
The announcement was made on June 30, 2015. Emerson’s 2015 Form 10-K, filed November 18, 2015, subsequently reported that Network Power represented 19 percent of Emerson’s 2015 sales. That figure is a historical sales mix for Emerson’s 2015 fiscal reporting; it is not a current measure of Vertiv or Emerson.
What Network Power included
The business was broader than a single equipment category. Contemporary descriptions identified the principal activities and products as:
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errors#1 Best Overall
- Versatile and Space-Saving: This 1U Rack mount PDU features a compact design that allows for efficient use of space in standard 19-inch racks. 16 rear-facing plug outlets and three front-facing outlets provide ample connectivity for your devices
- Efficient USB Power: Featuring four USB ports, it enables simultaneous power supply to your favorite devices, ensuring convenience and productivity
- Built-in Circuit Breaker: The PDU is equipped with a built-in 12-Amp circuit breaker that protects against circuit overloads. This ensures reliable performance and helps prevent damage to your equipment
- Heavy-Duty Construction: The power distribution unit is designed with heavy-duty components and a sturdy metal housing for durability and long-lasting use
- Convenient Mounting: The PDU features mounting ears on the back panel for easy installation in a standard 19-inch rack
- Uninterruptible power supplies (UPS): systems designed to provide conditioned and backup power for critical equipment.
- Thermal management: cooling and heat-management products used in data-center environments.
- Data-center services and solutions: services supporting the design, operation and management of critical infrastructure.
- Data-center infrastructure management software: Emerson’s DCIM product was called Trellis.
These offerings explain why the transaction was described as a data-center infrastructure separation even though the business also served telecommunications markets.
Why Emerson proposed the separation
Emerson’s stated rationale was portfolio focus. Management said that separating Emerson and Network Power would allow each company to concentrate on its own markets and make more targeted decisions about resources, employees and capital.

- Rack mount 9-outlet power distribution unit (PDU) designed for standard 19-inch server racks, ideal for data centers, server rooms, and network closets
- Wide spacing for 2 outlets to accommodate larger plugs and adapters, improving cable management and reducing outlet overcrowding
- Individual on/off switches for each outlet, allowing convenient and independent control of connected devices
- 1u PDU includes 2 high-speed USB fast charging ports and 2 type C ports for simultaneous power supply and device charging
- Built-in overloading protection safeguards connected equipment from power surges and overloads, ensuring safe, reliable operation
David Farr, Emerson’s chairman and chief executive officer, said in coverage of the June 2015 announcement: “Emerson and Network Power will each have sharper strategic focus, enabling both companies to better allocate resources, incentivize employees, and allocate capital to capture the significant long-term opportunities in their respective markets.”
That quotation records management’s reasoning for the proposal; it does not establish that the projected benefits were achieved.

What was proposed versus what was completed
| Stage | What the evidence establishes |
|---|---|
| June 30, 2015 announcement | Emerson announced a plan to spin off Network Power as part of portfolio restructuring. It was a proposal at that point. |
| 2015 Form 10-K | Emerson described the intended transaction as a planned tax-free distribution and reported Network Power at 19 percent of 2015 sales. |
| Conditions to separation | The filing listed completion of due diligence, favorable tax opinions, local regulatory approvals, SEC review of the Form 10, and final approval by Emerson’s board, among other transaction requirements. |
| 2016 separation materials | SEC separation materials identified Vertiv as the independent company holding the separated Network Power business. |
The conditions matter because the initial announcement did not by itself complete the separation. A proposed tax-free distribution still depended on tax, regulatory, filing, diligence and board approvals.
How contemporary analysts viewed the plan
A July 2015 trade-press analysis suggested that an independent Network Power might move with greater agility, form partnerships more easily and expand into adjacent markets. Those were possibilities and analyst views reported at the time, not verified post-separation results. They should not be read as evidence that any particular growth rate, partnership or financial outcome occurred.

Where Vertiv fits
“Emerson Network Power” is the appropriate name for the business before separation. The 2016 SEC separation materials identify Vertiv as the independent company that held the separated business. Using the names this way avoids conflating Emerson’s original announcement with the later corporate identity.
In practical terms, the transaction moved a business focused on critical power, cooling, management software and services for data centers and telecom networks out of Emerson’s portfolio and into an independent company. The sources establish the planned separation and the later Vertiv identity, but they do not support a broader claim about Vertiv’s subsequent operating performance.
