Why Sam Altman Returned as OpenAI CEO—and What Microsoft Gained

Sam Altman’s return followed a breakdown in trust, employee pressure and Microsoft’s public support for continuity. The CMA later described Microsoft as influential, not the driver.

Sam Altman returned as OpenAI CEO after five days of boardroom upheaval, employee pressure and Microsoft’s public support for continuity. Microsoft benefited from the settlement, but the available record does not show that it controlled the board’s decision: the UK Competition and Markets Authority later called Microsoft an influential actor, rather than the driver.

What happened at OpenAI in November 2023?

On November 17, 2023, OpenAI’s board announced that Altman would leave as CEO and depart the board. It appointed chief technology officer Mira Murati interim CEO. The board described OpenAI’s nonprofit board as the organization’s overall governing body.

The board’s statement said its review had concluded Altman was “not consistently candid in his communications with the board,” hindering its ability to exercise its responsibilities. It added: “The board no longer has confidence in his ability to continue leading OpenAI.” Those were the board’s stated reasons at the time, not an adjudicated finding.

Five days from removal to agreement

  1. November 17: OpenAI announced Altman’s departure and Murati’s appointment as interim CEO.
  2. November 19–21: Microsoft CEO Satya Nadella reaffirmed the partnership and said Microsoft would work with OpenAI’s new leadership. Microsoft also said it had hired Altman to lead a new AI research lab and offered OpenAI staff the opportunity to join. OpenAI employees and executives organized for Altman’s return; the CMA later reported that a large majority of staff threatened to resign if the board did not reinstate him.
  3. November 21: OpenAI announced an agreement in principle for Altman to return under a new initial board.
  4. November 29: OpenAI formalized Altman’s return as CEO. Murati returned as CTO and co-founder Greg Brockman as president. The initial board comprised Bret Taylor as chair, Larry Summers and Adam D’Angelo.

Why did Sam Altman return as OpenAI CEO?

The reversal followed a crisis of confidence in the board and a mounting risk that the company would lose its leadership and employees. OpenAI’s November 21 announcement of an agreement in principle came after Microsoft offered Altman and staff a route to its new lab and employees pressed for his reinstatement. The November 29 announcement restored Altman and Brockman to leadership and set out a new initial board.

Microsoft welcomed the November 21 board changes. Nadella called them “a first essential step on a path to more stable, well-informed, and effective governance.” OpenAI also announced a plan for Microsoft to have a non-voting observer on the board. That was part of the 2023 settlement announcement; it should not be mistaken for evidence of Microsoft’s current board role.

What did the later review say about why Altman was fired?

OpenAI’s March 2024 summary of an independent review by WilmerHale described the episode as a breakdown in trust between the prior board and Altman. The summary said the firing did not arise from concerns about product safety or security, development pace, company finances, or statements to investors, customers or business partners.

According to OpenAI’s summary, the prior board acted within its broad discretion, but implemented the decision on an abridged timeline without advance notice to key stakeholders or giving Altman an opportunity to address its concerns. The summary also says Altman’s conduct did not mandate removal. OpenAI said the special committee retained WilmerHale to review the November 17 decision and that the firm examined more than 30,000 documents and conducted dozens of interviews. This is OpenAI’s published account of the review, not the full review report.

Did Microsoft control OpenAI’s board or the outcome?

The cited record does not establish that Microsoft directed either the firing or Altman’s return. The UK CMA’s later account says Microsoft was not consulted about the removal and had less than an hour’s notice before it became public. Afterward, Microsoft supported Altman’s return, hired him temporarily and offered OpenAI employees jobs.

The CMA’s conclusion was that Microsoft was “an influential actor, rather than a driver of these events.” Its account also identifies the employees’ petition, Altman, executives and staff as contributors to the pressure for change, and says Microsoft’s input on the new board was not decisive. That distinction matters: Microsoft was a powerful partner with a clear stake in stability, but influence is not the same as control.

What changed in OpenAI’s governance?

The immediate settlement installed a three-person initial board and announced an independent review. OpenAI’s later structure page says the OpenAI Foundation appoints all OpenAI Group directors and may replace them at any time. It also reports that Microsoft held roughly 27% of OpenAI Group as of the recapitalization closing. That ownership figure describes the structure at that closing, not Microsoft’s ownership during the November 2023 crisis; ownership and governance arrangements can change.

The episode’s “win for Microsoft” description is therefore an interpretation of the outcome, not a regulatory finding. Microsoft preserved its OpenAI partnership, saw Altman return to the company, and gained the announced prospect of a non-voting observer position. But the CMA’s account does not support saying Microsoft orchestrated the reversal, and the announced observer role should not be treated as a current one without updated evidence.
