Yotta’s Nasdaq Plan Fell Apart. India’s AI-Compute Boom Still Needs Billions in Capital

Yotta’s proposed Nasdaq SPAC listing ended on January 7, 2026. The company is now pursuing India-first fundraising while expanding GPU and data-center capacity for India’s sovereign AI market.

The original headline is now out of date. Yotta’s parent, Nidar Infrastructure, did propose a Nasdaq listing through a merger with Cartica Acquisition Corp., but the parties terminated that agreement on January 7, 2026. Yotta is now pursuing an India-first IPO strategy while leaving open the possibility of a future U.S. listing. The underlying financing challenge remains: building Indian AI capacity requires billions of dollars for GPUs, data centers, power, cooling, networks and operating capital.

What happened to Yotta’s proposed U.S. listing?

Yotta Data Services is part of the broader Nidar Infrastructure group. Rather than conducting a conventional initial public offering, Nidar planned to combine with Cartica Acquisition Corp., a U.S.-listed special-purpose acquisition company (SPAC). In a SPAC transaction, an existing public shell merges with a private operating business.

Transaction materials said the combined company was expected to trade on Nasdaq under YTTA for ordinary shares and YTTAW for warrants. Earlier filings described an implied enterprise value of about $4.2 billion and approximately $475 million of expected new cash for Yotta’s balance sheet, including proposed PIPE financing. Those were pro forma assumptions, subject to redemptions, financing conditions and closing; they were not completed proceeds or a current market valuation. SEC transaction materials

The decisive update came on January 7, 2026, when Cartica and Nidar terminated the business-combination agreement. The termination filing also records an arrangement under which Nidar agreed to pay Cartica $7 million of expenses over seven monthly installments. SEC Form 8-K Termination agreement

Accordingly, Yotta should not be described as a Nasdaq-listed company, and the proposed tickers should not be treated as evidence that trading began.

The corrected timeline

Why AI infrastructure consumes so much capital

Buying GPUs is only the first cheque. A commercial AI cluster also needs:

  • NVIDIA GPUs, servers and replacement inventory;
  • high-voltage connections, substations and backup systems;
  • liquid or advanced air cooling;
  • high-speed networking, storage and interconnects;
  • data-center shells, security and physical fit-out;
  • orchestration software, monitoring and skilled staff; and
  • working capital while customer utilization builds.

Revenue can grow while cash flow remains pressured. GPUs create substantial depreciation, and expansion is often financed with debt or equity before contracts reach steady utilization. What is driving India’s AI-compute demand?

Government programs

Yotta has participated in the IndiaAI Mission and said it supplied a substantial portion of the program’s procured GPU capacity. Its investor materials describe multi-year contracts involving thousands of GPUs. Investors must distinguish awarded capacity and contracted revenue from installed hardware, operational GPUs, actual utilization and future tenders. Government awards do not guarantee future revenue. Private-sector workloads

Potential customers include technology companies, banks, healthcare providers, telecommunications operators, manufacturers, engineering groups, AI startups, government departments and research institutions. The commercial test is whether private demand can absorb capacity after government-supported deployments are included.

Sovereign-cloud requirements

Indian organizations may prefer locally hosted infrastructure for data-residency expectations, sector regulation, latency, procurement rules and control of sensitive workloads. The global GPU shortage

Customers can rent bare-metal servers, consume managed GPU infrastructure, use a cloud platform or buy complete AI systems. Providers such as Yotta are trying to turn scarce accelerator supply into a service so customers do not have to finance and operate an entire cluster themselves.

What Yotta says it is building

Yotta describes a vertically integrated business spanning Tier III and Tier IV data centers, colocation, hyperscale services, managed cloud, GPU cloud and proprietary orchestration software. Its materials cite NVIDIA Cloud Provider status, partnerships involving NVIDIA and Microsoft, and access to land and power infrastructure through the wider Nidar group. SEC investor presentation

Earlier materials cited approximately 53 MW of live IT capacity and potential capacity exceeding 890 MW. Potential capacity is not operating capacity: construction, permits, grid access, financing, equipment delivery and customer demand all have to arrive on schedule.

GPU and investment targets reported in 2026

  • A plan to invest more than $2 billion in NVIDIA chips for an Indian AI-computing hub, centered on Blackwell-generation systems. Reuters report via Investing.com
  • A reported July fundraising of about $150 million at a valuation near ₹37,000 crore, or roughly $4.4–$4.5 billion depending on the exchange rate used. Business Standard
  • Management targets of more than 40,000 Blackwell GPUs within four months and approximately 85,000 GPUs by the end of the relevant financial year. These are targets, not independently verified operational totals.
  • An announced Gorilla Technology deployment involving about 640 NVIDIA HGX B200 servers and more than 5,000 GPUs. Gorilla said the arrangement could contribute over $500 million in revenue to Gorilla over five years under its stated assumptions; that is not Yotta’s audited revenue. Yotta announcement

Yotta’s October 2025 presentation also described 8,192 H100 GPUs operating, with additional H200 and B200 deployments and management pricing assumptions of about $1.60–$3.30 per GPU-hour for certain contracted capacity. Those figures are presentation assumptions and historical disclosures, not a current public retail price list. Investor presentation

An India-first route may better match Yotta’s assets and relationships and avoid the complexity of the terminated SPAC. A U.S. route could provide broader investor reach, dollar funding and an acquisition currency. Neither route removes the need to prove utilization and cash generation.

How investors should test the AI-infrastructure story

  • Cash actually raised: separate completed funding from a targeted $1.2–$1.5 billion IPO and pre-IPO program. Informist interview
  • Operational capacity: distinguish live GPUs from announced orders, potential megawatts and management targets.
  • Utilization and pricing: an installed GPU earns attractive returns only when rented at profitable rates for enough hours.
  • Unit economics: track power, cooling, networking, storage, support, depreciation and interest, not just GPU-hour revenue.
  • Contract quality: compare contracted revenue with forecasts, and examine duration, renewal terms and customer concentration.
  • Delivery risk: power connections, construction, permits, chip availability and cooling can delay commissioning.
  • Technology risk: newer GPU generations can reduce the economic value of older hardware.

What the financing means for India’s AI-cloud market

Yotta’s changing listing plan does not settle whether its expansion will succeed. It shows that the financing route can change while the capital requirement remains. The company must fund hardware and facilities ahead of demand, then keep those assets busy enough to cover financing and depreciation. India’s government programs, sovereign-cloud preferences and enterprise AI adoption may provide demand, but tender cycles, pricing pressure, hyperscaler competition and internal customer builds remain material risks.

For investors, the key question is therefore not whether Yotta once announced a Nasdaq ticker. It is whether the company can convert capital into commissioned capacity, secure multi-year customers and generate cash returns before the hardware becomes economically obsolete.
