The Story of McAfee: How the Security Giant Arrived at a Second IPO—and Left Public Markets Again

McAfee’s 2020 IPO was a midpoint, not a finale: after Intel ownership and a private-equity spinout, it sold its enterprise business and returned to private ownership.

McAfee’s 2020 IPO was a return to public markets, not the end of its corporate reinvention. After Intel ownership and a private-equity separation, McAfee sold substantially all of its enterprise business in 2021 and was taken private again in 2022. The IPO was one stage in a longer cycle of mergers, spinouts, asset sales and changing owners.

From antivirus startup to recognizable security brand

McAfee Associates was founded in 1987 by John McAfee, at a time when personal computers were creating demand for commercial antivirus software. The company became one of the best-known names in early PC security. John McAfee resigned in 1994; his later personal life is a separate story from the corporate history that followed.

The company’s central strategic challenge emerged early: how to expand beyond antivirus without losing focus. Network security, firewalls, intrusion prevention, compliance, data protection and eventually cloud security offered opportunities to sell more broadly. But each category also brought different products, technical requirements and enterprise buyers.

Why did McAfee become Network Associates, then McAfee again?

The 1997 merger broadened the portfolio

In 1997, McAfee merged with Network General to form Network Associates. The combination gave the company a wider enterprise footprint and reflected a recurring ambition: pair the familiar antivirus business with adjacent security and network technologies. Greater breadth could support cross-selling and vendor consolidation, but it also made the company’s identity and product portfolio harder to explain as acquisitions accumulated.

The 2004 rebrand put the best-known name back in front

Network Associates returned to the McAfee name in 2004. The brand had substantial consumer recognition, an advantage in a market where familiarity could help sell security subscriptions. It also carried a legacy association with antivirus, while the company sought to serve large organizations buying more complex enterprise security products. The name change simplified the corporate identity; it did not by itself solve the challenge of integrating a broad portfolio.

Why did Intel buy McAfee?

Intel agreed in August 2010 to acquire McAfee for approximately $7.68 billion in cash. Intel’s strategic idea was to make security a more integral part of computing hardware and platforms, rather than treating it only as software added on top of a device.

The fit was not self-evident. Intel’s strengths lay in processors, semiconductor design and hardware distribution; McAfee brought security software, threat detection, endpoint management and enterprise relationships. Security has to work across varied hardware, operating systems and increasingly cloud-based services. A capability tied closely to one chip or device ecosystem might not address that heterogeneous environment. Analysts cited in contemporary coverage questioned whether the combination had a coherent commercial rationale; that criticism is an assessment of the strategy, not proof that the acquisition had no value.

What changed during the Intel Security years?

McAfee operated within Intel from roughly 2010 to 2016 and was rebranded Intel Security. The shift placed the business inside a large technology company but weakened the independent McAfee identity. As the market moved beyond traditional signature-based antivirus toward behavioral detection, cloud-delivered services, endpoint detection and response, identity and managed security, observers questioned whether the business was modernizing quickly enough.

That period should not be reduced to a single cause or a simple collapse. McAfee retained a large installed base and important enterprise customers, while the security market and its competitors changed quickly. Former McAfee executives went on to found or join companies including Mandiant, Cylance and CrowdStrike, but their subsequent careers do not establish that Intel ownership caused their departures or McAfee’s competitive challenges.

How did private equity separate McAfee from Intel?

In 2017, Intel spun out McAfee into an independent company with investment funds affiliated with TPG and Thoma Bravo. Contemporary reporting put the transaction’s valuation at approximately $4.2 billion and TPG’s investment at roughly $3.1 billion. Those figures describe the reported spinout context; they are not directly interchangeable with Intel’s 2010 cash acquisition price.

The new ownership structure was more complicated than a conventional sale of a standalone software company. McAfee’s later IPO filings describe public Class A shares alongside continuing LLC interests, sponsor and management ownership, Intel-related rights and tax-receivable arrangements. In practical terms, the IPO would give public investors access to shares without instantly replacing every pre-IPO owner or interest.

Private-equity ownership can provide room to reshape a business, concentrate investment and prepare for a sale or listing. It can also bring leverage, pressure to produce measurable growth and incentives tied to an eventual exit. The subsequent events show that McAfee’s private-equity period was not simply a long-term operating destination.

Could McAfee rebuild a cloud-era security platform?

After the spinout, McAfee tried to modernize its enterprise proposition while drawing on its established endpoint presence. It acquired Skyhigh Networks in 2017 to add cloud access security capabilities, launched the MVISION portfolio in 2019, and acquired NanoSec and Light Point Security. Its stated areas of emphasis included cloud security, endpoint detection and response, managed detection and response, and more integrated security management.

This was a familiar strategic trade-off. A broad platform could appeal to customers seeking fewer vendors and give McAfee opportunities to cross-sell. Yet a collection of endpoint, network, cloud and data-security products is not automatically an integrated platform: the products need to work together, fit buyers’ workflows and keep pace with cloud-native competitors. McAfee was trying to turn its legacy endpoint brand and acquired technologies into a coherent device-to-cloud story; the later sale of its enterprise business changed the outcome of that effort.

What exactly was McAfee’s second IPO?

In October 2020, McAfee returned to Nasdaq as McAfee Corp., trading under the ticker MCFE. The offering totaled 37 million Class A shares at $20 each, or $740 million in gross proceeds. McAfee itself sold 30,982,558 shares; selling stockholders sold another 6,017,442. The distinction matters: the full $740 million was not proceeds paid to McAfee, because a portion came from shares sold by existing holders.

The IPO served more than one purpose. It raised capital for the company and established a public valuation, while also creating liquidity for selling stockholders and a possible path to liquidity for continuing owners. It offered public-market financing flexibility and visibility at a time of strong investor interest in cybersecurity and subscription businesses. It also meant quarterly disclosure, market volatility and continued complexity in the company’s ownership structure.

Calling it a “second IPO” captures the return of a recognizable business to public markets after Intel ownership and the 2017 separation. It should not imply that precisely the same legal entity simply conducted two ordinary IPOs with no intervening changes in ownership, assets or corporate form.

Why did McAfee sell its enterprise business?

In March 2021, McAfee agreed to sell certain enterprise assets and liabilities to a consortium led by Symphony Technology Group (STG) for $4 billion in cash. The deal closed on July 27, 2021. McAfee said its enterprise business had generated approximately $1.3 billion in 2020 revenue and served 86% of Fortune 100 firms; those figures were company claims in its sale announcement, not independent market measurements.

The sale divided a business that had spent years trying to combine consumer security with enterprise products. The enterprise assets went to STG, while McAfee remained focused primarily on consumer online protection. McAfee said it expected to use proceeds to repay approximately $1 billion of debt, cover transaction expenses and distribute much of the remainder. It also announced an expected special dividend of approximately $4.50 per Class A share. The $4 billion sale price, expected dividend and debt repayment describe different parts of the transaction and should not be treated as equivalent measures.

For the public company, the sale offered a simpler consumer-focused identity and substantial cash proceeds. The cost was the loss of enterprise scale and the cross-selling possibilities between consumer and business products. From July 2021 onward, “McAfee” no longer referred to one unified consumer-and-enterprise security vendor: the consumer company and the enterprise business had separated.

Why did McAfee go private again?

In November 2021, McAfee agreed to be acquired by an investor group led by Advent International and Permira, alongside Crosspoint Capital, CPP Investments, GIC and a subsidiary of the Abu Dhabi Investment Authority. The offer was $26 per share in cash and valued McAfee’s equity at approximately $12 billion. The announcement described enterprise value, after debt repayment, as more than $14 billion; equity value and enterprise value measure different things. The $26 offer represented a stated premium of approximately 22.6% to the November 4, 2021 closing price.

The acquisition closed on March 1, 2022, and McAfee ceased trading as a public company. That sequence does not by itself establish that the IPO failed. Public ownership can provide capital, liquidity and a valuation reference, while a later buyer can offer shareholders a premium and take on the next phase of restructuring away from quarterly public-market scrutiny. In McAfee’s case, the intervening enterprise sale also changed what the public company owned.

What McAfee’s ownership cycle reveals about cybersecurity

  • Security breadth has two sides. A portfolio spanning endpoint, network, data, cloud and consumer protection can make a vendor more useful to customers seeking consolidation. It can also produce product overlap, different buying centers and difficult integration work.
  • Legacy recognition is not the same as modern differentiation. A trusted endpoint name helps with awareness and distribution, but markets increasingly reward cloud delivery, behavioral detection and integrated operations rather than brand familiarity alone.
  • Consumer and enterprise security follow different economics. Consumer subscriptions depend on household adoption and retention; enterprise platforms sell into organizational requirements, budgets and technical environments. McAfee’s 2021 separation made that distinction concrete.
  • Ownership changes can be strategic tools. Intel sought a hardware-security connection, private-equity sponsors pursued a newly independent company, public investors bought into the 2020 listing, and a later investor group took the consumer-focused business private. Each transaction changed the company’s perimeter and incentives.

McAfee’s second IPO was a significant return to the public markets, but not a stable endpoint. The company’s longer history is one of repeated attempts to define what the McAfee name should contain: antivirus, a sprawling enterprise portfolio, security within Intel, an independent cloud-and-endpoint vendor, and finally a consumer-focused company. The IPO sits in the middle of that sequence, between a private-equity separation and a major business sale followed by another take-private.
