Eaton no longer merely offers to buy Boyd Thermal: it completed the acquisition on March 12, 2026. The deal was announced at $9.5 billion on November 3, 2025, while Eaton’s post-close accounting recorded approximately $9.55 billion net of cash acquired. Boyd Thermal adds liquid-cooling and broader thermal-management capabilities to Eaton’s electrical infrastructure business, targeting data centers, aerospace and industrial customers.
The deal in brief
Eaton agreed to acquire the Thermal business of Boyd Corporation from Goldman Sachs Asset Management. The transaction covered Boyd Thermal, not all of Boyd Corporation. Boyd’s remaining businesses should not be assumed to have transferred to Eaton.

Eaton initially expected the transaction to close in the second quarter of 2026, but it closed earlier. The original announcement is available in Eaton’s November 2025 release. Eaton announced completion on March 12 in its closing release.
Why liquid cooling matters to Eaton
AI is increasing heat density
AI accelerators and other high-performance chips produce substantially more heat than conventional enterprise-computing systems. From electrical infrastructure to thermal infrastructure
Eaton already supplies electrical distribution, protection, power management and other data-center infrastructure. Boyd Thermal adds thermal components, systems and engineering capabilities. Eaton describes the combined proposition as a broader “grid-to-chip” offering. That phrase is Eaton’s strategic shorthand, not a formal industry standard.
The strategic logic is to give data-center customers one supplier with a wider span of the infrastructure chain: electrical power delivery on one side and chip-, rack- or facility-level heat management on the other. Whether customers actually consolidate purchases will depend on product interoperability, capacity, service and pricing.
What Boyd Thermal brings
Thermal products and engineering
Boyd Thermal was described as a global provider of thermal components, systems and ruggedized solutions. Its markets include data centers, aerospace, industrial applications and other advanced-electronics sectors. The cited deal materials establish liquid-cooling capability, but they do not provide a complete product-by-product catalog. “Liquid cooling” should therefore not be treated as synonymous with immersion cooling; architectures can include direct-to-chip systems, cold plates, coolant distribution equipment, rear-door heat exchangers and facility water loops.

Manufacturing and workforce
At announcement, Eaton described Boyd Thermal as having more than 5,000 employees and manufacturing sites in North America, Asia and Europe. After closing, Eaton described the business as having more than 6,000 employees across those regions. Official materials do not explain whether the difference reflects updated workforce data, transaction-period changes or a different business perimeter.

This is not solely a data-center transaction. Boyd Thermal’s aerospace thermal-management capabilities give Eaton another end-market rationale and reduce the deal’s strategic story to more than AI infrastructure alone.
What Eaton paid and what the valuation means
Announced price versus accounting purchase price
The $9.5 billion figure was the announced transaction value in November 2025. After completion, Eaton recorded approximately $9.55 billion net of cash acquired. Those figures describe different stages and bases of the transaction rather than a contradiction.

A forward, adjusted multiple
Eaton said the announced price represented approximately 22.5 times estimated 2026 adjusted EBITDA. This is a forward-looking adjusted-earnings reference, not a trailing GAAP EBITDA multiple based on historical reported results. The valuation assumes that the forecast EBITDA is achieved.
A buyer may pay such a premium for expected AI-related growth, scarce liquid-cooling engineering capacity, customer relationships, intellectual property and a global manufacturing footprint. The strategic value to Eaton can also exceed Boyd Thermal’s standalone financial value if Eaton successfully cross-sells electrical and thermal systems. Conversely, a high forward multiple leaves less room for slower growth, margin pressure or integration mistakes.
Expected earnings effect
Eaton said Boyd Thermal was expected to be accretive to adjusted earnings in the second year after closing. That is management guidance, not a completed result or guarantee. Investors will need a full year of consolidated results to judge the outcome.

Early financial evidence after closing
Eaton’s first-quarter 2026 filing included Boyd Thermal only from the March 12 closing through March 31:
- Sales: $92 million for the post-close period.
- Segment operating profit: $24 million for the same period.
- Preliminary acquired intangible assets: approximately $798 million, including customer relationships, technology and backlog.
These figures cover only part of one quarter and should not be presented as a full-quarter or annual run rate. The purchase-accounting amounts were preliminary and could change during the measurement period. Eaton reported the business in Electrical Global in its March 31, 2026 filing; the purchase-price detail appears in its acquisition exhibit and the intangible-asset schedule is in the filing’s R8 section.
How investors should assess the deal
Potential strategic upside
- Direct exposure to liquid cooling rather than data-center power infrastructure alone.
- Opportunity to sell more integrated packages to hyperscale, colocation and other data-center operators.
- Greater participation in AI-related capital spending if high-density deployments continue to expand.
- Additional thermal-management expertise for aerospace and industrial applications.
- Potential cross-selling between Eaton’s customer base and Boyd Thermal’s relationships.
Principal risks
- Valuation: 22.5 times estimated 2026 adjusted EBITDA requires strong execution.
- AI-cycle risk: A slowdown in AI data-center construction could reduce expected liquid-cooling growth.
- Integration: Combining a specialized engineering business with a larger industrial company could affect retention, product development or customer service.
- Technology change: Cooling architectures are evolving, so today’s attractive product mix may not remain dominant.
- Customer concentration: Large hyperscale and infrastructure buyers can exert pricing and contract leverage.

- Updated purchase-accounting figures and goodwill.
- Progress toward Eaton’s second-year adjusted-earnings accretion target.
What data-center buyers should evaluate
Customers considering Eaton’s expanded portfolio should ask practical questions rather than assume that a larger supplier automatically removes risk:

- How do Boyd Thermal systems interoperate with existing electrical, controls and facility-water infrastructure?
- What manufacturing capacity, lead times and regional service coverage are available?
- Can customers procure an integrated package without becoming dependent on a single source?
- How are warranties, monitoring, maintenance and lifecycle upgrades coordinated across the combined systems?
Bottom line for the headline
The headline “Eaton Offers $9.5B To Buy Data Center Cooling-Focused Boyd Thermal” describes the November 2025 announcement but is stale as a current status update. Eaton completed the purchase on March 12, 2026, for approximately $9.55 billion net of cash acquired. The acquisition gives Eaton a credible thermal-management and liquid-cooling position alongside its electrical infrastructure business. Its success now depends on sustained demand, effective integration and converting that broader “grid-to-chip” pitch into profitable, repeatable customer deployments.
