Netflix Is Not Buying Warner Bros. for $83 Billion: What Happened to the Deal?

Netflix’s $82.7 billion Warner Bros. agreement was real, but the company abandoned it on February 26, 2026, after Paramount Skydance submitted a superior proposal.

The headline was based on a real agreement, but it is no longer current. Netflix and Warner Bros. Discovery announced a proposed acquisition on December 5, 2025. Netflix withdrew on February 26, 2026, after declining to match Paramount Skydance’s improved offer. As of August 18, 2026, Netflix does not own Warner Bros., HBO or HBO Max under this transaction.

What Netflix actually agreed to buy

The original agreement was not a purchase of every Warner Bros. Discovery business. Netflix proposed acquiring Warner Bros.’ film studios, television studios, HBO and HBO Max. Warner Bros. Discovery planned to separate its Global Networks business, including linear television assets, into a new publicly traded company called Discovery Global before the Netflix transaction could close.

The announcement therefore described a transaction for the Warner Bros. studios-and-streaming business after that planned separation. It was a signed definitive merger agreement, not merely reported interest, but it remained subject to regulatory review, shareholder approval, the separation, financing and other closing conditions.

Netflix and Warner Bros. Discovery described the combination as a way to bring Warner Bros. and HBO libraries and franchises—including The Sopranos, Game of Thrones, Harry Potter, the DC Universe, Friends and The Big Bang Theory—onto Netflix’s global distribution platform. Those were proposed benefits, not changes that occurred.

Netflix’s announcement contains the companies’ description of the proposed scope and expected benefits.

Why the deal was called an $83 billion acquisition

The commonly repeated $83 billion figure is a rounded version of the announced approximately $82.7 billion enterprise value. The same announcement gave an approximately $72.0 billion equity value. Enterprise value generally includes the equity value plus debt and related transaction adjustments, so it is not the amount of cash paid directly to shareholders.

It is inaccurate to say Netflix paid $83 billion in cash. The original structure combined cash and Netflix stock and included a collar. On January 20, 2026, the companies amended the agreement to an all-cash structure while retaining the stated per-share value. Because Netflix later withdrew, neither structure was completed.

How the Netflix-Warner Bros. deal ended

  1. December 5, 2025: Netflix and Warner Bros. Discovery announce the definitive agreement, with an enterprise value of approximately $82.7 billion.
  2. December 2025–January 2026: Paramount Skydance makes competing proposals while Warner Bros. Discovery continues recommending the Netflix transaction at that stage.
  3. January 20, 2026: Netflix and WBD amend the transaction from a cash-and-stock structure to an all-cash deal.
  4. February 24, 2026: WBD’s board says Paramount’s revised proposal could reasonably be expected to become a superior proposal under the Netflix merger agreement. Paramount’s revised terms included $31 per WBD share in cash and provisions addressing the termination fee and regulatory risk. Read WBD’s announcement.
  5. February 26, 2026: Netflix announces that it will not raise its offer to match Paramount’s proposal. Netflix says the price required to match was no longer financially attractive. Its withdrawal announcement makes this the key date for the deal’s abandonment.

Did Netflix ever own Warner Bros. or HBO?

No. The transaction never reached closing, so Netflix did not become the owner of Warner Bros., HBO or HBO Max through this agreement. The accurate descriptions are “Netflix agreed to acquire,” “Netflix proposed buying” or “Netflix previously bid for,” depending on the date being discussed.

What the failed deal means for viewers

There was no automatic move of HBO Max or Warner Bros. programming to Netflix. Even a completed acquisition would not necessarily have transferred every title immediately: existing licensing contracts, regional rights and other distribution arrangements could have remained in place. The companies’ statements about maintaining Warner Bros.’ operations and theatrical releases were proposals, not guarantees.

Because Netflix withdrew, viewers should not expect this transaction to add HBO Max’s catalog to Netflix. Availability continues to depend on the separate services and on country-specific rights.

What happened after Netflix withdrew?

Paramount Skydance became the proposed successor buyer, but that transaction was not complete in the latest cited reporting. The proposed Paramount acquisition remained subject to litigation brought by multiple states. A federal judge ordered a pause of at least two weeks while the challenge proceeded, and Paramount later agreed not to close until the litigation was resolved or June 1, 2027.

Accordingly, “Paramount owns Warner Bros.” is also not a safe current statement based on the available reporting. The careful wording is that Paramount Skydance proposed to acquire Warner Bros. Discovery and the transaction remained unresolved.

How to read the original headline accurately

  • Historically accurate: Netflix and WBD did sign an agreement announced on December 5, 2025.
  • Numerically accurate: The agreement carried approximately $82.7 billion of enterprise value, often rounded to $83 billion, alongside approximately $72 billion of equity value.
  • Currently misleading: “Netflix is buying Warner Bros.” implies an active transaction after Netflix abandoned it on February 26, 2026.
  • Incorrect: “Netflix paid $83 billion,” “Netflix bought HBO” or “Netflix owns Warner Bros.”
