What OpenAI and Microsoft’s Partnership Deal Actually Changed

OpenAI and Microsoft’s September 2025 MOU was not a final settlement. Later agreements preserved major ties while reducing exclusivity and giving OpenAI more cloud flexibility.

The September 11, 2025 announcement that OpenAI and Microsoft had reached preliminary terms was a non-binding memorandum of understanding, not a completed contract. The companies later signed a definitive agreement in October 2025 and amended it on April 27, 2026. The relationship did not end: it shifted toward greater flexibility for OpenAI while preserving significant Microsoft investment, cloud, licensing, and revenue ties.

What the September 2025 announcement did—and did not—say

On September 11, 2025, OpenAI and Microsoft said they had signed a non-binding MOU covering the next phase of their partnership and were working toward definitive contractual terms. The announcement established that the companies had a preliminary framework and intended to continue collaborating; it did not publish the final terms. OpenAI and Microsoft’s joint statement did not disclose a revised revenue-sharing formula, final ownership percentages, detailed AGI-trigger provisions, or precise cloud-exclusivity terms.

“Non-binding” did not mean the announcement was irrelevant: it signaled that negotiations had reached a framework. But it was not accurate to treat the MOU as a completed restructuring deal or a full settlement of the companies’ contractual relationship. The definitive agreement announced on October 28, 2025, and the April 2026 amendment are the later milestones that clarify how the relationship changed.

Why reports described tension between the companies

Contemporary coverage reported friction, but reports of strain should not be confused with a confirmed breakup or a specific contractual change. The companies had different needs and incentives. OpenAI sought capital and more compute and infrastructure options; Microsoft sought durable access to OpenAI technology, commercial returns, and protection for its investment.

Several issues made the relationship consequential:

  • OpenAI was pursuing infrastructure and partnerships beyond Microsoft, while Microsoft was working to reduce reliance on one model supplier and was reported to have explored rival models for some products.
  • OpenAI’s proposed corporate restructuring raised questions about control, ownership, and the treatment of Microsoft’s investment.
  • The agreement’s AGI-related provisions mattered because they could affect Microsoft’s access to technology if OpenAI declared that it had achieved artificial general intelligence.

These are reported strategic pressures, not proof that either company had decided to end the partnership. A contemporary account of the preliminary agreement and reported strain appeared in TechTimes’ September 12, 2025 coverage.

How OpenAI’s nonprofit and public-benefit structure fit in

OpenAI began with a nonprofit structure and proposed creating a for-profit public benefit corporation (PBC) while keeping the nonprofit parent in control. The nonprofit was expected to receive an equity stake worth more than $100 billion. In OpenAI’s statement on the nonprofit and PBC, the company described a structure intended to support large-scale fundraising while retaining a mission-oriented governance role.

That proposal did not mean the nonprofit would disappear or automatically lose control. It also made the restructuring more than a routine commercial contract: governance, regulatory work, valuation, and the division of economic interests mattered to the parties and potential investors. The stated value of the nonprofit’s proposed stake was not a final ownership percentage for every stakeholder.

What the October 2025 definitive agreement added

On October 28, 2025, OpenAI announced a definitive agreement that turned the preliminary framework into a disclosed set of terms. The company described Microsoft’s investment as valued at approximately $135 billion, or roughly 27% on an as-converted diluted basis, inclusive of all owners. That is the agreement’s stated investment valuation and ownership basis—not a $135 billion purchase price for OpenAI. The announced provisions also addressed model rights, cloud commitments, AGI verification, and work with other partners. OpenAI’s announcement of the definitive agreement is the source for these terms.

Area Terms announced October 28, 2025
Microsoft investment Valued at approximately $135 billion; described as roughly 27% on an as-converted diluted basis, inclusive of all owners.
Frontier-model relationship Microsoft remained OpenAI’s frontier-model partner.
AGI determination An independent expert panel would verify an AGI declaration under the announced structure.
Model and product IP Microsoft retained exclusive IP rights and Azure API exclusivity until AGI under the announced structure. Its model and product IP rights extended through 2032 and included post-AGI models subject to safety guardrails. Research-IP rights were subject to separate timing and AGI provisions.
Other partners and products OpenAI could jointly develop some products with third parties and use other cloud providers for some non-API products. It could also release qualifying open-weight models.
Microsoft’s options Microsoft could pursue AGI independently or with third parties.
Azure services OpenAI committed to purchase an additional $250 billion of Azure services. Microsoft lost its right of first refusal to be OpenAI’s compute provider.
U.S. government national-security API access OpenAI could provide API access to these customers regardless of cloud provider.

The arrangement distinguished Microsoft’s roles: it was an investor, a cloud provider, an IP licensee, and a strategic distribution and enterprise partner. Those interests were related but not interchangeable. For example, a substantial equity interest did not by itself establish cloud exclusivity, and a cloud commitment did not define Microsoft’s IP rights.

What changed in the April 2026 amendment

On April 27, 2026, OpenAI announced another amendment. Microsoft remained OpenAI’s primary cloud partner, but OpenAI could serve its products across any cloud provider. OpenAI products would ship first on Azure unless Microsoft could not or chose not to support the required capabilities. “Primary” therefore did not mean exclusive. OpenAI’s April 2026 announcement describes the amended terms.

  • IP licensing: Microsoft retained a license to OpenAI model and product IP through 2032, but the license became non-exclusive. Microsoft kept licensed rights; OpenAI gained the ability to license or use the relevant IP beyond an exclusive arrangement.
  • Revenue sharing: Microsoft would no longer pay a revenue share to OpenAI. OpenAI’s payments to Microsoft would continue through 2030 at the same percentage, subject to a total cap. The announcement did not disclose the cap amount.
  • Continuing ties: Microsoft remained a major shareholder and primary cloud partner, alongside its continuing license and the other economic ties described in the agreement.

The practical direction was toward a less exclusive relationship, not an absence of partnership. The public announcement does not reproduce every contractual detail, so product-level implementation and the precise financial effect of the cap cannot be determined from the disclosed summary alone.

What the changes mean for Azure customers and developers

Azure customers

Azure remains central to OpenAI’s infrastructure and enterprise distribution. Customers already using Azure may value familiar procurement, security, governance, and integrations. The later amendment gives OpenAI more ability to serve products across other clouds, but the phrase “primary cloud partner” alone does not establish that every workload or product is available on every cloud.

OpenAI API customers

Hosting and availability depend on the product and the applicable terms—not simply on whether OpenAI can use other cloud providers. On February 27, 2026, OpenAI said Azure remained the exclusive cloud provider for stateless OpenAI APIs under the then-described arrangement, while OpenAI could commit additional compute elsewhere. That statement predates the April 27 amendment and should be read as a dated description, not a complete statement of the amended arrangement. The later announcement says OpenAI can serve all products across any cloud, but does not set out every API-specific operational rule. Enterprise buyers

For a buyer, the useful comparison is between the service and contract that meet a workload’s requirements, not a simple choice between “OpenAI” and “Microsoft.” Evaluate:

  • whether the need is direct OpenAI API access, an Azure-hosted service, or a first-party OpenAI product;
  • governance, data-residency, regional-capacity, security, and support requirements;
  • model availability and whether the workload depends on a particular product or API;
  • procurement preferences, portability, and the consequences of relying on one provider.

The partnership announcements do not establish that one route is cheaper, technically superior, or available in every region. Buyers should confirm current service terms and availability with the relevant provider.

What each company gained—and what it still depends on

Microsoft

Microsoft retained an investment, a license to OpenAI model and product IP through 2032, Azure demand, and a continuing role as OpenAI’s primary cloud and frontier-model partner. The revised arrangement also left Microsoft room to pursue AGI independently or with other companies and removed its right of first refusal over OpenAI’s compute provider. The trade-off is less exclusivity and greater exposure to OpenAI’s growth, valuation, governance, and the practical boundaries between shared and independently developed technology.

OpenAI

OpenAI gained more room to work with other cloud providers and partners, while maintaining access to Microsoft capital, infrastructure, and enterprise reach. Those options came alongside substantial ongoing ties: revenue-sharing payments to Microsoft through 2030 subject to a cap, a Microsoft IP license through 2032, and the Azure-services purchase commitment announced in October 2025. OpenAI also retained governance obligations associated with its nonprofit parent and PBC structure.

What remains unsettled in public

The companies’ public statements describe key terms but do not reproduce the complete contracts. The April 2026 announcement does not state the revenue-sharing cap amount. The operational meaning of “primary cloud partner” may differ across products and workloads, and the public disclosures do not resolve every product-specific hosting rule. AGI also remains a contractual and governance concept whose consequences depend on future determinations, including the verification mechanism described in October 2025; it is not simply a technical threshold spelled out in the public summaries.
