The “SMC” in the headline refers to Taiwan Semiconductor Manufacturing Company (TSMC). Mark Liu’s planned retirement from the chairmanship is complete, and C.C. Wei now serves as both chairman and chief executive officer.

The change matters because TSMC sits at the center of advanced-chip manufacturing for customers worldwide. It also puts board leadership and day-to-day management under one executive.

What happened at TSMC

On December 19, 2023, Mark Liu said he would not seek another term on TSMC’s board and would retire after the 2024 annual shareholders’ meeting. The announcement described a planned retirement; it did not give a specific personal or medical reason.

On June 4, 2024, shareholders elected a new board. At its first meeting, the board unanimously elected Dr. C.C. Wei as chairman and CEO. Wei had already been TSMC’s chief executive, so the completed transition added the chair role to his existing operating job.

Why the chairmanship changed

The public record supports a scheduled succession rather than a sudden removal. Liu chose not to stand for another board term, and his retirement took effect after the annual meeting. TSMC’s announcement did not identify a dispute, performance event or other trigger for his departure.

What it means for TSMC’s leadership structure

Wei now holds both top roles

As CEO, Wei is responsible for executing strategy and running the company. As chairman, he also leads the board. The combination gives one person formal responsibility for both governance leadership and operations.

A concentration of authority

Combining the roles can align board decisions with execution, but it also concentrates authority. That is a governance implication of the structure, not a claim that TSMC’s performance or independence has changed. Investors should assess how the independent directors oversee management and how the board handles succession planning.

What the transition does not establish

The leadership change alone does not prove that TSMC has changed its technology roadmap, customer policy, overseas-factory plans or capital-allocation priorities. Those issues require separate company disclosures and financial results.

Why TSMC is a global chip linchpin

TSMC is a Taiwanese contract chipmaker: customers design chips, while TSMC manufactures them using its process technologies. That position links the company to many parts of the electronics supply chain, from computing and communications to other advanced-chip applications.

These figures describe 2023 results and operating data; they are not a forecast for 2024 or later years. EPS is a company earnings measure, not the return an individual shareholder will receive.

What shareholders should watch after the succession

Execution under a combined chair and CEO

Wei’s dual role makes his accountability easier to identify: the same leader is responsible for board leadership and operating execution. Watch whether TSMC continues meeting customer commitments, bringing planned capacity online and delivering its stated technology road map.

Board oversight and succession depth

A combined chair-CEO structure makes the composition and independence of the rest of the board more important. Relevant disclosures include director independence, committee responsibilities, executive succession planning and how major investments are challenged and approved.

Overseas capacity and capital decisions

TSMC is managing investment and production decisions beyond Taiwan while serving customers with different regional requirements. The practical investor question is not simply how much the company spends, but whether capacity timing, costs and customer demand support acceptable returns.

Geopolitical and policy exposure

TSMC’s decisions remain exposed to policy and security pressures involving Taiwan and China, the United States, Japan and Europe. Export controls, incentives, local-content rules and cross-border operating conditions can affect where the company builds, what it can ship and how much projects cost.
