Honda and Nissan officially ended their proposed business integration on February 13, 2025. They are not merging under that plan, but they did not end all cooperation: the automakers said they would continue a strategic partnership, and in August 2026 announced plans to develop software and electronic systems together for future vehicles.
What happened to the Honda-Nissan merger?
The companies jointly terminated the memorandum of understanding (MOU) they had signed on December 23, 2024, and discontinued discussions and consideration of the proposed integration. It was a proposal, not a completed merger: no joint holding company was created. The planned effective date of August 2026 became moot when talks ended.
Why did the talks break down?
The December proposal called for Honda and Nissan to establish a joint holding company through a joint share transfer. Honda would nominate a majority of the holding company’s directors, including its president, while Nissan was expected to carry out turnaround measures.
During negotiations, Honda proposed a different structure: a stock swap that would make Nissan a wholly owned Honda subsidiary. That would have created a more direct parent-subsidiary relationship than the proposed joint holding company. Nissan CEO Makoto Uchida said the subsidiary arrangement would not realize Nissan’s potential, while Honda CEO Toshihiro Mibe expressed disappointment and said painful actions were needed to realize the potential, according to The Associated Press.

In their joint announcement, Honda and Nissan said that, amid rapidly changing market conditions in the electrification era, ending the discussions would better prioritize speed of decision-making and execution. That is the companies’ stated rationale; the different views on the proposed corporate structure also help explain why the talks did not proceed.
What was the original proposal supposed to achieve?
The companies presented the integration as a way to build scale and share development and operating costs. The December 2024 MOU described potential collaboration on common platforms, joint research, manufacturing and purchasing efficiency, and software-defined vehicles.

The MOU set proposal-stage targets of annual sales revenue above JPY 30 trillion and operating profit above JPY 3 trillion for the envisioned group. Those were forecasts for a company that was never formed, not actual results or current Honda and Nissan performance.
The proposed timetable was also abandoned: the companies had envisioned a definitive agreement in June 2025, shareholder meetings in April 2026, and a share transfer in August 2026. None of those milestones should be read as events that occurred.

Was Mitsubishi Motors part of the merger?
No. Mitsubishi Motors was exploring possible participation or involvement; it had not joined a completed merger. After Honda and Nissan ended their talks, the three companies also terminated a separate MOU that had examined a tripartite collaboration structure.

Yes, but cooperation is not the same as a merger. The companies said they would continue a strategic partnership focused on intelligent and electrified vehicles. Their termination notice said they would collaborate “within the framework of a strategic partnership aimed at the era of intelligence and electrified vehicles.”

A later example is the joint-development agreement announced on August 31, 2026. Honda and Nissan plan to standardize multiple core electronic control units (ECUs), the in-vehicle operating system, parts of the middleware, and vehicle-control software for next-generation software-defined vehicles. They say the architecture is planned for use in both companies’ next-generation vehicles from fiscal 2029 onward. This is technical cooperation, not a revival of the merger talks.
