Washington was pressing ByteDance to separate TikTok’s U.S. business from Chinese control. Oracle was discussed as an investor, infrastructure operator and security overseer; Microsoft was mentioned as a possible participant, but never became a confirmed buyer. The arrangement ultimately finalized on January 22, 2026, as a privately owned U.S. joint venture. Oracle, Silver Lake and MGX each took 15%, ByteDance retained 19.9%, and the federal government took no equity stake.
Why the headline was misleading
“Take over TikTok” could imply that the federal government planned to seize and run the app. That was not the reported plan. The legal pressure came from a divestiture requirement: ByteDance, TikTok’s China-based parent, had to complete a qualified separation of TikTok or face restrictions on the service in the United States.
Four different concepts were often blended together:
- Government seizure or nationalization: direct federal ownership and operation. This did not occur.
- Forced divestiture: a law-driven separation of TikTok from ByteDance’s control.
- Private acquisition: U.S. investors buying the relevant business.
- U.S.-controlled joint venture: a new company owned mainly by private investors, with ByteDance holding a minority interest.
Oracle’s cloud and security role also did not mean that Oracle owned all of TikTok. Infrastructure control, data access, algorithm governance and equity ownership are separate questions.

Why Washington forced a restructuring
Congress’s Protecting Americans from Foreign Adversary Controlled Applications Act targeted applications controlled by a foreign adversary. Lawmakers and executive-branch officials argued that ByteDance’s Chinese ownership created risks that Chinese authorities could obtain U.S. user data or influence TikTok’s recommendation system. Those were national-security allegations and policy judgments, not findings that every feared action had been publicly proven.
President Biden signed the divestiture law in April 2024. TikTok and ByteDance challenged it, including on constitutional grounds. The Supreme Court rejected TikTok’s challenge on January 17, 2025, as summarized by the Congressional Research Service in its legal analysis. What happened in January 2025
- January 17: The Supreme Court rejected TikTok’s challenge to the divestiture law.
- January 19: TikTok briefly became unavailable in the United States around the statutory deadline.
- January 20: President Trump directed the attorney general not to enforce the law for 75 days. That delayed enforcement; it did not repeal or invalidate the statute.
- January 27: Reporting described White House discussions involving Oracle and possible participants including Microsoft.
The January report from Thurrott described unsettled negotiations. One concept involved ByteDance keeping a minority stake while U.S. investors gained control. The report also discussed a structure potentially affecting TikTok’s global operations, but that was a negotiating position rather than the final transaction. It attributed an approximate $200 billion valuation to the negotiations, not to an independently verified appraisal, and said Oracle could invest tens of billions of dollars under terms that had not been settled.
Oracle’s proposed and eventual role
Why Oracle was central
Oracle already supplied infrastructure for TikTok’s U.S. web operations. That relationship made it a natural candidate for a broader role involving cloud hosting, data controls, software-update oversight and security monitoring.
In the reported January 2025 structure, Oracle could have combined three functions:

- An equity investment in the U.S.-controlled business.
- Cloud and infrastructure services for U.S. operations.
- Independent monitoring of data handling, code changes and algorithm-related security.
What Oracle received in the completed structure
The White House’s September 2025 framework identified Oracle as the security provider for TikTok’s U.S. operations and said it would independently monitor and assure their safety. The announcement is available in the White House fact sheet.
Oracle therefore became both a principal private investor and a key technical overseer. That does not establish that Oracle controls TikTok worldwide or that storing data in U.S. systems alone eliminates every possible avenue of foreign influence.
Why Microsoft was mentioned—and why it did not become an owner
Microsoft had a prior connection to this issue. During the 2020 forced-sale effort, it publicly pursued TikTok’s non-Chinese operations, but that effort collapsed in September 2020. Oracle subsequently emerged as the preferred U.S. technology partner or bidder in those negotiations.
Microsoft was mentioned again in January 2025 as a possible participant. The reporting did not identify a signed bid, agreed valuation or completed investment, and Microsoft reportedly declined to comment. “In discussions” therefore should not be read as “bought TikTok.”
The January 2026 ownership announcements named Oracle, Silver Lake and MGX as the principal 15% holders. Microsoft was not listed among those principal owners in the Washington Post account of the closing or the Axios overview. Microsoft could theoretically have supplied services without holding a major equity stake, but the cited final reports do not identify it as a principal owner.

U.S. business or global TikTok?
The distinction matters. Early discussions were reported as potentially reaching beyond a simple sale of TikTok’s American operations, with ByteDance possibly surrendering control of global operations while retaining a minority interest. That possibility was never the same thing as a completed global acquisition.
The transaction finalized in 2026 focused on a new U.S. entity, TikTok USDS Joint Venture LLC, and TikTok’s continued operation in the United States. It did not transfer the entire worldwide TikTok business to Oracle, Microsoft or the U.S. government.
The algorithm was the hardest issue
TikTok’s recommendation system is more important than the brand or U.S. user accounts because it determines what people see. The law restricted continued operational cooperation between ByteDance and a new U.S. TikTok entity, making the algorithm’s ownership, licensing and update process central to the deal.
Reports discussed licensing or providing a version of the algorithm to the U.S. venture while Oracle monitored security. A license is not a sale. It can leave difficult questions about who may change the code, who owns derivative versions, whether ByteDance can restrict updates, how training data is handled and whether the U.S. system diverges from the global product. Associated reporting from The Associated Press, another AP report and Axios described those licensing and governance questions without establishing that the algorithm had been sold outright.

The White House said ByteDance would have one seat on a seven-member board and would be excluded from the security committee. Those details are the administration’s description of the arrangement; they do not by themselves prove that all practical influence or security concerns have disappeared.

What remains unresolved
Legal compliance versus practical independence
A 19.9% ByteDance stake is below the 20% threshold cited by the White House, but percentages do not answer every control question. Contractual rights, board influence, personnel ties, software access and licensing terms determine how independent the operation is in practice.
Security beyond data location
Hosting U.S. data in U.S. infrastructure does not automatically control administrative accounts, permissions, source-code access, logging or employee access. Oracle’s monitoring role is intended to address some of those issues, but the public announcements do not provide a complete technical audit.
Commercial and user effects
The arrangement was designed to keep TikTok available in the United States. Users, creators and advertisers should still watch for changes to privacy terms, moderation, analytics, monetization, account portability and recommendation behavior if the U.S. product becomes operationally distinct.
Precedent and oversight
The presidential determination that the framework satisfied the law does not prevent lawsuits, congressional oversight or future disputes over algorithm licensing and operational control. The constitutional concerns surrounding restrictions on a major communications platform remain part of the policy debate; Congress’s Constitution Annotated summarizes that analysis.
