AT&T Inc. is a publicly traded Delaware corporation whose shares are owned collectively by investors. The largest beneficial owners disclosed in AT&T’s 2026 proxy statement were The Vanguard Group and BlackRock, but neither is identified as AT&T’s corporate parent.
Is AT&T owned by a parent company?
No. AT&T’s 2025 Form 10-K identifies AT&T Inc. as the reporting company and does not name another corporation as its parent. Its common stock trades as T on the New York Stock Exchange and NYSE Texas. AT&T reported 7,000,577,201 common shares outstanding as of January 28, 2026; investors who hold those shares collectively own the company. AT&T 2025 Form 10-K · AT&T 2025 Annual Report
The basic structure is shareholders → AT&T Inc. → subsidiaries and operating businesses. AT&T can own subsidiaries while itself being owned by public shareholders. That is different from a corporation owning AT&T as a parent.
Who are AT&T’s largest disclosed shareholders?
AT&T’s 2026 proxy statement lists two large beneficial owners. The reported positions rely on Schedule 13G/A filings from 2024, so they are a dated disclosure snapshot rather than a live count of current holdings.

“Beneficial ownership” in an SEC filing does not necessarily mean the named investment manager is the ultimate economic owner of every share. Asset managers may report positions held for funds and clients, and may have voting or investment-disposition authority over those shares. The proxy’s figures should not be read as a real-time cap table: shares trade, holdings can change, and AT&T’s share count may also change.
Do Vanguard, BlackRock, the board, or the CEO control AT&T?
The proxy identifies no majority shareholder in its listed positions. Vanguard’s and BlackRock’s disclosed stakes are substantial, but those figures alone do not establish that either investment manager controls AT&T or acts as its parent. Voting influence and ultimate economic ownership can differ, including where shares are held through client accounts or funds.

AT&T is governed through its board and shareholder voting process. Shareholders elect directors and vote on certain corporate matters; the board oversees the company. AT&T’s 2026 proxy reports that each listed director and executive officer, and the group collectively, owned less than 1% of outstanding common stock as of December 31, 2025. That disclosure does not make the CEO or board the owner of AT&T.
Why do SBC Communications, AT&T Corp., and BellSouth appear in AT&T’s history?
The familiar AT&T name has a more complicated corporate history than a simple parent-and-subsidiary story:

- 1984: The company that became modern AT&T was spun off from the former AT&T Corp.’s local telephone operations as one of the regional holding companies created after the breakup.
- 2005: SBC Communications Inc. merged with AT&T Corp. After the transaction, SBC changed its name to AT&T Inc. The modern company is legally descended from SBC, even though it adopted the better-known AT&T name.
- 2006: AT&T acquired BellSouth. BellSouth had held the remaining 40% economic interest in the wireless venture then known as Cingular Wireless; the acquisition gave AT&T full ownership of AT&T Mobility.
Accordingly, the former AT&T Corp. is not the current AT&T’s corporate parent, and BellSouth is part of the company’s acquisition history, not its present-day owner. AT&T 2025 Form 10-K
Does Warner Bros. Discovery own AT&T?
No. AT&T formerly owned WarnerMedia, but in 2022 it separated that business. WarnerMedia was placed in a subsidiary distributed to AT&T stockholders and combined with Discovery, Inc. to form Warner Bros. Discovery. AT&T shareholders receiving shares in the new media company did not mean that Warner Bros. Discovery acquired AT&T, and AT&T did not retain WarnerMedia as its business after the separation. Does DIRECTV own AT&T, or does AT&T own DIRECTV?
Neither is the current relationship described in AT&T’s latest annual report. AT&T previously held an interest in DIRECTV, but its 2025 Annual Report says it sold its remaining interest to TPG in July 2025. DIRECTV is not AT&T’s parent, and AT&T’s former investment in DIRECTV should be described in the past tense. AT&T 2025 Annual Report

AT&T Inc. is a holding company with subsidiaries and controlled affiliates. Its businesses include wireless operations, broadband and fiber services, and business communications services. AT&T’s legal-entity structure can change, so a short informal list should not be treated as a complete or permanently current roster. How can AT&T’s ownership picture change?
Public-company ownership is not fixed. Investors trade shares; funds rebalance; companies can issue or repurchase shares; and corporate actions such as spin-offs can change the shareholder base. Significant holders may also file updated Schedule 13D or 13G disclosures. For changes after a proxy’s dated ownership table, check newer SEC filings rather than treating its figures as current.
