They say the opportunity would let them cash out while the timing of a Flipkart IPO remains unclear. The reports do not say Walmart has accepted or rejected the request.
What did the former executives ask Walmart to do?
The eight former executives reportedly sent a letter to Walmart’s board seeking a complete exit opportunity for all eligible former employees who hold vested Flipkart options. Bloomberg’s syndicated report says it saw the letter and notes that the Economic Times had reported on it earlier. The reports reviewed do not name the signatories or reproduce the full letter.
The former executives said they joined Flipkart when its future value was uncertain, accepted the risk of equity compensation, and kept their interests after leaving. As quoted in the report, they said: “Many of us joined the company during its earlier, more uncertain years, when the future value of these options was far from certain. We accepted the risk and opportunity associated with equity compensation and continued to hold our interests long after leaving the organisation.” They then asked Walmart to provide “a complete exit opportunity to all eligible former employees holding vested options.” Bloomberg-syndicated report
The group said some former employees had held options for as long as 15 years. They also said current Flipkart employees had been offered an opportunity to sell options in 2026; the reports do not independently establish that sale’s terms or who was eligible. Why seek a buyout instead of waiting for an IPO?
A buyout could provide liquidity before any public listing, whereas an IPO would depend on Flipkart completing a future listing process. The executives’ stated concern is that they continue to hold options without a clear IPO timetable. The reporting does not establish that either route is available to any particular holder or indicate what the options might be worth.
Flipkart was founded in Bangalore in 2007 by Sachin Bansal and Binny Bansal, former Amazon engineers who are not related, according to Bloomberg-syndicated coverage. Walmart acquired a controlling stake in Flipkart in 2018 in a reported $16 billion deal. Sachin Bansal sold his entire stake and left in connection with that deal; Binny Bansal exited within months and had sold his remaining shares by 2023. When will Flipkart go public?
The reporting gives no confirmed IPO date. It says Flipkart had spent years preparing for a stock-market debut, moved its incorporation from Singapore to India in 2026, and planned to begin a process for banks to pitch for the IPO. Those plans were later deferred without a clear timeline, according to people familiar with the matter cited in the report. That account is not a published listing timetable. Bloomberg-syndicated IPO report
In a joint statement issued the previous month, Flipkart and Walmart said: “An IPO remains an active part of our strategic roadmap, and we will move forward when the timing is right.” They added that readiness would help the company make a public debut from a position of “clear operational and financial strength.” This states a strategic intention, not a filing date, guarantee, or commitment to a particular timetable. The reports do not provide the signatories’ names, the number of options involved, exercise prices, valuation, buyout terms, eligibility rules, or tax treatment.
