Yelp Bought RepairPal for $80 Million: What the Deal Covers

Yelp paid $80.0 million in cash for RepairPal, which closed November 26, 2024. Here is what the purchase includes, what Yelp has said it plans, and what remains unproven for drivers.

Yelp paid $80.0 million in cash for RepairPal, a platform that connects consumers with certified mechanics in the United States. The deal closed on November 26, 2024, so it is not new, and Yelp did not buy a repair shop. It bought a car-repair matching business and folded it into an auto-services advertising effort. The purchase gives Yelp a larger role in car repair discovery. It does not, by itself, show that car owners pay less for repairs.

What Yelp actually acquired

Yelp’s acquisition announcement, dated November 26, 2024, describes RepairPal in one sentence: “Established in 2007, RepairPal connects consumers with certified trustworthy mechanics throughout the United States.” That is Yelp’s own description. The company did not describe RepairPal as a repair shop, and it did not describe any independent test of the quality of work done by the mechanics in its network.

Yelp said the purchase was meant to expand its auto-services advertising offering. In other words, the deal extends Yelp’s business beyond restaurants and local listings into the car-repair category, where consumers often look for a shop and a price before they book work.

What the purchase price covers

The number you will see most often is $80.0 million. Yelp’s later SEC Form 10-Q, covering the six months ended June 30, 2026, reports total cash purchase consideration of $80.0 million. That figure includes approximately $12.3 million in aggregate holdback liability, meaning an amount withheld from the closing payment and still owed under the deal terms. Earlier company filings reported preliminary purchase accounting, so the 2026 10-Q is the better source for the finalized amount.

The same filing breaks out part of the purchase price by asset type. These are accounting values assigned to the acquired business, not standalone market valuations of RepairPal’s current products.

The three intangible categories above total $53.6 million. The filing places the rest of the $80.0 million in balance-sheet items that the excerpt does not break out, so do not read the price as a sum of the line items shown here.

What RepairPal does for drivers

Based on Yelp’s announcement, RepairPal’s consumer-facing role is to help people find mechanics it describes as certified. The announcement says USAA, CarMax, and Endurance Vehicle Services direct their members or customers to RepairPal Certified shops. Those referral relationships are described by Yelp; the announcement does not provide the terms, volumes, or results of those arrangements.

Two limits matter for a driver. First, the sources reviewed for this article do not confirm which shops are available in a given city or state, so you should check coverage directly rather than assume a listing exists near you. Second, a “certified” label in RepairPal’s network is RepairPal’s own standard. It is not a government licence and not an independent quality rating.

Why Yelp says it bought RepairPal

Yelp’s 2024 annual report on Form 10-K gives the strategic rationale in plans rather than results. It says Yelp intended to improve Request-a-Quote for Auto Services on Yelp, and to attract more consumers to RepairPal through search engine optimization and search engine marketing.

Those are disclosed plans. The filings reviewed do not report whether these changes are live, how many consumers they have brought in, or whether they have increased revenue. They also do not show any effect on what consumers pay for repairs. Treat the acquisition as a move by Yelp into car-repair lead generation and advertising, with its benefits still to be demonstrated.

How to read the deal if you are choosing a repair shop

The acquisition changes where repair listings and referrals may appear. It does not change the basic steps for getting a fair repair. Use the following checks regardless of which platform sent you to a shop:

  • Get at least two written estimates that list parts, labor hours, and the hourly labor rate.
  • Ask whether the estimate includes diagnostic fees, and whether those fees are credited toward the repair if you approve it.
  • Confirm that the shop is licensed in your state, using your state’s automotive repair or consumer protection agency.
  • Ask for replaced parts back when practical, and get any warranty terms in writing.
  • Treat “certified” as a claim to verify. Check the certification body and what it actually tests.

If a platform or referral partner recommends a shop, the recommendation tells you the shop was listed or referred. It does not tell you the repair price is lower, the work is better, or the shop is the cheapest option in your area.

The Yelp deal is a business transaction with a disclosed price and a set of stated plans. Its effect on drivers depends on whether those plans turn into more listings, better quote tools, and lower prices in practice. The company’s filings, so far, support the first part of that story and do not settle the rest.

Yelp’s acquisition announcement is dated November 26, 2024. The $80.0 million consideration figure comes from Yelp’s Form 10-Q for the six months ended June 30, 2026, and the strategic plans come from its 2024 Form 10-K. Those are the sources to check if you need the current numbers.
