Rolls-Royce Motor Cars Ltd., the company that builds the luxury cars, is wholly owned by the BMW Group. It is a separate legal entity from Rolls-Royce plc, the aerospace and industrial technology business whose parent is Rolls-Royce Holdings plc. Most confusion about “who owns Rolls-Royce” comes from the shared name, so the first step is to be clear about which company you mean.
Two companies share one name
“Rolls-Royce” is used for two unrelated businesses. The car manufacturer is Rolls-Royce Motor Cars Ltd. The other is Rolls-Royce plc, which makes engines and power systems for civil and military aircraft, ships, submarines and land-based applications. The two were once part of the same group, but they are now separate legal entities with different owners.
| Name | What it does | Ownership or parent |
|---|---|---|
| Rolls-Royce Motor Cars Ltd. | Designs and builds luxury cars from its base at Goodwood, near Chichester in West Sussex | Wholly owned subsidiary of the BMW Group, per the company’s ownership page |
| Rolls-Royce plc | Aerospace and industrial technology, including aero engines and power systems | Subsidiary of Rolls-Royce Holdings plc, per Rolls-Royce Motor Cars’ clarification of the group structure |
| Rolls-Royce Holdings plc | Public company that is the parent of Rolls-Royce plc | Not the owner of Rolls-Royce Motor Cars Ltd. |
Who owns the car company
Rolls-Royce Motor Cars Ltd. describes itself on its ownership page as a separate legal entity from Rolls-Royce PLC and a wholly owned subsidiary of the BMW Group. The statement describes the corporate relationship; it does not give a percentage, and the company does not describe any other shareholders.
The BMW Group’s corporate history gives the timeline for how it came to hold the brand:

The 1998 acquisition and the 2003 start of the Goodwood company are related, but they are different events. Treat 1998 as the date of the brand deal and 2003 as the start of the current automobile company’s operations.
Where Rolls-Royce plc fits
Rolls-Royce plc is not owned by BMW and is not part of the car business. Its parent is Rolls-Royce Holdings plc. If a source says “Rolls-Royce is owned by Rolls-Royce Holdings,” it is describing the aerospace and industrial group, not the company that makes the cars.
How the two businesses separated
The two businesses share a history that predates their current owners. Rolls-Royce Motor Cars’ heritage account dates the separation of motor-car and aero-engine activities to 1971. Its clarification says the Motor Car Division was floated as a separate company in 1973, and the aero-engine business returned to private ownership in 1987 as Rolls-Royce plc.

What this means for investors
For personal-finance readers, the distinction affects where an investment actually goes:
- Buying shares in Rolls-Royce Holdings plc gives exposure to the aerospace and industrial group, not to the luxury car business.
- Because Rolls-Royce Motor Cars is a wholly owned subsidiary of BMW Group, its profits and losses reach outside investors only through BMW Group’s own results, not through a separate listing of the car company.
- A car-brand name on a product or advertisement does not indicate which company stands behind the financial relationship. Check the legal entity named on the contract, invoice or prospectus.
Those points are general guidance about how a wholly owned subsidiary and a separately listed parent generally relate. They are not investment advice.
