Spirit Airlines, LLC is a wholly owned subsidiary of Spirit Aviation Holdings, Inc., which became the airline’s parent company when Spirit emerged from its first Chapter 11 case on March 12, 2025. No single person or investor is established as the parent’s controlling owner. The parent’s new shares were issued to certain creditors during the restructuring, and a 2026 SEC filing reports a 5.80% stake held by M&G Plc. Spirit has also since stopped flying: on May 2, 2026, it announced that all flights were canceled and that an orderly wind-down had begun.
Who owns the airline: the corporate chain
The legal structure has two layers. Spirit Aviation Holdings, Inc. sits at the top as the parent company. Beneath it is Spirit Airlines, LLC, the operating airline, which is wholly owned by the parent. The Spirit Airlines that flew under that name before 2025 was a different legal entity, Spirit Airlines, Inc., which was reorganized into the LLC during the bankruptcy process.
Two points follow from this structure. First, when people ask who owns Spirit Airlines, the accurate corporate answer is Spirit Aviation Holdings, Inc. Second, that answer says nothing about who owns Spirit Aviation Holdings. That is a separate question, covered below.
How the parent got its shareholders
The parent’s equity came out of the 2024 Chapter 11 case. According to Spirit’s registration statement filed with the SEC in 2025, the reorganization issued 16,067,305 new common shares and 24,255,256 warrants to certain creditors. The equity of the predecessor company was canceled.

That cancellation matters for anyone looking at old price charts or older shareholder lists. Shares that traded publicly before the reorganization were not carried into the new parent as ownership of the reorganized company, so pre-2025 holdings should not be read as current stakes.
The filings describe creditors as a group that received equity, not a single creditor who took control. Calling any one creditor the owner of Spirit would go beyond what the record shows.

Reported stakes in the parent
The clearest dated disclosure of a holder is from M&G Plc. Its Schedule 13G/A, filed with the SEC on April 27, 2026, reports beneficial ownership of 1,642,868 shares of Spirit Aviation Holdings common stock, equal to 5.80% of the class, as of March 31, 2026.
That is a snapshot of one holder on one date. It shows M&G held a minority position in the parent at that time. It does not show that M&G owned or controlled Spirit Airlines, and it does not establish the full list of shareholders as of today. The filings available for this article do not include a complete updated shareholder list, so no current controlling shareholder can be named from them.

Current status: canceled flights and a wind-down
Ownership and operations have diverged. On May 2, 2026, Spirit Aviation Holdings announced that it had begun an orderly wind-down effective immediately and that all Spirit flights had been canceled. Dave Davis, Spirit’s President and Chief Executive Officer, said in that SEC-filed announcement: “However, the sudden and sustained rise in fuel prices in recent weeks ultimately has left us with no alternative but to pursue an orderly wind-down of the Company.” The company said it lacked the additional funding it needed.
The Associated Press later reported that the bankruptcy judge authorized the liquidation process in May 2026, under which Spirit would sell its assets and wind down remaining business for the benefit of creditors. The AP report describes the court process, which is separate from the company’s May 2 announcement of the initial wind-down.

Ownership versus operation
Corporate ownership and operating status answer different questions. The parent-subsidiary relationship describes who controls the airline on paper. Whether the airline is flying describes its current business. Spirit’s ownership chain can be stated accurately even though the company stopped flights and began winding down in May 2026.
Common mistakes to avoid
- Saying JetBlue owns Spirit. The ownership structure described after the 2025 reorganization does not include JetBlue. Any proposed deal involving another airline is separate from who owns Spirit today.
- Saying M&G owns Spirit Airlines outright. The filing reports a 5.80% beneficial stake in the parent as of March 31, 2026.
- Naming one creditor as the owner. The equity was issued to a group of creditors, and the filings do not show a single holder with complete ownership.
- Using pre-2025 share ownership. Old publicly traded shares were canceled in the reorganization.
- Treating the airline as a booking option. Spirit’s May 2026 announcement states that all flights were canceled.
What the public record does not show
The latest sources available for this article are from May 2026, and they establish the corporate chain, the 2025 issuance to creditors, the dated M&G position, and the wind-down. They do not establish a complete current shareholder register. Because Spirit said it would stop periodic and current SEC reporting after the wind-down decision, later ownership changes may not appear in routine filings. Readers who need the present shareholder list should check the bankruptcy court docket and any later SEC filings, and treat any claim about a current controlling owner with caution unless it is backed by a dated filing.
