In the United States, where most of the guidance on this topic comes from, you no longer need one to own shares: many investors hold their positions only as electronic book-entry records. Below is what a certificate represents, why it existed, how shares are held today, and what to do with an old or lost certificate.
What a stock certificate represents
A stock certificate is evidence of a registered holding. The Securities and Exchange Commission’s investor glossary describes certificate form as securities registered in the holder’s name on the company’s books, with a printed certificate delivered to the holder. The certificate is the physical representation of that entry, but the issuer’s records remain the central record of who owns the shares. (SEC Investor.gov, “Holding Your Securities”)
Why paper certificates existed
Certificates helped evidence and transfer ownership, and they let an issuer identify who its security owners were. The SEC states that securities have been issued in paper certificate form in the United States since the eighteenth century.
Problems grew as trading volumes rose in the latter half of the twentieth century. Handling paper by hand became slow and expensive, and physical certificates carried risks of loss, theft, and forgery. The SEC’s 2004 rulemaking document on securities transactions settlement put it this way: “The processing of securities certificates has long been identified as an inefficient and risk-laden mechanism by which to hold and transfer ownership.” (SEC, “Securities Transactions Settlement,” March 2004)

How shares are held today
Paper is one form of holding, not a requirement for owning stock. The SEC and FINRA’s joint investor bulletin of July 12, 2023 describes two broad arrangements: “street name” holdings through an intermediary such as a broker, and registration in the investor’s own name. A registered holding can be a physical certificate or a book-entry position kept by the issuer or its transfer agent, which is commonly called direct registration. The bulletin defines the book-entry idea directly: “In general, the term ‘book-entry’ simply means that you do not receive a physical representation of ownership, such as a paper security certificate.”

A certificate and a book-entry statement are different objects, but both can document the same kind of registered ownership. What matters is the registration arrangement, not whether paper exists.
What the transfer agent does
The transfer agent is the practical starting point for any certificate question. The SEC’s overview says transfer agents record ownership changes, maintain issuer security-holder records, issue and cancel certificates, and distribute dividends. (SEC, “Transfer Agents”)

Checking whether an old certificate is worth anything
An old certificate can still correspond to live securities even when the company has since changed its name or merged into another company. Its value cannot be judged from the printed name or from an old share price alone. Mergers, stock splits, and reverse mergers can change both the company’s status and the number of shares outstanding. (SEC Investor.gov, “Old Stock and Bond Certificates”)
Steps to verify an old certificate
- Record the company name, the certificate number, and the name of the transfer agent printed on the certificate.
- Contact that transfer agent and ask whether the certificate is still valid and what it currently represents.
- If the transfer agent no longer exists, contact the state agency that handles incorporations in the state where the company was incorporated. Investor.gov names this agency as the next source to try.
- A broker may also help identify the current status of the shares.
Collectible value versus investment value
A certificate with no remaining investment value may still have collectible value to a hobbyist, based on its design, issuer history, or rarity. That collectible value is separate from any claim on the company and is established case by case.

Lost or stolen certificates
If a certificate is lost or stolen, the holder generally has to replace it through the issuer or transfer agent. Investor.gov says corporations usually require the owner to describe the loss in an affidavit and to buy an indemnity bond before a replacement is issued. The page gives a general estimate that the bond usually costs two to three percent of the current market value of the missing certificates. That is general guidance, not a quoted price, and the actual cost depends on the issuer and situation. (SEC Investor.gov, “Lost or Stolen Stock Certificates”)
- Act promptly. Contact the broker or transfer agent as soon as the loss is noticed. If a lost certificate is transferred before the loss is recorded, proving prior ownership can become difficult.
- Keep a record separately. Store copies of both sides of each certificate and a list of certificate numbers apart from the original.
- Expect paperwork. Plan for an affidavit and an indemnity bond before the replacement is issued.
Rules and procedures can vary by jurisdiction, so confirm the process with the issuer or transfer agent on your particular certificate.
