A meme coin is a cryptocurrency tied to an internet meme, character, event, or trend. It is usually promoted through an online community, and its price may depend more on attention, supply and demand, and speculation than on revenue or a claim on a business. Meme coins are created and traded using blockchain systems, but their features, risks, and legal status vary from one token to another.
What is a meme coin?
A meme coin is a crypto asset whose identity is built around a meme, character, current event, or cultural trend. People may buy one for entertainment, social participation, or speculation. The name describes a style or theme; it does not guarantee that a token has a particular function, quality, or legal status.
The SEC’s February 2025 staff statement described typical meme coins as driven by collective sentiment and speculative trading, rather than the essential managerial efforts of others. In March 2026, an SEC and CFTC interpretive release discussed meme coins among digital collectibles, noting that some may be acquired for artistic, entertainment, social, or cultural purposes. These descriptions concern typical characteristics, not every token.
How do meme coins work?
A meme coin is generally a token recorded and transferred on a blockchain. A developer or promoter may choose its supply, distribution, and features. Smart-contract code can automate issuance or other functions, though not every coin uses the same blockchain, launch method, or contract design.

- A token is created. A project sets token parameters, which can include how many tokens exist and how they are distributed.
- Tokens are distributed. They may be sold or made available in other ways. The details depend on the project.
- Tokens may trade on crypto markets. Trading venues differ in oversight, registration, and investor protections. Crypto trading should not be assumed to offer the same protections as stock-market trading, as the SEC’s Investor Bulletin on Initial Coin Offerings cautions.
- Buyers and sellers influence the price. Available supply and demand affect what someone is willing to pay. Social attention, promoter claims, market conditions, and trading activity can all influence demand.
Some holders or communities may develop uses for a token, such as access to a chatroom or eligibility for an airdrop. That possibility does not mean every meme coin offers a useful service or that a token is a sound purchase.
Why do meme coins go up and down?
Prices can rise when buyers expect more demand, attention, or social momentum; they can fall when interest fades or sellers outnumber buyers. Because many meme coins have no earnings or business claim to anchor their price, sentiment and speculation can play a large role. A rising price is not evidence of underlying value or safety.

Supply and distribution also matter. A token’s price can be affected by how many tokens exist, how they are allocated, and whether a small number of holders can influence the market. Promoters’ statements and the venues where a token trades can affect buyer expectations, but claims about future listings, ecosystems, or technology should be checked against what is actually delivered.
Can you lose all your money on a meme coin?
Yes. Meme coin prices can be highly volatile, and a buyer may lose much or all of the money invested. Potential hazards include disappearing liquidity, concentrated ownership, pump-and-dump activity, rug pulls, fraud, misleading trading activity, technical vulnerabilities, and exchange or custody failures. Recovering stolen or lost crypto assets may be difficult.

A 2025 arXiv preprint by Alberto Maria Mongardini and Alessandro Mei studied 34,988 tokens across Ethereum, BNB Smart Chain, Solana, and Base. Within the paper’s sample and definition of high-return tokens, 82.8% showed evidence of artificial growth strategies. The authors also reported more than 17,000 victimized addresses and realized losses exceeding $9.3 million in their dataset. These are findings from that study, not estimates of manipulation or losses across the entire meme coin market.
A public blockchain or published code does not prove a token is safe. The SEC’s investor bulletin advises readers to examine what rights a token provides, how resale works, whether its code is public, and whether an independent cybersecurity audit has been conducted. Those checks can help identify questions to ask, but they cannot guarantee safety or returns.

Are meme coins securities in the United States?
There is no categorical answer based on the “meme coin” label alone. The SEC Division of Corporation Finance’s February 27, 2025 staff statement expressed views about a typical meme coin, but it expressly said it was not a rule or binding law. The SEC and CFTC interpretive release effective March 23, 2026 discusses meme coins among digital collectibles, while retaining the qualification that the Howey test remains controlling legal precedent.
The legal analysis depends on the particular asset, offer, sale, and economic realities. The 2025 SEC staff statement says: “This statement, like all staff statements, has no legal force or effect: it does not alter or amend applicable law, and it creates no new or additional obligations for any person.”

SEC Commissioner Caroline Crenshaw separately questioned the definition used in the staff statement, noting that some promoters make promises about exchange listings, future ecosystems, or technology, and may use scarcity mechanisms or other activity to influence demand. Her response expressed her own views, not necessarily those of the Commission or its staff.
What to check when comparing meme coins
Popularity on social media alone does not show whether a token has meaningful rights, sound mechanics, or manageable risks. When comparing projects, consider:
- Rights and functionality: What, if anything, does holding the token entitle you to do or receive?
- Supply and distribution: How many tokens exist, how were they distributed, and who holds a large share?
- Contract controls: Who can mint tokens or exercise other powers over the contract?
- Liquidity and trading venues: Where does the token trade, and how readily can holders buy or sell?
- Promoter claims: What has been promised, and what has actually happened?
- Code and security review: Is the code available, and has an independent cybersecurity audit been conducted?
- Applicable protections: What jurisdiction and investor protections apply to the transaction and venue?
No single check establishes that a token is safe or worthwhile. The SEC’s general investor guidance on initial coin offerings is available at Investor.gov.
