A pro forma invoice is a detailed quotation presented in invoice format. In an export sale, it tells a prospective buyer what the seller proposes to supply, at what price, and on what terms, so the buyer can arrange steps such as an import licence, pre-shipment inspection, letter of credit, or currency transfer. It is not automatically the final bill, proof of payment, or proof that the sale has been completed.
What a pro forma invoice is used for
The U.S. International Trade Administration calls a pro forma invoice a “quote in an invoice format.” It gives the buyer transaction details before shipment and can support the buyer’s preparations for importing or paying for the goods. Depending on the transaction, the buyer may use it to apply for an import licence, arrange a pre-shipment inspection, open a letter of credit, or arrange a currency transfer. Because the document describes a proposed transaction, it should be clear, detailed, and consistent with what the seller and buyer have agreed. The Trade Administration advises the seller not to change it without the buyer’s consent. Confirm with the buyer or freight forwarder whether the destination, transaction, or payment arrangement calls for additional information.
What to include
For an export quotation, the International Trade Administration’s checklist covers the core transaction details. The U.S. Commercial Service export guide adds useful quotation and certification details. These are practical preparation guides, not a universal list of legal requirements for every country or sale.

- Parties and references: Seller’s name and address; buyer’s name and address; buyer or inquiry reference; and the invoice reference and date.
- Goods and quantities: Clear product descriptions, quantities, unit prices, line totals, and, where relevant, weights and dimensions.
- Price and currency: Currency, applicable discounts, freight and insurance charges where relevant, and the total charges.
- Delivery and sale terms: The sale terms or Incoterm and the named delivery point.
- Payment and timing: Payment terms, estimated shipping date, and the date through which the offer is valid.
- Export details, if needed: Country of origin and any requested certification statement. The export guide recommends marking the document “Pro Forma Invoice” and includes a true-and-correct statement in its broader quotation guidance.
Before sending it, check that the unit prices, totals, currency, delivery point, and payment terms match the offer you intend to make. Ask the buyer or freight forwarder about destination-specific invoice requirements rather than assuming the same form works for every shipment. Pro forma invoice vs. commercial invoice
The key difference is the document’s role in the transaction. A pro forma invoice ordinarily sets out a proposed sale before shipment; a commercial invoice is the seller’s bill for goods sold and is one of the main documents customs uses to determine duties. Do not treat a pro forma invoice as a routine substitute for the commercial invoice in a completed shipment. There is a limited U.S. import-entry exception: U.S. Customs and Border Protection says a pro forma invoice may be filed at entry if the required commercial invoice is unavailable, subject to follow-up requirements for the proper invoice. It can state payment terms or request advance payment, but it is not itself proof that the buyer has paid and should not be treated as the final accounting invoice. In UK VAT guidance, HM Revenue & Customs says a pro forma invoice normally is not an accounting document and has no place in either the issuing or receiving trader’s books. HMRC advises clearly labelling it “pro forma” and preferably endorsing it “This is not a VAT invoice”; if payment is made, it says a VAT invoice should be issued for accounting purposes.
