A co-op apartment is a home in a building owned by a corporation. In the New York model, you buy shares in that corporation allocated to your apartment and receive a proprietary lease granting you the right to live there; you do not receive a deed to the apartment as a separate piece of real estate. The exact ownership, costs and restrictions depend on the building’s documents and local law.
What you own when you buy a co-op
The New York State Attorney General puts it simply: “In a cooperative (co-op), a purchaser buys shares in a corporation.” Those shares are allocated to a particular apartment, and the purchase comes with a long-term proprietary lease for that home. The New York City Bar describes the resident as both a shareholder and a tenant of the corporation.
In this arrangement, the corporation owns or holds a leasehold interest in the building, while the resident owns shares and contractual occupancy rights. New York City’s Administrative Code similarly defines a cooperative corporation in terms of its ownership or leasehold interest in residential property and its issuance of unit-allocated shares or membership interests together with proprietary leases or other occupancy agreements. These descriptions explain the New York structure; co-op law and documents can differ elsewhere.
For a particular apartment, check the proprietary lease, bylaws, offering plan and amendments, house rules, and other governing documents. Together, they explain the rights attached to the shares and the conditions of occupancy.

How a co-op differs from a condo
In the New York City Bar’s comparison, a condominium buyer owns an individual piece of real property plus an undivided interest in the common areas. A co-op buyer instead owns shares in the corporation and occupies under a proprietary lease.

These are the New York City Bar’s general descriptions, not a substitute for reviewing a specific property’s legal and financial documents. Transfer, financing, occupancy and building costs can vary in either form of ownership.

What co-op maintenance pays for
In New York City Bar guidance, monthly maintenance covers the building’s operating and maintenance expenses and property taxes, and it may also include payments on the building’s underlying mortgage. The New York State Attorney General says the charge is based on the number of shares allocated to the apartment.
Do not compare maintenance amounts between buildings without checking what each charge includes and reviewing the building budget. The sources do not establish a standard maintenance amount or a universal list of included expenses.

How the board and building rules affect residents
A co-op is generally managed by a board of directors elected by shareholders. The corporation’s bylaws and the proprietary lease set out the corporation’s and shareholder-tenants’ rights and responsibilities. Building rules can also affect transfers, financing, renovations and occupancy, but approval standards are not identical across co-ops.
The NYC Bar gives a typical repair division: residents are usually responsible for repairs inside their apartments, while the corporation handles work behind walls, on the exterior, in common areas and on building systems. The actual allocation depends on the particular lease and house rules.

The reviewed sources do not establish a universal down-payment requirement, board package, interview process or purchase-approval test. If you plan to borrow, ask lenders whether they will finance shares in that specific corporation and confirm any building requirements.
What to check before buying a co-op
- Read the controlling documents. Review the proprietary lease, bylaws, offering plan and amendments, house rules, and relevant building financial materials for the specific apartment and transaction.
- Break down the monthly costs. Ask what maintenance includes and whether there are current or planned assessments, building debt, capital work or other charges. Review the budget rather than assuming charges cover the same items as another co-op’s.
- Confirm your rights and obligations. Find the rules for repairs, renovations, subletting, occupancy, transfers and any flip tax in the applicable documents.
- Check financing with both lender and building. Ask the lender whether it finances shares in the particular corporation, then confirm any building or board conditions. Do not assume general loan terms apply.
- Get transaction-specific advice. A local real-estate lawyer can review the documents and explain their effect. The NYC Bar notes that its public guidance is general information, not a substitute for advice from a lawyer.
Special case: New York City HDFC co-ops
Housing Development Fund Corporation co-ops are a distinct New York City category, incorporated under New York Business Corporation Law and Article XI of the Private Housing Finance Law and subject to NYC Department of Housing Preservation and Development (HPD) supervision. Their income eligibility, resale limits and subletting rules are not rules for every co-op.

HPD says the applicable income and resale requirements can come from law, the deed, certificate of incorporation, bylaws, offering plan and regulatory agreements; the most restrictive applicable requirement governs. HPD also cautions that a building’s rules may be stricter than general statutory requirements. Before buying or selling an HDFC apartment, verify the requirements for that building in its governing documents and current applicable rules.
Some HDFC-specific figures need careful interpretation:
- 165% of Area Median Income: HPD describes this as the New York State Private Housing Finance Law threshold for the statutory meaning of “low income” in Article XI HDFC co-ops. Individual buildings often impose stricter limits. HPD’s page includes a displayed table referring to 2021 New York City-region AMI values, so that table should not be treated as a current income-limit schedule.
- One-third of household income: HPD’s general affordability guidance for HDFC sale pricing says housing costs—mortgage, maintenance and utilities—should be about one-third of household income. This is guidance, not a guarantee or a universal eligibility rule.
- Section 576 calculation: For some HDFC co-ops, HPD describes a statutory formula using a multiplier of six for one- or two-person households and seven for households of three or more, applied to annual maintenance plus utility costs plus 6% of the seller’s original investment. It is a specific calculation, not a general co-op income rule.
HPD says almost all HDFC co-ops limit subletting: short-term subletting generally requires board permission, while long-term sublets are generally not allowed. Many HDFC sales also have a flip tax, but the amount and method must be checked in the governing documents.
Financing: verify the specific loan and building
Financing terms depend on the loan and the co-op. New York State Department of Financial Services guidance on reverse cooperative apartment unit loans says that this type of loan is secured by the borrower’s interest or shares in the co-op, is distinct from a federally insured Home Equity Conversion Mortgage (HECM), requires prior board approval, and may be subject to board-imposed borrowing limits. That guidance concerns reverse loans; it does not establish terms for an ordinary co-op purchase mortgage. For a purchase, confirm loan terms directly with a lender and ask about the particular building.
