Rivian is a publicly traded company, not a business owned outright by Amazon or Volkswagen. The latest dated disclosures here put Amazon at 10.9% of voting power and Volkswagen US-Holding at 14.1% as of July 10, 2026; Rivian’s detailed holder table is an earlier snapshot from April 23, 2026.
Who are Rivian’s largest disclosed shareholders?
Rivian’s 2026 Proxy Statement lists Amazon.com NV Investment Holdings LLC and Volkswagen International America, Inc. as significant holders. Each is a wholly owned subsidiary of its respective parent. The table below reports the proxy’s April 23, 2026 snapshot; it is not a current-day ownership table.

What do the newer voting-power figures show?
Rivian’s Form 10-Q for the quarter ended June 30, 2026 reports that, as of July 10, Amazon had 10.9% of voting power and Volkswagen US-Holding, Inc. had 14.1%. The filing identifies Volkswagen US-Holding as wholly owned by Volkswagen AG and explains Amazon’s parent relationship to Amazon.com NV Investment Holdings LLC.

These are newer voting-power figures, not an updated holder-by-holder table of common-stock ownership. The entity name for Volkswagen also differs from the name in the April proxy. Do not compare the two snapshots as though they were measured on the same date or described identical ownership categories.
Rivian reported issuing approximately 63 million Class A shares to Volkswagen in April 2026 after milestones were achieved, approximately 20 million Class A shares to Uber in May, and conducting a public share offering in July. New shares can dilute existing holders and change percentages. The Form 10-Q reported 1,358 million Class A shares and 4 million Class B shares outstanding as of June 30, 2026, rounded to millions in the filing.

Does Amazon or Volkswagen control Rivian?
The cited filings show meaningful stakes and voting influence, not outright ownership by either company. Amazon’s and Volkswagen’s commercial ties with Rivian are relevant context, but neither a customer relationship nor a strategic collaboration by itself establishes control.
Amazon: investor and delivery-vehicle customer
Amazon is a shareholder and is connected to Rivian through electric delivery vehicles. That customer relationship should not be conflated with ownership of Rivian as a whole.

Volkswagen: investor and joint-venture partner
Volkswagen is an investor and Rivian’s partner in a joint venture focused on vehicle electrical architecture and software. The partnership does not, on its own, mean Volkswagen owns Rivian outright.
How do Rivian’s share classes affect voting power?
Rivian’s 2026 Proxy Statement says Class A shares carry one vote each and Class B shares carry ten votes each. As a result, voting power does not necessarily track economic ownership. In its April 23 proxy snapshot, Rivian reported that CEO Robert J. Scaringe beneficially owned all 3,912,500 outstanding Class B shares and had 3.8% of combined voting power.

Rivian’s Form 10-Q later reported that Scaringe’s affiliates had approximately 3.3% of voting power and 1.0% of common shares as of July 10, 2026. The figures use different dates and measures; they illustrate why a share count or economic stake alone cannot answer who has influence over shareholder votes.
The company said the Class B structure “will terminate in November 2026 on the five-year anniversary of the closing of our IPO.” Class B shares are convertible into Class A shares and the proxy describes automatic conversion in specified circumstances, including that anniversary. Because the scheduled date is close to the latest disclosure cited here, the structure’s status should not be assumed beyond the filing’s stated schedule.

Why the ownership numbers need dates
Ownership percentages are snapshots, not permanent labels. The April proxy supplies a detailed beneficial-owner table measured April 23; the later Form 10-Q supplies updated voting-power figures as of July 10, after share issuances during 2026. Rivian’s filings cited here do not provide a complete holder-by-holder snapshot as of October 8, 2026.
For historical context only, Rivian’s 2025 Form 10-K reported 1,237,077,289 Class A shares and 3,912,500 Class B shares outstanding as of January 29, 2026. That earlier count should not be substituted for the June figures or used to infer present ownership.
