What Intel agreed to—and when
Intel announced the agreement on August 22, 2025, describing it as a way to accelerate investment in U.S. technology and manufacturing. Its announcement put the government’s ownership stake at 9.9%, often rounded to 10%, and described 433.3 million primary shares at a blended price of $20.47 per share. The agreement was not merely proposed: Intel reported that it closed on August 27, 2025. Its closing filing says the company received $5.695 billion in accelerated Direct Funding Agreement disbursements and issued 274,583,000 common shares, along with a warrant. How the shares and funding were structured
The announcement’s $20.47 per-share figure is a blended headline price. The SEC agreement describes separate share components and prices, rather than one identical price applying to every share.

The agreement specifies up to 433,323,000 shares across the two share components. What the 9.9% stake means for Intel and taxpayers
The transaction gave the federal government an ownership interest in Intel in connection with funding already awarded or associated with federal programs. Intel CEO Lip-Bu Tan said in the August 22 announcement that the president’s focus on U.S. chip manufacturing was “driving historic investments” in the industry. That is Intel’s stated view of the policy’s significance, not evidence by itself that the transaction has produced particular manufacturing, commercial, or national-security results. The published transaction documents establish deal terms and status; they do not establish its eventual effects on U.S. manufacturing, Intel’s performance, or national security.
