What happened in Disney’s 2024 proxy contest
Trian Group nominated Nelson Peltz and former Disney chief financial officer James Rasulo to oppose Disney’s director slate. Disney’s 2024 proxy described the election as contested and set out plurality voting for the director seats. At the April 3 annual meeting, shareholders rejected the Trian nominees, according to the Associated Press.
The contest followed an earlier effort: Disney said Trian withdrew its 2023 campaign before the renewed nominations in 2024. The company’s board said in February 2023, “We are pleased that our Board and management can remain focused without the distraction of a proxy contest.” That statement referred to the withdrawal, not the later election.
Why the defeat reduced the immediate pressure
The vote meant Peltz and Rasulo did not gain the board seats they sought. The campaign had been a direct effort to influence Disney through board representation; once shareholders voted against the nominees, Trian no longer had that immediate route to a seat through the 2024 election.

Disney argued against the nominees in its campaign materials. In its February 1, 2024 solicitation, the company said: “Mr. Peltz brings no media experience and has presented no strategic ideas for Disney”. That was Disney’s advocacy position in a contested election, not a neutral finding about Peltz’s capabilities or the merits of his proposals.
What was reported about Trian’s Disney shares
On May 30, 2024, the Los Angeles Times reported that Trian sold its Disney shares after the defeat, citing CNBC’s account based on an unnamed person familiar with the matter. The Times also cited an estimated gain of about $1 billion on the investment. Axios separately reported that Peltz had sold his entire Disney stake.
