BCE reported $303 million in cash consideration, or $282 million net of cash acquired, plus estimated contingent consideration tied to performance objectives. The announcement’s “Bell to acquire” wording is therefore outdated: the transaction has closed.
What Bell paid for Distributel
In its 2022 annual financial report, published in 2023, BCE Inc. reported $303 million in cash consideration for the acquisition. After accounting for cash acquired, the net amount was $282 million.
BCE also reported $39 million of estimated additional contingent cash consideration, linked to certain performance objectives. The company said at the time that this amount was expected to be settled by 2026 and that the maximum payable was $65 million. Those figures describe BCE’s estimates and terms as reported; they do not establish how much contingent consideration was ultimately paid.
What Distributel does and why Bell bought it
BCE described Distributel as a national independent communications provider offering services to consumers, businesses, and wholesale customers. Bell said the acquisition was expected to support its strategy to grow its residential and business customer bases. That is Bell’s stated rationale, not independent evidence of the transaction’s effects.

BCE’s 2022 annual report included Distributel’s results in Bell Wireline. This describes the reporting treatment in that report and should not be assumed to reflect later segment structures.
What the public disclosures do not establish
The transaction disclosure does not show customer-by-customer changes to prices, service, or support after the acquisition. It also does not confirm the final contingent payment.

The index provides background on Distributel’s telecom activity; it is not evidence that the CRTC approved this acquisition. - Status and date: separate the announcement from the completion date.
- Consideration: distinguish cash paid from net cash after acquired cash, and identify any contingent amount separately.
- Business acquired: identify the provider’s customer groups and services.
- Rationale: label growth plans as the buyer’s stated strategy, not as a proven outcome.
- Accounting treatment: note the reporting segment and the year of the filing, since segment structures can change.
