Tim Cook bought 50,000 Nike Class B shares on December 22, 2025, at a reported weighted average of $58.97 each—about $2.95 million worth. The purchase brought his directly held shares to 105,480, nearly twice the 52,861 shares attributed to him in Nike’s proxy statement as of June 30, 2025. The “$6 million” headline refers to an approximate purchase-era value of his stake, not the cost of this purchase or a current valuation.
What Tim Cook bought—and what it cost
Cook’s December 22, 2025, Form 4 reports an acquisition of 50,000 Nike Class B common shares at a weighted average price of $58.97. Multiplying those figures gives an approximate purchase value of $2.95 million. The filing identifies the transaction with code P, which the SEC’s legend defines as an “Open market or private purchase of non-derivative or derivative security.” The reported price reflects transactions in a range from $58.96 to $58.97. SEC Form 4, filed December 2025.
After the purchase, Cook reported direct ownership of 105,480 shares. The headline’s roughly $6 million figure is an approximate valuation of that stake around the time of the purchase, not a $6 million outlay: the reported 50,000-share purchase itself was worth about $2.95 million at the filing’s weighted average price.
How the purchase compares with his earlier reported holdings
Nike’s 2025 proxy statement listed Timothy Cook as beneficially owning 52,861 Class B shares as of June 30, 2025. Compared with that snapshot, the December Form 4’s 105,480 directly held shares are nearly double. The figures come from different dates and use different descriptions—beneficial ownership in the proxy and direct ownership in the later filing—so they are useful context, not a same-day before-and-after account. Why Nike shares drew attention
Reuters reported that Nike shares closed 4.6% higher on December 24, 2025, after the purchase became public. Reuters characterized Cook’s purchase as a signal of confidence in CEO Elliott Hill’s turnaround strategy. That is an interpretation of the move, not a stated explanation from Cook, and the reported gain does not establish that his purchase caused the stock’s entire rise. Reuters, December 24, 2025.

A later Form 4, dated September 2026, reports a grant of 5,047 restricted shares on September 8 and 135,527 directly held shares following the reported transaction. The filing says the restrictions lapse under specified timing conditions. This later share count means the December 2025 “$6 million” valuation should not be presented as current: the September filing reports shares, not a contemporaneous market value. What investors can reasonably conclude
- The SEC filings establish reported transactions and ownership figures; they do not state Cook’s personal investment rationale.
- Reuters supplied an interpretation of the purchase as a confidence signal, but neither that description nor the subsequent one-day closing gain establishes a forecast of Nike’s results.
- The available reporting does not establish that the purchase caused the December 24 share-price move or that insider purchases predict Nike stock performance.
