What does the SEC say about meme coins?
In its February 27, 2025 Staff Statement on Meme Coins, the SEC Division of Corporation Finance described typical meme coins as driven primarily by market demand and speculation, subject to significant volatility, and often having limited or no utility. The Division said purchasers or holders of the described coins are not protected by the federal securities laws. It also expressly limited the reach of its view: “The Division’s view is not dispositive of whether a specific meme coin itself is a security or whether it is offered and sold as part of an investment contract, which is a security.” This is a category-level staff statement, not a coin-specific legal determination.
SEC Commissioner Caroline A. Crenshaw issued a response the same day criticizing the breadth of the staff statement’s framing. She emphasized that whether a particular transaction involves an investment contract requires an individualized inquiry and argued that a label does not settle the question. Her response represents her stated view; it does not necessarily represent the SEC, its staff, or fellow Commissioners.
