Teamsters Urged DOJ to Block Paramount-Warner Merger Without Worker Protections

The Teamsters opposed proceeding without worker and U.S. production protections, then supported a state-negotiated settlement. DOJ did not block the deal, and Paramount completed the acquisition on October 6, 2026.

The Teamsters’ March 2026 call to block Paramount Skydance Corporation’s proposed acquisition of Warner Bros. Discovery was conditional: the union said the deal should not proceed without enforceable safeguards for U.S. production and workers. DOJ later closed its investigation without challenging the deal, while a separate lawsuit by California and 11 other states ended in a court-approved settlement. The Teamsters supported that settlement, and Paramount completed the acquisition on October 6, 2026.

Why did the Teamsters want DOJ to block the merger?

On March 12, 2026, the International Brotherhood of Teamsters said it had sent a report to the Justice Department’s Antitrust Division and urged DOJ to sue to block the proposed acquisition unless the companies made enforceable commitments. The union’s concerns centered on employment and where film and television work would take place—not a finding that the merger had already caused harm.

The union warned that combining the companies could concentrate decision-making, reduce jobs, move production away from U.S. communities, and weaken labor standards. It sought commitments to increase and maintain domestic production, protect labor standards, and prevent layoffs and erosion of union jobs. The statement represented nearly 15,000 rank-and-file Motion Picture Teamsters; the union said it had 1.3 million members overall.

Teamsters General President Sean M. O’Brien put the demand this way on March 12: “Unless Paramount and Warner Bros. can guarantee enforceable protections for domestic production and labor standards, this merger can’t be allowed to move forward.” Those were the union’s arguments and conditions, not established predictions of what ultimately would happen to jobs or production.

Did DOJ block or approve the acquisition?

No. On June 12, DOJ announced that it had closed its investigation and concluded the transaction was unlikely to harm competition or consumers in the markets it reviewed. That was the department’s enforcement assessment; it was not a court ruling or a statement that every possible effect of the acquisition was known. DOJ did not block the deal, and it did not issue a blanket approval.

The department said its eight-month investigation examined streaming video on demand, linear television, and theatrical film development, production, and distribution. DOJ reported reviewing more than two million documents from more than 80 custodians, along with data and third-party submissions.

How did the state lawsuit differ from DOJ’s review?

California Attorney General Rob Bonta led 11 other states in filing a separate lawsuit on July 13. The states alleged that the merger would lessen competition in wide-release and anticipated top-grossing theatrical film distribution, as well as licensing basic cable channels. These were claims by the state plaintiffs, not findings that the merger violated antitrust law.

California’s account of the lawsuit put the combined company’s share at 27% in wide-release theatrical distribution and 27% in basic-cable licensing. Those figures were the state’s allegations, not neutral or adjudicated market-share findings. The state case therefore continued after DOJ closed its federal investigation, focusing on claims and markets framed by the state plaintiffs.

What protections did the settlement require?

California announced a settlement with Paramount on September 21, subject to court approval. A federal judge approved it on September 30, according to the Los Angeles Times. The agreement included five-year commitments covering film output, U.S. production spending, worker support, cable negotiations, and news editorial oversight. The commitments set future obligations; they do not establish that the company has already met its targets.

Settlement commitment Terms described by California
Annual film releases 30 films per year, including 20 wide releases, in the first two years; 32 films per year, including 21 wide releases, in years three through five.
Independent films At least four per year.
U.S. production spending At least $1.5 billion in additional U.S. film production spending over five years.
Worker support A $47.5 million fund for workers affected by the merger.
Basic cable The companies’ basic-cable channels must be negotiated separately.
News oversight A News Editorial Independence Board for CNN and CBS.

The settlement also included monitoring and compliance obligations. The SEC filing describing the deal set out remedies for specified failures to comply. The public commitments describe what Paramount is required to do; they are not evidence of completed production, spending, or worker-fund outcomes.

Did the Teamsters later support the merger?

Yes. On September 21, after the settlement was announced, the union said it supported the agreement. O’Brien said, “The Teamsters Union supports the settlement agreement announced today by California Attorney General Rob Bonta to move forward the pending merger between Paramount Skydance and Warner Bros. Discovery.” The union’s position changed from opposing a deal without safeguards to supporting a settlement it said included worker protections.

What happened next, and is the merger complete?

Paramount completed its acquisition of Warner Bros. Discovery on October 6, 2026, according to the Associated Press. A separate UK competition review was also recorded as cleared and closed in the UK Competition and Markets Authority’s update dated August 17, 2026. Neither the settlement commitments nor the union’s support establish the acquisition’s realized effects on jobs, prices, or content variety; the cited public accounts do not provide independently verified post-closing results on those measures.
