Why Telenor Recorded a NOK 3.0 Billion Loss on Its Pakistan Exit

Telenor’s NOK 3.0 billion Pakistan disposal loss was mainly tied to historical currency-translation balances. It was not the sale price: the announced cash-and-debt-free valuation was NOK 5.3 billion.

Telenor’s reported NOK 3.0 billion loss on its Pakistan exit was an accounting loss recognized when the sale closed—not the sale price or a cash payment of that amount. The company’s 2025 report says most of the Pakistan-specific loss came from reclassifying historical currency-translation balances, while Telenor separately valued the business at NOK 5.3 billion on a cash-and-debt-free basis when it announced the transaction.

What happened when Telenor sold its Pakistan business?

Telenor said the sale of Telenor Pakistan to Pakistan Telecommunication Company Limited (PTCL), part of e&, completed on 31 December 2025. The company had announced the transaction on 14 December 2023. Telenor’s completion announcement described the business as serving more than 40 million customers during its operation.

In its Q4 and full-year 2025 report, published 6 February 2026, Telenor presented Pakistan as a discontinued operation from Q4 2025. The report says discontinued operations are shown separately from continuing results, so the Pakistan exit should not be read as part of the group’s continuing operating performance. Why did Telenor record a NOK 3.0 billion loss?

Telenor’s report identifies a Pakistan-specific disposal loss of NOK 3,044 million net of tax. The headline figure of NOK 3.0 billion is a rounded version of that amount. Telenor says NOK 2,904 million of the loss was related to reclassifying translation differences—including the net investment hedge—from other comprehensive income, net of tax.

In plain terms, currency movements had accumulated in accounting balances while Telenor owned the Pakistan business. On disposal, relevant accumulated translation differences were reclassified into the disposal result. Telenor describes the loss as mainly related to historical translation differences. It is therefore an accounting result recognized on disposal, not a measure of the cash Telenor received for the business.

The report also gives a NOK 3,085 million after-tax disposal loss for all disposal groups in 2025. That is a combined figure across disposal groups, not the Pakistan-only loss of NOK 3,044 million.

How does the loss compare with the sale valuation?

The NOK 3,044 million loss and the NOK 5.3 billion valuation describe different things. The first is a net-of-tax accounting loss recorded on disposal; the second is the transaction’s cash-and-debt-free valuation when announced in December 2023. One does not cancel out or contradict the other.

Telenor said the closing confirmed the valuation level, or NOK 5.4 billion using September currency rates, subject to final end-of-year adjustments. It also said it had received NOK 0.9 billion in cash flow from Telenor Pakistan since the transaction announcement. Those figures provide transaction and cash-flow context; they are not the same measure as the disposal loss.

What cash amounts did Telenor report?

The Q4 report gives two separate amounts associated with the closing:

  • NOK 1,582 million: the amount Telenor Group received net of tax for the shares.
  • NOK 2,335 million: the amount Telenor Pakistan received from the buyer as a shareholder loan to settle internal debt owed to Telenor ASA.

These are distinct from the cash-and-debt-free valuation. The share proceeds, the loan used to settle internal debt, and the transaction valuation have different accounting and transaction bases; adding them together or treating any one as equivalent to the NOK 3,044 million disposal loss would misstate what the report says.

How did Telenor describe the strategic rationale?

Telenor Group CEO Benedicte Schilbred Fasmer said: “The completion of this transaction reflects Telenor Group’s strategy to focus on being an active owner of market-leading positions in Asia, while enabling consolidation and innovation in Pakistan’s telecom sector.” That is the company’s explanation of its strategy, not an independent assessment of the sale’s effect on Pakistan’s telecom market.
