What Spirit Airlines’ $300 Million Financing Meant—and What Happened Next

Spirit’s $300 million 2024 financing was a bondholder-backed bankruptcy loan, not passenger funding. A later facility was separate, and the airline ultimately stopped flying and entered liquidation.

Spirit Airlines’ $300 million financing was a loan commitment from existing bondholders to fund the airline during its Chapter 11 bankruptcy process. It was not a consumer loan or a new product for passengers. Announced November 18, 2024, it formed one part of a broader restructuring; Spirit later entered a separate bankruptcy case, stopped flying in May 2026, and received court authorization to liquidate.

What was Spirit’s $300 million financing?

On November 18, 2024, Spirit said existing bondholders had committed $300 million in debtor-in-possession, or DIP, financing. DIP financing is credit arranged for a company operating under bankruptcy protection. It is intended to provide funding during the bankruptcy process, subject to the applicable financing agreements and court authorization.

Spirit said the funds, combined with its available cash reserves and cash generated by operations, would support the company through Chapter 11. The announcement described financing for the airline’s restructuring—not money for customers, a loan offered to passengers, or a guarantee that the airline would remain in business.

How did the $300 million fit into the 2024 restructuring?

The DIP financing was only one part of the restructuring package Spirit announced. The company also described $350 million in backstopped equity investment commitments and a plan to convert $795 million of funded debt into equity. These were separate transactions with different purposes; the figures should not be combined or treated as additional DIP loans. Spirit’s November 18, 2024 announcement set out the package.

Spirit’s then-president and CEO Ted Christie called the agreement a “strong vote of confidence in Spirit and our long-term plan.” That was management’s assessment at the time, not a statement of the eventual outcome.

What did Spirit tell passengers at the time?

In November 2024, Spirit said it expected to continue normal operations during that Chapter 11 process. It said customers would be able to use tickets, credits, and loyalty points as usual. Those were expectations stated when the first restructuring was announced; they are not current guidance and do not describe what ultimately happened.

How did the later $475 million DIP facility differ?

Spirit’s later bankruptcy case involved a separate DIP facility of up to $475 million, described in the company’s November 2025 Form 8-K. The filing distinguished the initial funding from possible later draws and specified loan terms. It is not the same transaction as the $300 million announced in 2024, and the two amounts should not simply be added together as though they were a single pool of available cash.

The later facility’s “up to” amount was not all initially funded: the filing identified $200 million funded at the outset and made additional new-money draws conditional. The SEC-filed November 2025 Form 8-K describes the facility and its terms.

What happened to Spirit after the financing?

The 2024 financing did not preserve Spirit’s passenger operations indefinitely. During its later bankruptcy proceedings, a March 2026 filing described a restructuring support agreement involving holders of approximately 74.6% of new-money DIP loans, 71.8% of roll-up DIP loans, and 60.0% of specified secured notes. It also set cash-use and minimum-cash conditions. Those creditor percentages and conditions indicate the lenders’ role in the proposed restructuring; they do not show that the proposal succeeded. Spirit Aviation Holdings’ March 2026 filing describes the agreement.

In May 2026, Spirit abruptly canceled future flights. The Associated Press reported that U.S. Bankruptcy Judge Sean Lane authorized a plan to wind down the remaining business and liquidate assets. At the hearing, Lane said, “Today is a very challenging day. It’s not a day that anybody hoped would ever come.” The court authorization and shutdown are the relevant outcome; the available reporting does not establish final creditor recoveries or the ultimate disposition of every asset. The Associated Press reported on the shutdown and liquidation authorization.
