Spirit Aviation Holdings warned in August 2025 that there was “substantial doubt” it could continue operating for the next year. That was a historical warning, not the final outcome: on May 2, 2026, Spirit Airlines cancelled all flights and announced an immediate wind-down.
What Spirit’s cash-shortage warning meant
In August 2025, Spirit Aviation Holdings, the airline’s parent, said there was “substantial doubt” about its ability to continue as a going concern over the coming year. In practical terms, the company was warning investors that it might not have enough cash or access to financing to keep operating and meet its obligations through that period. The statement did not mean flights would stop immediately, nor did it guarantee that the company would fail.
The warning came only months after Spirit emerged from its first Chapter 11 bankruptcy in March 2025. The company said adverse market conditions, weak domestic leisure demand and business uncertainties were squeezing its finances and were expected to persist for at least the rest of 2025. It said it needed more cash and could consider selling aircraft and real estate, according to The Associated Press’s August 12, 2025 report.

The March 2026 restructuring agreement was not a guarantee that Spirit would successfully reorganize or resume normal operations. The company’s March 16, 2026 SEC filing describes the agreement and its conditions.

Why Spirit said it could no longer keep flying
The reason Spirit gave for the May 2026 shutdown was distinct from the factors it cited in its August 2025 warning. In its May 2 announcement, the company said a sudden, sustained rise in fuel prices and other business pressures had worsened its outlook. It said it lacked additional funding, while sustaining the business required hundreds of millions of dollars in additional liquidity. Spirit President and CEO Dave Davis said: “Sustaining the business required hundreds of millions of additional dollars of liquidity that Spirit simply does not have and could not procure.”
The Associated Press reported that Spirit attorney Marshall Huebner told the bankruptcy court fuel expenses grew by roughly $100 million in March and April alone. That is an attributed courtroom statement reported by AP, not an audited figure presented here as an independently verified company metric.
