The available records do not verify that Spirit Airlines’ CEO stepped down months before receiving a nearly $4 million bonus—or that the incentive was paid at all. A Spirit SEC filing describes a $4.0 million retention incentive for David Davis and says he agreed to have no further rights to it in specified circumstances. Separately, Spirit named Dave Davis as president and CEO in its May 2, 2026 wind-down announcement. Those records do not establish the alleged departure-and-payment sequence.

What does the $4 million filing actually say?

Spirit Aviation Holdings’ 2025 SEC filing describes an existing $4.0 million retention incentive associated with David Davis. It also says he agreed to have no further rights to that incentive under specified circumstances. The filing is evidence of an incentive and its limited entitlement terms—not proof that the money was paid.

The available filing does not establish a payment date or show, on its own, that the CEO resigned months before a payment. An incentive, a contractual right to receive one, and a completed payment are different things; the records available here establish only the first and limited information about the second. Was Dave Davis still CEO when Spirit announced its shutdown?

Yes. In its May 2, 2026 announcement that Spirit Airlines was winding down operations, Spirit Aviation Holdings identified Dave Davis as its president and CEO. Davis said: “For more than 30 years, Spirit Airlines has played a pioneering role in making travel more accessible and bringing people together while driving affordability across the industry.” The announcement does not establish when he may have left the role later, or whether the retention incentive was paid. What happened to Spirit Airlines?

Two Chapter 11 cases

Spirit filed for Chapter 11 bankruptcy protection in November 2024 and filed again in 2025, according to a company SEC filing. The filing provides context for why executive retention incentives might appear in restructuring disclosures, but it does not resolve the CEO’s departure date or the status of this incentive. Restructuring outlook and wind-down

On February 24, 2026, the Associated Press reported that Spirit expected to exit its second Chapter 11 case by late spring or early summer after reaching a preliminary agreement with creditors. On May 2, Spirit announced an orderly wind-down effective that day and said all flights had been cancelled. What remains unconfirmed?

  • The exact date the CEO referred to in the claim left the role.
  • Whether and when the $4.0 million incentive was paid.
  • Whether the departure and any payment occurred in the sequence implied by the claim.

The available records also do not justify treating this as the same compensation episode as older reporting about former CEO Ted Christie and a $3.8 million retention award. The names and amounts differ, and those reports do not establish the Davis timeline.
