What happened in the Rivian investor lawsuit?
Rivian announced on October 23, 2025, that it had agreed to settle Crews v. Rivian Automotive, Inc. et al., a securities class action pending in the U.S. District Court for the Central District of California. The proposed settlement was for $250 million and required court approval. The court granted final approval on May 20, 2026, and entered judgment on May 29, 2026. The lawsuit was brought on behalf of purchasers of Rivian Class A common stock. Plaintiffs alleged that Rivian’s IPO materials and certain later statements contained material misrepresentations or omissions, including about whether the bill-of-materials costs of the R1S and R1T exceeded their sale prices and whether the company would need to raise prices. Those were allegations, not findings of fact by the court. The official settlement site and the settlement agreement and notice describe the claims and resolution.
Did Rivian admit wrongdoing?
No. Rivian said it denied the allegations and that settling was not an admission of fault or wrongdoing. The settlement resolved the action, but it did not establish that Rivian committed fraud or violated securities laws. Defendants also denied liability to members of the classes in the official case materials. Rivian’s announcement sets out the company’s position.

Why are the reported settlement figures different?
The $250 million figure is the announced gross settlement amount. Rivian’s later reported $181 million figure is its aggregate net settlement payment after corresponding insurance recoveries, as reported in its 2026 second-quarter filing. They describe different measures at different times, not conflicting settlement totals.

The official case site describes two certified classes, both generally limited to people or entities who acquired Rivian Class A common stock during the specified period and were damaged. The class definitions have different starting dates and exclusions:

The claim-submission deadline was April 20, 2026, so that deadline has passed. The settlement hearing took place May 15, 2026; the court later approved the settlement and plan of allocation.

The $250 million gross amount does not translate into a fixed payment per investor. The net fund is reduced by court-awarded fees and expenses, notice and administration costs, and taxes, then distributed among class members with valid claims. Each claimant’s pro rata share depends on the number and characteristics of valid claims. The reviewed case materials do not establish a final individual payout or a definitive payment date.
