RealNetworks Took Control of Napster in a Deal Worth Up to $40 Million

RealNetworks took control of Napster in January 2019, but the advertised $40 million was a conditional maximum—not a closing-day payment.

RealNetworks increased its ownership of Napster from about 42% to about 84%, giving it control of the music-streaming company. The deal closed on January 18, 2019, and was announced four days later. The headline’s “up to $40 million” was a conditional maximum—not a $40 million payment at closing.

What RealNetworks acquired—and when

On January 22, 2019, RealNetworks announced that it had acquired equity, debt and other interests in Rhapsody International, which did business as Napster, from Rhapsody Applebee, LLC, an entity managed by Columbus Nova Technology Partners. The transaction had closed on January 18. RealNetworks’ January 2019 SEC filing describes the acquisition as giving RealNetworks control of Napster’s business.

Before the transaction, RealNetworks and the seller each held approximately 42% of Napster. RealNetworks’ stake rose to approximately 84%, and it gained a majority voting interest and the right to nominate a majority of Napster’s board. Those rights—not simply the size of the investment—are why this was a change of control.

Napster was nevertheless described as continuing to operate independently, with its own board, strategy and management team. That description concerned day-to-day operations; it did not undo RealNetworks’ ownership and governance control.

Why the deal was valued at up to $40 million

The announcement described a $1 million upfront cash commitment, another $14 million in payments over time subject to conditions, and further consideration dependent on later events. The possible total was up to $40 million. That figure was not the amount paid on January 18, nor does the announcement establish that the seller ultimately received it.

The SEC filing states that the seller could receive the full $40 million only if RealNetworks received more than $60 million in proceeds for the acquired 42% interest. The threshold made the upper figure contingent: the actual consideration depended on subsequent events and the applicable conditions.

The filing also describes the acquired package as the seller’s 42% equity stake plus a $5 million note receivable from Napster. Immediately before closing, both RealNetworks and the seller held $5 million secured notes receivable, subordinate to Napster’s senior debt and accruing interest at 10% annually. These financing details help explain why the transaction involved more than a straightforward purchase of shares.

What happened to Napster after RealNetworks took control

RealNetworks included Napster’s results and cash flows in its consolidated financial results from the acquisition date, according to its first-quarter 2019 report. This is consistent with the company’s accounting for the acquisition as a control-changing transaction, even as Napster was described as operationally independent.

RealNetworks later sold Napster to MelodyVR. The sale closed on December 30, 2020, and RealNetworks reported an approximate closing-date transaction value of $70.6 million. That value included cash, MelodyVR stock and the assumption of payment obligations, largely related to music industry entities. RealNetworks’ 2020 annual report also says that part of the sale proceeds was applied to a contingent obligation associated with the 2019 acquisition.

The later $70.6 million figure is not a like-for-like confirmation that the 2019 seller received $40 million. The transactions had different counterparties and the later value included assumed obligations; RealNetworks’ cited reporting does not provide a complete final reconciliation of every contingent payment under the 2019 agreement. The exact final amount payable under that agreement is therefore not established by these figures alone.

How RealNetworks described the outlook

At the time of the announcement, RealNetworks Chairman and CEO and Napster Chairman Rob Glaser said, “We think Napster’s future is very bright.” That was management’s outlook in January 2019, not evidence of a later business outcome.
