Prosus completed its acquisition of Latin American online travel agency Despegar on 15 May 2025. The December 2024 announcement valued the deal at approximately US$1.7 billion in enterprise value and offered shareholders US$19.50 per share in cash. Later acquisition accounting reported US$1.805 billion in total consideration—a different measure from the announced enterprise value.
What Prosus paid—and when the deal closed
Prosus announced the agreement on 23 December 2024, offering US$19.50 in cash for each Despegar share. It described the offer as approximately US$1.7 billion in enterprise value, a figure that should not be confused with the per-share price or the later accounting measure of total consideration. The transaction was completed on 15 May 2025, following board and shareholder approval and required regulatory clearances. In later acquisition accounting, Naspers reported total consideration of US$1.805 billion. The announcement’s approximate US$1.7 billion enterprise value and the accounting total are different reported measures, not competing descriptions of one identical figure. What Despegar does
Despegar is an online travel agency founded in Argentina in 1999 and listed on the New York Stock Exchange in 2017. At the time of the acquisition announcement, Prosus said it operated in more than 19 Latin American markets and reached customers through websites, mobile apps and conversational channels, including its AI assistant Sofia. Its business also includes a B2B white-label operation for partners such as banks, airlines and retailers. Prosus described Decolar, Despegar’s Brazilian brand, as Brazil’s most recognized travel brand; that is the buyer’s characterization, not an independent market-share finding. The business had scale before the deal. Prosus cited Despegar’s FY2023 results as more than 9.5 million transactions, US$5.3 billion in gross bookings, US$706 million in revenue and US$116 million in reported EBITDA. These are historical FY2023 figures included in the December 2024 announcement, not current operating metrics.
Despegar’s financial position before the acquisition
Despegar’s 2024 annual report, filed with the SEC in 2025, reported revenue of US$774.061 million for 2024, up from US$706.040 million in 2023. Gross profit was US$565.9 million, or 73.1% of revenue, compared with US$477.1 million, or 67.6%, in 2023. Despegar’s SEC filings

Performance varied by business line. For 2024, Despegar reported 13.0% revenue growth in Packages, Hotels and Other Travel Products and 25.0% growth in financial services revenue, including inter-segment operations. Destination services revenue declined 37.7%, in part after the company sold its destination management business in July 2024. Those segment movements provide context for the acquisition, but do not establish how the business would perform under Prosus.
Why Prosus wanted the travel platform
Prosus framed the purchase as an expansion of its Latin American digital-lifestyle ecosystem, which includes food delivery, classifieds, travel, experiences and fintech. It said it could connect Despegar with regional businesses such as iFood, its food-delivery platform, and Sympla, its events platform, and apply customer reach, operating experience and AI capabilities to support growth. These were the company’s strategic aims; the acquisition announcement did not demonstrate that the expected synergies had already been achieved.

At closing, Prosus CEO Fabricio Bloisi said the company planned to combine Despegar with iFood, fintech capabilities, Sympla and OLX Brazil to create customer convenience and new revenue opportunities. Prosus’s FY2026 first-half update says it consolidated Despegar’s financials from May 2025 onward and compares operating performance for 1H26 with 1H25. For that reporting period, Prosus reported gross bookings growth of 30%, revenue growth of 18% (13% in local currency, excluding acquisition and disposal effects), and adjusted EBITDA of US$38 million at a 13% margin. These are company-reported results for a defined period. They offer evidence that integration activity had begun, but do not by themselves show that the acquisition caused the reported growth or establish the long-term value of the deal.
