What to Check Before Investing in Logistics and Data-Center REITs

Before buying a logistics or data-center REIT, verify five things in the latest annual report, quarterly filing and current market data: what properties and regions you own exposure to, how dependable the tenants and leases are, whether the assets can support rent and occupancy growth, how much cash remains after property spending, and whether debt and valuation leave a margin of safety. Logistics warehouses and data centers are both real estate businesses, but their operating constraints differ sharply: logistics results depend heavily on location, transportation access and leasing spreads, while data-center growth can be limited by available power, cooling capacity and interconnection infrastructure.

The filings reviewed for this guide illustrate analytical questions rather than universal buy or sell thresholds. Use the checklist below to compare issuers, then confirm every current figure in the company’s latest Form 10-K, Form 10-Q, earnings materials and debt disclosures. This is general information, not a personalized investment recommendation.

Start with the property and geographic exposure

A REIT’s headline asset count tells you little about risk until you know where the properties are, what they are designed for and how local markets are performing. Read the portfolio table and segment notes in the latest annual filing, then update the picture with the most recent quarterly report.

Logistics properties

  • Map exposure by country, region and major distribution market. Warehouses near dense population centers, ports, airports, rail hubs and major highways can command different rents and retain tenants differently from buildings in lower-cost but oversupplied locations.
  • Separate modern, well-located facilities from older or functionally obsolete space. Ceiling height, loading doors, trailer parking, floor specifications and automation capability affect reletting costs and achievable rent.
  • Check whether growth is concentrated in a few markets. A regional slowdown, new competing supply or a local employer contraction can affect several properties at once.

Data-center properties

  • Identify the operating model: single-tenant facilities, wholesale colocation, retail colocation or hybrid assets. Revenue stability, capital needs and tenant bargaining power differ by model.
  • Review exposure to established data-center clusters and emerging markets. Local electricity availability, transmission constraints, permitting and fiber connectivity can matter more than broad technology-demand forecasts.
  • Look for customer self-build risk. Digital Realty’s 2025 Form 10-K identifies customer consolidation, competition, customer-owned facilities and local supply-and-demand conditions as risks that can affect leasing and operations.

Concentration is not automatically negative. A concentrated portfolio may offer superior locations or specialized facilities, but it requires a higher standard of evidence about local demand, replacement cost and alternative tenants.

Examine tenants, credit quality and lease expirations

Rental income is only as durable as the tenants and contracts producing it. Use the annual report’s revenue-concentration disclosures, largest-customer tables, lease-expiration schedule and discussions of tenant credit.

Tenant concentration

  • Calculate the share of annualized base rent and revenue attributable to the largest tenant and the top 10 tenants.
  • Determine whether a single customer occupies multiple buildings or markets. A tenant may appear diversified by property count while still representing substantial consolidated exposure.
  • Read disclosures about customer consolidation, bankruptcies, downsizing and delayed expansions. These risks are particularly relevant when a few large technology or logistics customers account for a material share of rent.

Lease maturity and renewal risk

  • Mark expirations by year and by market. A large expiration wall can make reported occupancy look stable until several major leases roll at once.
  • Compare contractual escalators with current market rents. Fixed escalators provide visibility, but they may lag inflation or market growth; above-market in-place rents can create renewal pressure.
  • Inspect renewal rates, downtime between tenants, tenant-improvement allowances and leasing commissions. A lease that renews at a higher nominal rent can still destroy value if concessions and capital costs are excessive.

For data centers, lease term and contractual power commitments deserve separate attention. For logistics, tenant credit and the cost of reconfiguring or modernizing a warehouse can determine the economics of a renewal.

Use the right operating tests for each property type

Logistics: occupancy, rent growth and market balance

Prologis describes strategic location, rent increases, occupancy and expense management as key earnings drivers, while also warning that tenant distress and macroeconomic conditions can weaken results. Test those drivers directly:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Occupancy: Review period-end and average occupancy, not just the highest figure reported. Investigate changes by region and building age.
  • Rent spreads: Compare new-lease and renewal spreads separately. New leases may capture market growth, while renewals reveal tenant retention and pricing power.
  • Market vacancy and supply: Read management’s market data and development pipeline. High future deliveries can reduce rent growth even when current occupancy is strong.
  • Expenses: Track property taxes, insurance, utilities, repairs and maintenance. Determine which costs are recoverable from tenants and which remain with the landlord.
  • Tenant health: Review industry exposure, retailer and manufacturer conditions, and any increase in receivables or bad-debt charges.

Data centers: power, cooling and deliverability

Demand for computing capacity does not guarantee that a facility can lease additional space. The decisive question is whether the site can deliver reliable power and cooling at the required density.

  • Review total and available critical power, committed power, leased power and the timing of additional capacity.
  • Check the utility, substation and transmission arrangements supporting each campus. Interconnection delays or transmission constraints can postpone revenue even when customer demand is signed.
  • Assess cooling design, water requirements, redundancy and the ability to upgrade systems for higher-density racks. Power and cooling upgrades can be difficult and expensive, and may require substantial capital before new rent begins.
  • Separate powered shell, fit-out and tenant-funded construction. A large development pipeline is less valuable if the REIT must fund most of the infrastructure while waiting for customer commitments.
  • Compare contracted backlog with speculative capacity. Contracted commitments provide visibility, but review termination rights, construction milestones and customer credit.

Check local supply, demand and competitive position

National narratives can obscure local oversupply. Read market-by-market commentary and compare it with independent current data before relying on management’s growth assumptions.

  • For logistics, examine vacancy, net absorption, new construction, land availability, asking rents and transportation infrastructure in each major market.
  • For data centers, examine available power, fiber routes, permitting, utility lead times, competing campuses and demand from cloud, enterprise and artificial-intelligence users.
  • Ask whether new supply can be delivered before the REIT’s existing leases expire. A market with strong current rents may still face a wave of competing completions.
  • Identify barriers to entry—scarce land, zoning, power, connectivity or specialized construction—and distinguish durable barriers from temporary delays.

Understand the development and acquisition pipeline

Growth forecasts often depend on projects that are not yet producing rent. Reconcile the pipeline with funding capacity and execution risk.

  1. List projects under construction, committed but not started, and potential developments separately.
  2. For each project, record expected cost, delivery date, pre-leasing or pre-commitment, expected yield and remaining funding requirement.
  3. Check whether construction costs, interest expense or permitting delays have changed since the prior quarter.
  4. Compare acquisition guidance with the balance sheet and equity-market conditions. A pipeline that requires frequent share issuance may dilute existing owners.
  5. Review dispositions and joint ventures. Selling mature assets can fund growth but may reduce current cash flow or shift risk to less-proven projects.

Read FFO and AFFO with the definitions beside you

Funds from operations (FFO) and adjusted funds from operations (AFFO) are REIT-oriented measures, not interchangeable substitutes for cash flow from operations or net income. Nareit provides investor guidance on these measures, but issuers may make additional adjustments in their non-GAAP reconciliations.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Start with net income and the reconciliation to FFO. Identify depreciation and amortization, gains or losses on property sales and any other standard adjustments.
  • Read the issuer’s AFFO definition line by line. Common adjustments can include recurring maintenance capital expenditures, straight-line rent, stock compensation, lease-related costs and other items; the exact treatment varies by issuer.
  • Compare recurring AFFO with dividends paid and with cash flow from operations after maintenance capital expenditures.
  • Do not compare two companies’ “AFFO” as if the labels guaranteed identical accounting. Recast major adjustments where practical.
  • Investigate widening gaps between reported FFO, AFFO and cash flow. The gap may reflect legitimate timing items, but it can also reveal heavy recurring capital needs or aggressive adjustments.

Test debt, interest coverage and refinancing risk

Debt affects both resilience and the ability to fund acquisitions, developments and tenant improvements. Build a maturity schedule from the latest quarterly filing and debt footnotes.

  • Measure total debt, net debt, secured debt and debt-to-EBITDA. Note covenant definitions, not just the headline ratio.
  • Review fixed-charge or interest coverage and test what happens if earnings decline or rates remain high.
  • Determine the share of floating-rate debt, the extent of interest-rate hedging and the dates when hedges expire.
  • List maturities for the next five years, weighted-average interest rates, available revolver capacity and unsecured bond access.
  • Estimate funding needs for development, acquisitions, lease-up costs and recurring capital expenditures before assuming that retained cash can cover them.

Digital Realty’s 2025 Form 10-K states company-specific through-cycle targets of debt-to-Adjusted EBITDA of 5.5 times, fixed-charge coverage greater than three times and floating-rate debt below 20% of total outstanding debt. These are that issuer’s stated targets, not industry standards or automatic safety thresholds. Compare every REIT with its own disclosed policies, covenants and asset-risk profile.

Evaluate dividends and valuation using current evidence

A high dividend yield can reflect a lower share price, higher perceived risk or an unsustainably high payout. Obtain the current share price, annualized dividend, payout ratio and consensus or company guidance from up-to-date market data and filings; the reviewed material does not establish current peer multiples or dividend-coverage figures.

  • Compare the dividend with recurring AFFO and cash flow after maintenance capital expenditures.
  • Review the history of increases, freezes or cuts, and read management’s stated payout policy.
  • Compare price-to-FFO or other valuation measures with operating quality: lease duration, rent-growth prospects, occupancy, balance-sheet strength and development risk.
  • Use net asset value or replacement-cost analysis cautiously. Estimates depend on capitalization rates, construction costs, land values and assumptions about stabilized occupancy.
  • Stress-test valuation for higher interest rates, slower rent growth, lower occupancy and wider capitalization rates.

A practical filing-by-filing workflow

  1. Read the latest annual report first. Extract property locations, tenant concentration, lease expirations, debt maturities, capital commitments and non-GAAP definitions.
  2. Update with the latest quarterly filing. Replace annual figures with current occupancy, leasing spreads, development spending, debt balances, hedges and guidance.
  3. Read the risk factors. For data centers, focus on power, cooling, customer self-build, competition and local supply. For logistics, focus on tenant distress, market vacancy, rent cycles and operating expenses.
  4. Build a one-page comparison sheet. Record the same metrics for each candidate so differences are visible rather than buried in narrative.
  5. Verify market data on the decision date. Check share price, dividend, valuation multiples, credit conditions and local supply indicators immediately before acting.
  6. Write down disqualifiers. Examples include an unmanageable maturity wall, dependence on one customer, unfunded power requirements or AFFO that does not cover the dividend after recurring capital spending.

Comparison checklist

Dimension Logistics REIT questions Data-center REIT questions
Property and geography Are buildings near durable demand, transport links and population centers? Are campuses supported by power, fiber, permits and suitable local demand?
Tenants and leases What are tenant credit, renewal spreads, lease expirations and re-leasing costs? How concentrated are customers, how long are contracts, and who funds fit-out and expansion?
Operations What are occupancy, market rent growth, vacancy, supply and expense trends? What are critical power, cooling capacity, utilization and upgrade requirements?
Growth Is the development pipeline pre-leased and economically funded? Is additional capacity deliverable on schedule, or constrained by utilities and equipment?
Cash generation How do FFO and AFFO reconcile to recurring capital spending? Do reported measures reflect substantial power, cooling and fit-out costs?
Balance sheet Can debt support lease-up and acquisitions through a rent slowdown? Can debt support capital-intensive expansion while rates and construction costs remain elevated?
Valuation Does the price reflect market rents, occupancy and tenant risk? Does the price reflect power constraints, contracted growth and customer concentration?

Red flags that warrant deeper work

  • Occupancy remains high only because management has not yet reported a large upcoming expiration.
  • Rent growth is strong in reported numbers while concessions, tenant improvements or bad debt are rising.
  • A data-center pipeline is marketed as demand-led but lacks firm power, permits or customer commitments.
  • AFFO growth depends on recurring “one-time” add-backs or excludes substantial maintenance spending.
  • Debt maturities cluster before projects are expected to generate cash, or floating-rate exposure rises without clear hedging.
  • A dividend yield appears unusually high relative to recurring cash generation and the issuer offers no credible coverage explanation.

Use these signals to direct questions, not as automatic sell rules. The appropriate conclusion depends on the issuer’s contracts, assets, financing and valuation at the time you review it.
