Tokenized Securities vs. Traditional Securities: Ownership, Settlement, and Risks

Short answer: A token that references a stock or bond does not automatically give you the same legal ownership as a conventional security. Your rights depend on the token’s legal design, the record that controls ownership, and the contracts among the issuer, custodian, broker, platform, and wallet provider. Tokenized systems can support atomic delivery-versus-payment settlement, but that is a design possibility—not a guarantee of faster, safer, or round-the-clock trading.

What “tokenized security” means

Tokenization is a way to issue, represent, record, or transfer a security using a blockchain or another distributed-ledger system. It changes the format and operational plumbing; it does not, by itself, change what asset you own or remove securities-law obligations.

The same word can describe materially different products. One token may be the issuer’s blockchain-native share. Another may be a claim on a custodian that holds ordinary shares. A third may merely track the price of a reference stock under a contract with no claim against that stock’s issuer. Those products can look identical in an app while giving holders very different rights if a dividend is declared, a vote occurs, a transfer is blocked, or an intermediary fails.

The SEC’s January 28, 2026 staff statement says that “the format in which a security is issued or the methods by which holders are recorded (e.g., onchain vs. offchain) does not affect application of the federal securities laws.” The statement is staff guidance and expressly has no legal force or effect. It is not a finding that every token is a security, nor a guarantee that a particular token holder has the rights of a direct shareholder.

SEC Commissioner Hester M. Peirce made the practical point in a July 9, 2025 statement: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” Her statement is commentary, not a binding Commission rule.

Do tokenized stocks give you the same rights as regular shares?

Sometimes, but only when the legal documents make the token the same-class security or otherwise give you equivalent rights. Investor.gov describes three common structures. Read the offering terms, shareholder agreement, custody agreement, and platform disclosures rather than relying on labels such as “backed,” “on-chain,” or “1:1.”

Issuer-sponsored tokens

In an issuer-sponsored model, the company or its authorized agent issues the security on a blockchain. If the token is the same class of security as an ordinary share, the governing documents may provide voting, dividend, ownership, redemption, and transfer rights comparable to those of a non-tokenized share.

“May” is important. The token’s terms still control. Confirm whether the holder is listed directly on the issuer’s register, whether a transfer updates that register automatically or through an agent, and whether restrictions apply to particular wallets, jurisdictions, or holding periods.

Off-chain security with an on-chain transfer signal

An issuer can issue the security in the conventional way and use a token only to signal a transfer. The authoritative master securityholder file may remain off-chain with the issuer, transfer agent, or central securities depository. In that arrangement, moving the token may not itself transfer legal title; a separate record update or intermediary instruction may be required.

Ask what happens if the blockchain record and the official register disagree. The documents should identify which record prevails, who can correct an error, and how an investor proves entitlement when a wallet is lost or a platform is unavailable.

Custodial tokens

In a custodial structure, a third party holds the underlying shares or bonds and issues tokens representing an indirect interest or security entitlement. Your claim may be against the custodian, issuer of the token, broker, or another account provider rather than directly against the company whose stock is held.

That additional layer can matter in an insolvency. SEC staff notes that a third-party token holder can face bankruptcy exposure to the third party that a direct holder might not. Review segregation rules, insolvency treatment, rehypothecation rights, audit and reconciliation practices, and the procedure for claiming the underlying asset if the token issuer or custodian fails.

Synthetic or reference-asset tokens

A synthetic token can track the price or performance of a reference security without conveying shares, voting rights, dividends, or a claim against the reference issuer. Your counterparty may owe a cash payment under a derivative or other contract, subject to collateral, termination, and insolvency terms.

“Backed” can mean physical custody, a contractual obligation, collateral, or simply an economic target. Determine what the term means in the legal documents and who bears losses if the reference market closes, the oracle is wrong, collateral falls short, or the counterparty defaults.

Who legally owns the asset?

Ownership is a recordkeeping question as much as a technology question. Traditional securities often involve an issuer register, a central securities depository, a broker, and one or more custodians. The investor may hold a beneficial interest through an account rather than a certificate bearing the investor’s name. Tokenized arrangements can reproduce that model, replace parts of it, or introduce a new chain of contractual claims.

Before buying, identify all four items below:

  • The issuer: Which legal entity created the token or promises to redeem it?
  • The claim: Is it a share, bond, security entitlement, depositary interest, derivative, or another contract?
  • The controlling record: Is the blockchain ledger legally authoritative, or does an off-chain register or custodian account control?
  • The payment obligation: Who must pay dividends, interest, redemptions, or other distributions?

Then test the transfer mechanics. Does sending the token transfer the security or entitlement immediately? Does an approved agent have to update a separate register? Can the recipient be rejected because of identity, jurisdiction, sanctions screening, or holding limits? Are transfers reversible, and who has authority to reverse an erroneous or fraudulent transaction?

How settlement works in each model

Traditional account-based settlement

For U.S. equities, the SEC Investor Advisory Committee describes the normal settlement cycle as T+1: a trade ordinarily settles one business day after execution. Multiple intermediaries and separate ledgers coordinate delivery of securities and payment. A seller can fail to deliver shares, a buyer can fail to pay, or an operational or technical problem can interrupt the process before final settlement.

Established infrastructure also supports netting. Instead of funding every trade gross, participants can offset purchases and sales and settle the net amount. Brokers, custodians, clearing agencies, and depositories provide defined procedures for collateral, fails, corporate actions, and default management.

Tokenized delivery-versus-payment

If the security token and a cash token exist on the same ledger, a smart contract can coordinate simultaneous transfer. This is called atomic delivery versus payment (DvP): either both legs complete or neither does. Atomicity can reduce some timing and principal-exposure risks and may simplify reconciliation.

That benefit depends on the design. The cash token must represent money that participants can actually use, the smart contract must enforce the intended conditions, and the transfer must be legally final. If the security and cash are on different ledgers, a bridge or interoperability mechanism is required, creating another dependency. If one leg settles on-chain while the other remains in an account-based system, the process may still depend on conventional intermediaries and off-chain finality.

Why a shorter cycle is not automatically safer

Shortening the interval between trade and settlement can reduce replacement-cost exposure, but it can also increase liquidity demands. Participants must have cash or securities ready sooner, and individual gross settlement can require more intraday liquidity than netted settlement. A system can therefore reduce one risk while increasing another.

Legal finality is separate from technical completion. A transaction can be irreversible on a ledger yet remain subject to a court order, insolvency proceeding, mistaken identity, or a rule that the official register—not the ledger—determines ownership. Cross-border trades add questions about which jurisdiction’s law governs the transfer, collateral, insolvency, and finality.

Interoperability during the transition

Tokenized and account-based systems are likely to coexist for an extended period. The Bank for International Settlements (BIS) emphasizes interoperability because many securities, cash systems, and market participants will remain on conventional infrastructure. A tokenized venue may therefore need gateways, custodians, payment systems, or transfer agents to connect to non-tokenized markets. Those connections can preserve familiar safeguards, but they also preserve operational, counterparty, and reconciliation dependencies.

Are tokenized securities safer than traditional securities?

There is no universal safety advantage. Tokenization can remove or reduce particular settlement and reconciliation problems while introducing technology, governance, custody, and legal risks. Compare the complete arrangement, not the ledger label.

Comparison axis Traditional account/intermediary model Tokenized arrangement: questions and possible changes
Legal ownership Ownership or beneficial interests are recorded through issuer, broker, custodian, and central-securities-depository records. Does the token itself transfer the security, represent an entitlement, or merely signal an off-chain update? Which record controls if records conflict?
Counterparty and custody Intermediaries and custodians have established contractual and legal roles under the relevant market structure. Issuer, custodian, platform, bridge, protocol, and wallet-provider exposure may be added. Third-party bankruptcy risk can be material.
Settlement timing and credit U.S. equity settlement is T+1 as described by the SEC Investor Advisory Committee; exposure can exist between execution and settlement. Atomic DvP may reduce some settlement exposure, but shorter cycles can increase liquidity needs and cross-system risk.
Liquidity and market functioning Netting, clearing, intermediaries, and established funding arrangements support liquidity management. Ledger-specific cash, limited venues, less netting, or a mismatch between token and reference-asset liquidity can create funding and redemption pressure.
Technology and operations Legacy systems have operational dependencies, reconciliations, outages, and manual back-office processes. Smart-contract defects, lost keys, governance failures, immutable erroneous transfers, outages, oracle errors, bridges, and migration complexity become central risks.
Regulation and geography Securities and intermediary rules apply according to the instrument and jurisdiction. On-chain format does not by itself remove U.S. securities-law obligations, while legal finality and treatment can vary across borders.

The main risks to evaluate

Legal and ownership risk

The token may not be the asset you think it is. A description that says “one token equals one share” is not enough; determine whether that equality is legal, economic, or merely intended. Look for explicit provisions on voting, dividends, interest, redemption, transfer, corporate actions, and insolvency.

Custodian and third-party insolvency risk

If another entity holds the security or promises to pay you, its insolvency can delay or reduce recovery. Read whether assets are segregated, whether they can be lent or rehypothecated, how records are reconciled, and whether holders have a proprietary claim or only an unsecured contractual claim.

Smart-contract and software risk

Code can contain bugs, flawed access controls, or incorrect assumptions about corporate actions and transfer restrictions. An upgrade mechanism may let an administrator pause, freeze, mint, burn, or reverse tokens. Immutability can make a mistake permanent; upgradeability can create governance and key-holder risk. Find the audit disclosures, emergency powers, version history, and incident-response process.

Private-key and wallet risk

Control of a wallet may control the token, but possession of a key does not necessarily establish legal ownership. Lost credentials, phishing, malware, multi-signature failures, and unauthorized transfers can prevent access. Confirm whether the provider offers recovery, whether recovery changes the legal record, and who bears losses from a compromised key.

Oracle and bridge risk

Synthetic products and cross-ledger settlement often rely on price oracles, message relays, or bridges. An incorrect price, delayed message, validator failure, or exploit can create losses even when the underlying security and cash systems operate normally. Ask which data source is authoritative, how discrepancies are handled, and whether a bridge failure can strand or duplicate assets.

Liquidity and replacement-cost risk

A token can trade thinly while its reference share or bond is liquid, or the reverse. Limited market makers, restricted wallets, venue outages, and redemption queues can widen spreads and make exits difficult. During stress, holders may demand redemption at the same time that the custodian or reference market cannot deliver immediately.

Settlement and liquidity risk

Atomic settlement can reduce the time one party is exposed to another, but it may require prefunded cash or securities and reduce the benefits of netting. Participants should model intraday liquidity, collateral calls, failed transfers, and what happens when only one ledger or payment rail is operating.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Governance and operational risk

Someone must set transfer rules, approve upgrades, resolve disputes, process corporate actions, and respond to outages. Governance may be concentrated in an issuer, platform, custodian, consortium, or small group of key holders. Identify those decision-makers, their fiduciary or contractual duties, quorum rules, and the procedure for challenging an improper action.

Cross-border and regulatory risk

A token accessible worldwide can still be subject to local offering, trading, custody, tax, sanctions, and investor-protection rules. The legal result may differ depending on where the issuer, investor, custodian, ledger operator, and assets are located. Do not assume that technical access makes a product available or lawful in your country.

How to investigate a token before buying

  1. Obtain the primary documents. Download the offering memorandum, token terms, shareholder or bond documents, custody agreement, platform terms, and risk disclosures. If the provider will not supply them, you cannot verify the claim.
  2. Draw the legal chain. Write down the issuer, transfer agent, broker, custodian, venue, ledger operator, wallet provider, and any oracle or bridge. For each, note what it owes you and what happens if it fails.
  3. Identify the controlling record. Confirm whether the blockchain, an issuer register, a custodian account, or another database determines ownership. Ask how conflicting records are corrected.
  4. Test the rights. Find the exact clauses for voting, dividends or interest, redemption, corporate actions, transfer restrictions, and eligibility for distributions.
  5. Check settlement mechanics. Determine whether delivery and payment are atomic, whether cash is on the same ledger, whether a bridge is used, and when settlement becomes legally final.
  6. Assess liquidity. Identify trading hours, eligible counterparties, market makers, redemption windows, minimum sizes, fees, and what happens if the venue is offline. Do not infer 24/7 liquidity from a blockchain that runs continuously.
  7. Review technology controls. Look for smart-contract audits, upgrade and pause powers, administrator keys, oracle methodology, bridge controls, incident history, and recovery procedures.
  8. Analyze insolvency treatment. Determine whether you own the underlying asset, a segregated pool interest, or an unsecured promise. Look for governing law, venue for disputes, and the order of claims in a bankruptcy.
  9. Confirm jurisdiction and eligibility. Check your country, investor status, holding limits, tax treatment, identity requirements, and transfer restrictions with a qualified local adviser where necessary.
  10. Compare the conventional alternative. Ask what the token improves for your use case and which new dependency it adds. If the answer is only “it is on-chain,” the analysis is incomplete.

Can tokenized securities trade 24/7?

The ledger may operate continuously, but trading availability depends on the venue’s hours, the issuer’s transfer rules, the cash leg, broker and custodian support, market-making, corporate-action procedures, and applicable law. A platform can accept orders outside traditional hours while limiting execution, settlement, or redemption to defined windows.

Continuous trading can also expose investors to overnight price gaps, thin liquidity, stale reference prices, and delayed corporate-action information. Confirm when a trade is binding, when payment is final, and whether the quoted price is based on an open market or an oracle.

What regulators and standard setters actually establish

SEC staff’s January 2026 statement

The staff view is that federal securities laws do not switch off because a security is issued or recorded on-chain. The statement is expressly nonbinding and has no legal force or effect. It should be read as an explanation of staff views, not as a blanket approval or a definitive classification of every tokenized product.

Federal Reserve capital FAQ

The Federal Reserve’s capital-treatment FAQ addresses eligible tokenized securities whose legal rights are identical to their non-tokenized forms. It does not establish that all retail token products have identical ownership rights or receive the same regulatory treatment. Apply its scope narrowly.

BIS settlement and stability analysis

BIS analysis describes potential benefits from shared-ledger delivery-versus-payment, while emphasizing liquidity, credit, interoperability, legal-finality, and transition issues. Its Financial Stability Institute discussion also highlights risks from leverage, liquidity mismatch, operational failures, governance, and interconnected third parties. These are system-design considerations, not proof that a particular token is safe or unsafe.

Bottom line for an investor

Start with the legal claim, not the blockchain. A token can represent a directly issued share, an indirect entitlement through a custodian, or only synthetic price exposure. Find the authoritative ownership record, the parties that owe you money or securities, and the consequences of their failure. Treat atomic settlement as a possible feature that must be verified—not as evidence of guaranteed speed or safety. The right comparison is the complete legal, operational, and technological arrangement against the conventional security you could otherwise hold.
