Short answer: a U.S. spot Bitcoin exchange-traded product (ETP), commonly called a Bitcoin ETF, is a security whose shares represent an interest in a trust holding Bitcoin. You trade those shares through a brokerage during the listing exchange’s session. Buying spot Bitcoin means acquiring the crypto asset itself through a crypto platform or another direct route, with your own decisions about custody and access.
The two choices expose you to Bitcoin differently. An ETP has its own bid-ask spread, market depth, NAV, creation and redemption process, sponsor fee and exchange schedule. Direct Bitcoin has venue-specific execution and custody considerations and generally trades continuously. High Bitcoin volume does not automatically make an ETP share liquid, and a tight share spread does not guarantee that the share price will exactly match Bitcoin or the fund’s NAV.

What “Bitcoin ETF” means in the United States
In everyday conversation, “Bitcoin ETF” usually refers to a spot Bitcoin ETP listed on a U.S. securities exchange. The precise legal structure matters: the SEC says spot Bitcoin and Ether products are exchange-traded commodity trusts, not investment companies registered under the Investment Company Act of 1940. A shareholder owns a security issued by the trust; the shareholder does not directly own a particular quantity of Bitcoin in a personal wallet.

The trust holds Bitcoin with a disclosed custodian and calculates a per-share net asset value (NAV). The share is bought and sold in the secondary market like another listed security. The share price is determined by orders from investors and market makers, not by a rule that mechanically converts every Bitcoin trade into a share trade.

- BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
- SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
- NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
- 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
- BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
When the SEC approved the listing and trading of certain spot Bitcoin ETP shares on January 10, 2024, then-Chair Gary Gensler emphasized that the action was not an endorsement of Bitcoin: “While we approved the listing and trading of certain spot bitcoin ETP shares today, we did not approve or endorse bitcoin.” Approval of a listing also did not approve crypto-asset trading platforms generally.
What you own when you buy each option
Spot Bitcoin ETP shares
- Asset: shares in a spot crypto commodity trust backed by Bitcoin.
- Access: a securities brokerage and the exchange where the product is listed.
- Custody: the trust’s sponsor and custodian handle the Bitcoin; you do not personally manage the private keys.
- Trading: orders execute at the share’s market price, which can be above or below NAV.
- Costs: the sponsor’s ongoing fee, plus any brokerage commission, bid-ask spread and other trading costs.
Direct Bitcoin
- Asset: Bitcoin itself, recorded on the Bitcoin network and controlled through private-key access.
- Access: a crypto-asset trading platform, peer-to-peer transaction or another direct purchase route.
- Custody: you or a chosen custodian must secure account credentials, withdrawal permissions and private keys. A hardware wallet is optional, not required.
- Trading: execution depends on the selected venue’s order book, liquidity, fees, limits and withdrawal process.
- Costs: there is no ETP sponsor fee, but trading, withdrawal, custody, network or spread costs may apply.
Liquidity has several separate layers
“Liquidity” is not one number. Before comparing a Bitcoin ETP with direct Bitcoin, identify which friction you mean.
Bid-ask spread
The bid is the highest displayed price a buyer is offering; the ask is the lowest displayed price at which a seller is offering shares or Bitcoin. The difference is the bid-ask spread. A narrower spread generally reduces the immediate cost of entering or exiting a position. A market order to buy normally executes at or near the ask, while a market order to sell normally executes at or near the bid.
The spread is an execution cost, not a measure of whether the product is trading at fair value relative to Bitcoin. An ETP can show a narrow spread while its share price is temporarily at a premium or discount to NAV.
Market depth
Depth describes how much size is available at and near the best bid and ask. Two products can display the same one-cent spread while one has much more buy and sell interest behind those prices. A large order can move the price substantially when depth is thin, even if the quoted spread looks attractive.
Premium or discount to NAV
NAV is the calculated value per share of the trust’s assets minus liabilities. The exchange price is set by supply and demand during the session. If the exchange price is higher than NAV, the shares trade at a premium; if lower, they trade at a discount. This gap is a different friction from the bid-ask spread.

Underlying Bitcoin-market liquidity
Direct Bitcoin liquidity belongs to a particular venue. Spreads, order-book depth, fees, deposit and withdrawal limits and the venue’s operating status all matter. Bitcoin’s broad global market can trade continuously, but your actual execution is limited to the venue and account you use.

- Place the order through a brokerage. You select the ticker, quantity and order type. A limit order specifies the highest price you will pay or lowest price you will accept; a market order prioritizes execution but accepts the available prices.
- The order is matched on the listing exchange. During the exchange session, your order interacts with displayed and non-displayed liquidity supplied by other investors and market makers.
- The trade executes at the share price. Buying commonly pays the ask or prices above it; selling commonly receives the bid or prices below it. The spread and any brokerage charge are separate from the trust’s sponsor fee.
- The share is held in the brokerage account. You generally do not handle Bitcoin addresses, network confirmations or private keys.
- The trust calculates NAV. The sponsor values the Bitcoin and other assets under the product’s stated methodology, then reports NAV per share. NAV is an accounting reference, not the guaranteed execution price.
- Authorized participants support the primary market. Large financial firms can create new blocks of shares or redeem blocks with the trust under the product’s procedures. Their activity provides a mechanism for responding to persistent premiums or discounts.
How direct Bitcoin trading works
- Fund an account or arrange a direct transaction. Deposit and settlement methods differ by platform and jurisdiction.
- Inspect the venue’s order book and fee schedule. Look at the bid, ask, available size, trading fee, withdrawal fee and any minimums or limits.
- Choose an order type. A market order can fill across multiple price levels; a limit order controls price but may not execute.
- Decide where the Bitcoin will be held. Leaving it with a custodian reduces key-management tasks but adds reliance on that custodian. Self-custody makes you responsible for backups, recovery phrases and transaction approvals.
- Account for transfer and network timing. Moving Bitcoin off a platform can involve a withdrawal fee and network confirmation time. Sending to an incorrect address can be irreversible.
Why an ETP price can differ from Bitcoin and NAV
Exchange hours do not match Bitcoin’s market
A U.S.-listed ETP share trades according to its exchange’s schedule; it does not trade continuously around the clock. Bitcoin markets generally operate continuously. If Bitcoin moves sharply after the equity market closes, the next ETP session can open at a materially different price. No share-market bid or ask is available during the closure to absorb that move.
Investor demand can move the share price
Share demand can temporarily exceed or fall short of the amount of Bitcoin represented by the shares. Buy orders can lift the share price above NAV, while concentrated selling can push it below NAV. The premium or discount can change even when Bitcoin’s spot price is relatively stable.
Creation and redemption are not instant retail conversions
Authorized participants, rather than ordinary shareholders, normally transact creation or redemption units with the trust. They can sell overpriced shares and seek new shares from the trust, or buy discounted shares and redeem them, when the economics justify the trades. Settlement, fees, financing, inventory, market hours and operational limits all affect whether that arbitrage is worthwhile.
The two markets are segmented
ETP shares trade in equity markets while Bitcoin trades on crypto-asset markets. Federal Reserve researchers describe arbitrage between those markets as difficult and the markets as somewhat segmented. A market maker may therefore be able to keep the visible share spread tight while a premium or discount to NAV persists longer than it would for a conventional fund holding an asset traded in the same market.
Issuer and broader-market events matter
The SEC’s investor guidance identifies changing demand for shares, issues affecting the issuer and broader crypto-market events as possible causes of deviations from the crypto asset’s price. Volatility, speculative trading, concerns about fraud or manipulation in the underlying market and sponsor fees can also affect results.

Creation, redemption and the 2025 in-kind change
In a conventional ETF mechanism, an authorized participant exchanges a creation-unit basket for shares or returns shares for the basket or cash. That primary-market activity helps align the secondary-market price with NAV, but it does not guarantee exact or continuous parity.
On July 30, 2025, the SEC announced that it permitted in-kind creations and redemptions for certain crypto ETPs. SEC Division of Trading and Markets Director Jamie Selway said: “In-kind creation and redemption provide flexibility and cost savings to ETP issuers, authorized participants, and investors, resulting in a more efficient market.” The statement describes potential flexibility and savings; it does not establish that every product uses in-kind processing in every circumstance or that every investor’s costs automatically fall.
To understand a particular product, read its current prospectus and creation/redemption procedures. The mechanism, eligible participants, settlement method, fees and ability to use Bitcoin rather than cash can differ by product and may change.

A 2025 Federal Reserve staff note examined selected spot-crypto ETPs launched during 2024 and compared them with other ETPs and ETFs. Its summary conclusion was that “crypto ETPs average bid/asked spreads are similar to those of other ETPs and ETFs of comparable size,” while “crypto ETPs track NAV less-closely than other ETPs and ETFs referencing assets of comparable liquidity.” The authors identify difficult cross-market arbitrage as an explanation for the weaker NAV relationship.
The following figures are historical summary statistics for the paper’s combined sample, not live quotes or guarantees for any individual Bitcoin product. The dataset contains 21 ETFs and ETPs of several types, daily observations and multiple reference-asset classes.
| Measure | Figure | How to interpret it |
|---|---|---|
| Median market capitalization | $19.7 billion | Median size in the Federal Reserve’s 2024 ETF/ETP dataset. |
| Median bid-ask spread | 1.4 basis points | Median spread across the combined sample; not a quote for every Bitcoin ETP. |
| Median premium or discount to NAV | 0.1 percentage point | Median NAV gap in the combined sample; not a real-time product reading. |
| Mean bid-ask spread | 4.6 basis points | Average spread in the same historical sample. |
These numbers answer different questions. The spread describes the cost of trading at the displayed best prices. The premium or discount describes the difference between the exchange price and NAV. Neither statistic tells you how much size is available at each level, how the product behaves outside the study period or what you will pay at a particular moment.

How to measure liquidity before buying an ETP
Check the live spread at the time you intend to trade
Record the displayed bid and ask, then calculate the difference in dollars and as a percentage of the share price. Compare several moments rather than relying on a single quote. Spreads can widen at the open, near the close, during news and when Bitcoin is moving rapidly.

Look beyond headline volume
Daily volume counts shares traded, but it does not show the size available at the best prices or the cost of your order. Review depth at multiple price levels when your brokerage provides it. A high-volume session can still have poor execution for a large order if liquidity is concentrated away from the best quote.
Review premium and discount history
Use the sponsor’s published NAV and historical premium/discount data to see how the share has behaved. A narrow spread does not cancel a persistent NAV gap. Pay particular attention to periods when Bitcoin moved while the exchange was closed.
Read the product documents
Confirm the NAV methodology, valuation time, custodian arrangement, sponsor fee, creation and redemption method, trading symbol, risks and any special events that can affect the trust. Current fund-by-fund details must come from the relevant product’s disclosures and market data; historical averages cannot substitute for them.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to measure liquidity when buying direct Bitcoin
- Compare the venue’s bid and ask for the size you actually plan to trade.
- Inspect depth several levels below the best bid and above the best ask.
- Calculate the all-in cost: trading fee, spread, deposit charge, withdrawal fee and any network charge.
- Check whether the venue permits immediate withdrawals and whether limits or review periods apply.
- Consider what happens during a market surge, outage or sharp price move; advertised normal-session liquidity may not persist.
Costs and trade-offs that are easy to miss
ETP sponsor fee
The sponsor deducts an ongoing fee from the trust’s assets. Over time, that fee creates tracking drag even if the share’s market price remains close to NAV. The amount and any temporary waiver are product-specific and must be checked in current disclosures.

Direct-ownership operating costs
Direct Bitcoin avoids an ETP sponsor fee but does not mean trading is free. Platform fees, spread, withdrawal charges, custody services and network fees can materially affect a small transaction. Self-custody also carries the cost of maintaining secure backups and recovery procedures.
Operational and investment risks
Risks specific to an ETP
- The share price can trade at a premium or discount to NAV.
- The exchange is closed while Bitcoin continues to move.
- Product expenses reduce the value represented by each share over time.
- Issuer, custodian, valuation and operational problems can affect the trust.
- Bitcoin remains volatile, and the underlying market carries fraud and manipulation concerns identified by the SEC.
Risks specific to direct Bitcoin
- Lost credentials or private keys can prevent access; transactions generally cannot be reversed by a bank.
- A platform outage, freeze, insolvency or withdrawal restriction can block access when you need to trade.
- Sending Bitcoin to the wrong address can be irreversible.
- Continuous market operation can encourage trading during overnight or weekend volatility.
- You must decide whether to use a custodian, software wallet, hardware wallet or another arrangement and accept the related security responsibilities.
Which route fits which objective?
Choose an ETP when brokerage integration is the priority
An ETP may fit an investor who wants Bitcoin price exposure in an existing securities account, prefers exchange-traded orders and does not want to manage wallet keys or blockchain transfers. The trade-off is a sponsor fee, exchange-hour limitation and the possibility of a premium or discount to NAV.
Choose direct Bitcoin when asset control or continuous access is the priority
Direct ownership may fit someone who needs to transfer Bitcoin, use it on a crypto network or hold the asset outside a securities account. That flexibility comes with venue risk, transaction costs and responsibility for custody and recovery.
Do not choose based on volume alone
Compare the actual execution conditions for the route you will use: spread, depth, order size, fees, hours, transfer needs and custody. Bitcoin’s global trading volume cannot be substituted for an ETP’s share-level liquidity analysis.
A practical pre-trade checklist
- Define whether you need a security in a brokerage account or Bitcoin that can be transferred.
- For an ETP, read the current prospectus, sponsor-fee disclosure, NAV methodology and creation/redemption terms.
- For direct Bitcoin, review the platform’s fee schedule, withdrawal policy, custody model and security history.
- Observe the live bid, ask and available depth for the amount you intend to trade.
- Check whether the market is open and whether a major Bitcoin move occurred while the ETP exchange was closed.
- Use a limit order when controlling execution price is more important than immediate completion.
- Estimate the total cost, including spread, commission, sponsor fee or transfer charges.
- Decide in advance how you will handle custody, backups and access if you buy Bitcoin directly.
- Recheck the product’s current disclosures before a large transaction; procedures and fees can change.
Regulatory and terminology cautions
Calling a spot Bitcoin ETP an “ETF” is common shorthand, but the legal structure is a commodity trust rather than a 1940 Act investment company. That distinction affects how the product is regulated and what protections and disclosures apply.
SEC listing approval should not be read as a finding that Bitcoin is safe, suitable for every investor or endorsed by the agency. The SEC’s investor guidance highlights volatility, speculative trading, underlying-market fraud or manipulation concerns, sponsor fees and the possibility that shares will not match the crypto asset’s price.
Bottom line for a liquidity comparison
Compare like with like. For an ETP, examine the share spread, depth, premium or discount to NAV, exchange schedule, sponsor fee and creation/redemption process. For direct Bitcoin, examine the specific venue’s spread, depth, fees, withdrawal rules and custody. Creation and redemption plus arbitrage usually pull an ETP toward NAV, but the equity and crypto markets are separate and the link is not perfect. A brokerage-traded share is simpler to hold; direct Bitcoin offers asset-level control and continuous-market access. Neither route eliminates Bitcoin’s volatility or the need to understand the liquidity you are actually using.
