The offeror said the increase reflected a slight delay because prior-authorisation processes took longer than expected in a few jurisdictions; it called €14.40 its best and final price. The tender period was scheduled to end on 26 October 2026, but the 9 October announcement did not say the deal had completed. Read the offeror’s announcement.
What changed in the Iveco offer?
The consideration increased from €14.10 to €14.40 in cash for each Iveco Group common share. TML CV Holdings attributed the €0.30 increase to a slight delay in completing the offer, saying prior-authorisation processes were taking longer than anticipated in a few jurisdictions. That is the offeror’s explanation; the announcement did not describe an approval failure or a new condition. It said the other offer terms remained unaffected and called €14.40 its best and final price. Offer announcement, 9 October 2026.

What does the delay mean for timing and deal status?
The offer was launched on 4 September 2026 at €14.10, with the acceptance period running from 7 September through 26 October. At launch, the offer was subject to customary conditions, including a minimum 95% acceptance threshold. That threshold would automatically fall to 80% if Iveco shareholders adopted the specified back-end resolution. Iveco’s board unanimously supported and recommended the offer. Launch announcement, 4 September 2026.
Earlier, in its Q1 FY27 results update, Tata Motors CV said regulatory approvals were in the final stage, with one approval still pending at that time. It expected final clearance by the end of August 2026, a tender launch in early September and closure by early November. Those were expectations stated before the tender launch, not guaranteed dates; the launched acceptance period instead had a stated end date of 26 October. Tata Motors Q1 FY27 update.
#1 Best Overall
The 9 October price announcement does not establish that the transaction has completed. It describes a revised offer and leaves the acceptance timetable and other terms intact. Deal completion depends on the offer process and its conditions; a longer authorisation process alone is not evidence that the offer has failed.
How should investors interpret the revised price?
The offeror said €14.40 represented a 6.77% premium to Iveco’s official closing price on 29 July 2025, the last trading day before the original deal announcement, and a 33.47% premium to the official price on 17 July 2025, which it identified as the undisturbed date. It also reported premiums of 26.87%, 27.57%, 38.23% and 67.98% against one-, three-, six- and twelve-month volume-weighted average prices before that undisturbed date. These are historical comparisons published by the offeror using Euronext prices, not premiums to Iveco’s current share price or to Tata Motors CV shares. Offer announcement, 9 October 2026.

For the full-acceptance scenario—if all 271,215,400 shares were tendered—the offeror calculated that the increase would add €81,364,620 to the maximum aggregate amount, bringing it to €3,905,501,760. This is a stated maximum for that scenario, not the final amount paid.

What does the deal mean for Tata Motors CV shares?
The Iveco offer price and Tata Motors CV’s listed share price are separate measures. CNBC-TV18 reported that Tata Motors CV shares closed at ₹410.5 on Friday, 9 October 2026, down 0.6% in that session. That dated close is not a live quote and does not establish the market’s response during trading on 12 October. CNBC-TV18’s dated market report.

The offer-price increase may draw attention to the transaction, but the available figures do not establish that it will raise or lower Tata Motors CV shares. The offeror’s historical Iveco premium calculations should not be used as a direct signal for Tata’s share-price direction.

When the tender was launched, Tata Motors and Iveco described the proposed combination as a commercial-vehicle group with approximately 590,000 annual unit sales and approximately €21 billion in combined revenue. Their estimated revenue mix was about 46% Europe, 32% India, 8% South America and 14% the rest of the world. These are company estimates and transaction rationale, not audited results for a combined business after completion. The original 30 July 2025 announcement proposed €14.10 in cash per Iveco share and made the deal conditional, among other things, on separating Iveco’s defence business; the stated consideration was approximately €3.8 billion, excluding that business and net proceeds from its separation. At launch, Tata Motors Managing Director and CEO Girish Wagh said the tender offer marked “an important milestone in bringing together two highly complementary organizations with a shared commitment to excellence, innovation and customer success.” That is the company’s strategic case, not independent evidence of future performance.
