Skydance shares fell about 25% to roughly $6.78 after the company separated 471 million warrants and began trading them independently. The decline reflects both a mechanical ex-warrant adjustment and investor repricing of the potential dilution: each warrant can become one new Class B share for $12, while holders who do not participate could see their ownership percentage reduced.
What happened to Skydance shares
Skydance completed its acquisition of Warner Bros. Discovery on October 6, 2026. As part of the transaction, it distributed one warrant for each eligible Paramount Skydance Class B share held on the October 5 record date.

Approximately 471 million warrants began trading on the New York Stock Exchange on October 13 under the symbol SKYD.WS. October 14 was the ex-dividend date for the distribution. TheWrap reported that Skydance stock fell about 25% to approximately $6.78, putting the company’s market capitalization at about $34 billion at publication.

The warrants were not a cash dividend. They are separate securities that give their holders a conditional right to buy additional Skydance Class B shares. Separating that right from the existing stock changes how the market values each security.

What the 471 million warrants entitle holders to do
Basic terms
- The U.S. Securities and Exchange Commission prospectus permits up to 471,300,000 warrants and up to the same number of underlying Class B shares.
- Each warrant initially buys one Class B share at an exercise price of $12.
- The warrants are scheduled to expire on October 13, 2036, ten years after the expected October 13, 2026 issue date, unless an earlier expiration is triggered under the prospectus.
- The exercise price and other terms can change for specified anti-dilution events and designated transactions.
As the SEC states: “Each Warrant will initially entitle the holder thereof to purchase one share of Class B Common Stock at an initial exercise price of $12.00 per share.”
Rights before exercise
A holder may exercise some, all or none of the warrants, or sell or transfer them subject to applicable law. Until exercise, however, a warrant generally does not provide the ordinary voting or dividend rights attached to a Class B share. Owning a warrant is therefore different from owning the underlying stock.
Why the stock price dropped
Potential dilution from new shares
If all 471.3 million warrants are physically exercised, Skydance would issue approximately 471.3 million additional Class B shares. The SEC’s example shows Class B shares outstanding rising from 1,093,020,754 to approximately 1,564,320,754 before the PIPE transaction.

That increase matters because an investor who neither exercises nor sells a warrant would own the same number of shares but a smaller percentage of the company after other holders receive newly issued shares. The SEC specifically warns that future exercise and issuance can dilute existing ownership.
Full cash exercise at $12 per share would provide roughly $5.65 billion to Skydance, according to TheWrap’s calculation. The cash would strengthen the company’s balance sheet, but the new shares would spread claims on the company across a larger share base. Investors can price that trade-off before anyone exercises.
The mechanical ex-warrant adjustment
Part of the move was mechanical rather than a fresh judgment about Skydance’s operating business. When a warrant separates from a share, the exchange can adjust the stock’s reference price because the share no longer includes that detachable right.

Skydance said the NYSE reduced the Class B reference price by $0.19368, from approximately $9.27 to $9.07. The calculation used the warrant’s $2.20 close and the proportion of shares entitled to the distribution. This adjustment changes the quoted reference point; it does not by itself destroy that amount of shareholder value.
Investor repricing beyond the adjustment
The reported fall to about $6.78 was much larger than the $0.19368 reference-price change. That difference indicates that trading also reflected expectations about dilution, the value of the warrants, the company’s post-acquisition capital needs and the willingness of investors to hold a security with a large potential increase in share count. The exact contribution of each factor cannot be separated from the market price using the disclosed figures alone.

At the reported $6.78 share price, the stock was below the $12 exercise price, so immediate exercise would not make economic sense based on price alone. The $2.20 warrant price nevertheless reflects the possibility that the stock could rise before the warrants expire, along with the warrant’s long remaining term and other contractual features.

What Skydance’s valuation illustration shows
Skydance’s October 13 illustrative table assigned a $46.6 billion pre-warrant equity value, a $45.6 billion implied value for the shares after the warrant separation and $1.0 billion of warrant value. Adding those components produced an illustrative total equity value of $46.6 billion including warrants.
Those figures are an accounting-style illustration for that date, not management guidance or a forecast of where either security would trade. They show why a lower ex-warrant share price can coexist with a separate asset held by the same eligible investors.

Exercise and dilution
Investors need to track how many warrants are exercised, whether settlement is physical, and how many Class B shares are ultimately issued. The maximum share increase is material relative to the SEC example’s 1.093 billion pre-exercise Class B shares.

Warrant trading and liquidity
The warrants trade separately, so their price can move differently from Skydance stock. The SEC identifies concentrated ownership and a limited public float as risks that can affect liquidity and trading prices in both securities.
Contractual adjustments
Anti-dilution provisions and designated-event rules can alter the exercise price, share entitlement or expiration mechanics. The prospectus, rather than the initial $12 headline term alone, controls those outcomes.
Participation choices
An eligible holder can keep the warrant, sell or transfer it, or exercise it when permitted. A holder who does nothing may retain the warrant until expiration but will not receive the ordinary voting or dividend rights of the underlying Class B share before exercise.

The 25% decline was not simply a one-for-one subtraction for a free warrant. The NYSE reference price fell by $0.19368 as the warrant separated, while the much larger market move reflected concern about up to 471.3 million future shares and the uncertain value of Skydance after the Warner Bros. Discovery acquisition. The warrants could raise approximately $5.65 billion if fully exercised, but nonparticipating shareholders would face a lower ownership percentage if those new shares are issued.
