Bhavish Aggarwal’s latest pledge is not a reported share sale: Ola Electric says he pledged shares to fund his subscription to the company’s proposed rights issue. That follows a different sequence in 2025, when he sold shares to repay an earlier ₹260 crore loan and release pledged stock. The new pledge brings the financing choice back, but the NCD borrowing amount and the size of his rights-issue subscription have not been disclosed in the reviewed reports.
What happened in the latest pledge?
On 30 September 2026, Aggarwal pledged 20 crore Ola Electric shares, reported as 4.32% of the company, against non-convertible debentures (NCDs) issued by Krutrim Data Centre. Inc42 reported that CTL Trusteeship holds the pledge for the debenture holders. The NCD fundraising amount was not disclosed, so the number of pledged shares—and their reported market value—does not establish how much Krutrim borrowed.

In a 4 October 2026 statement, Ola Electric said the pledge was made to fund Aggarwal’s participation in its proposed rights issue. The company said he was not selling shares and would invest on the same terms as other shareholders. That is the company’s stated explanation; it is not a disclosure of the amount he plans to subscribe.

The earlier pledge-backed financing was connected in reporting to Krutrim Data Centre. In December 2025, Aggarwal sold shares to repay a ₹260 crore promoter-level loan and release the previously pledged shares. Economic Times reported an initial sale tranche of 0.6% worth about ₹92 crore, followed by a plan to sell 2.78% to release shares representing 3.93% of Ola Electric. Those percentages describe different measures and should not be conflated: one refers to the planned sale and the other to the company stake whose pledge was to be released.

The sequence reflects two different uses of share-backed financing at different times. Selling shares generates cash but reduces the holder’s share count. Pledging can provide financing without an immediate sale, while putting the shares up as collateral. In 2025, the reported sale was used to repay the earlier loan and free the collateral; in October 2026, the company said a new pledge would support Aggarwal’s rights-issue subscription.
How does the 2026 pledge compare with the old one?
Inc42 reported that the earlier pledge reached a peak of 17.3 crore shares, or 3.93% of Ola Electric. The new pledge of 20 crore shares, reported as 4.32%, is larger on both reported measures. The collateral size alone does not show the NCD borrowing or the amount intended for the rights issue.

As of Financial Express’s 5 October 2026 report, the issue price, entitlement ratio, record date, timing and payment schedule had not been announced. Why the pledge is attracting investor attention
A pledge avoids an immediate share sale, but it does not remove financing risk. If a borrower fails to meet its obligations or collateral value falls, lenders may have rights to enforce against pledged shares. That is a general risk mechanism, not evidence that a lender is currently enforcing this pledge or that a default has occurred.
Inc42 quoted Shriram Subramanian, founder of InGovern Research, warning that the sequence could affect investor perception, adding, “and that may not be a good sign.” This is commentary on how investors might interpret repeated pledging and selling, not proof of financial distress or a verified diagnosis of the company’s position.

What does Ola Electric’s business context add?
The financing news comes amid operating and fundraising pressures reported by Inc42. For Q1 FY27, Inc42 reported Ola Electric revenue of ₹455 crore, down 45% year over year and below company guidance of ₹500–550 crore; a net loss of ₹336 crore; and negative free cash flow of about ₹351 crore. These are reported company-period figures, not independent calculations in this article.
Inc42 also reported that Ola Electric raised ₹780 crore through a QIP in June 2026. Its account of a draft rights-issue letter of offer said approximately ₹350 crore was allocated to debt repayment or prepayment, ₹400 crore to organic growth, with the balance for general corporate purposes. These company-level financing details provide context for the proposed issue but do not disclose Aggarwal’s personal subscription or Krutrim’s NCD proceeds.
