OpenAI did reach a $157 billion valuation—but that figure was announced on October 2, 2024, and is no longer its latest reported valuation. OpenAI’s later announcement on March 31, 2026, said the company had closed financing involving $122 billion in committed capital at an $852 billion post-money valuation. The $157 billion figure is therefore best understood as a historical private-market valuation, not OpenAI’s current market capitalization.
What happened in October 2024?
On October 2, 2024, OpenAI announced that it had raised $6.6 billion at a $157 billion post-money valuation. The company said the financing would support its mission, research, infrastructure and product development. OpenAI’s announcement did not provide a detailed breakdown of how the money would be spent.

$6.6 billion raised is not the same as a $157 billion valuation
The two numbers describe different things:
- $6.6 billion was the amount of new capital committed or raised through the financing.
- $157 billion was the negotiated post-money value implied by the financing terms after that capital was included.
In simple terms, investors supplied new money in exchange for securities whose terms implied that the entire company was worth about $157 billion after the transaction. OpenAI did not receive $157 billion, and investors did not simply purchase the whole company for that amount.

What does “post-money valuation” mean?
A private-company valuation is generally inferred from the price investors pay for a particular security. It is not a continuously updated share price like the market price of a publicly traded company.
“Post-money” means the stated valuation is calculated after the new financing is included. The number can be affected by the security being sold, conversion terms, dilution, investor protections, liquidation preferences and governance rights. As a result:
- It does not mean OpenAI could immediately sell the entire business for $157 billion.
- It does not mean every employee or investor could sell common shares at exactly that price.
- It was not a public-market capitalization.
- The valuation could change substantially in a later financing or private transaction.
The round was reported as being structured through convertible instruments rather than a conventional public-equity offering. That makes the headline valuation useful as a financing benchmark, but not directly equivalent to the market capitalization of a listed company.
Who invested, and why did it matter?
Thrive Capital led the round. Microsoft and Nvidia also participated, alongside financial investors including SoftBank, Khosla Ventures, Altimeter Capital, Fidelity, Tiger Global and MGX, an Abu Dhabi-backed investment firm.
Rank #2
The mix of investors signaled both financial confidence and strategic interest in the AI industry. Microsoft had an important commercial and infrastructure relationship with OpenAI, while Nvidia supplied technology central to training and running large AI models. Their participation did not guarantee that the valuation would prove sustainable, but it showed that major technology companies considered access to OpenAI strategically valuable.
Why would investors accept such a high valuation?
The investment case was based largely on expected future growth rather than a simple calculation from current profits. Factors likely supporting the valuation included:
- ChatGPT’s large consumer audience and distribution.
- Growth in paid subscriptions and enterprise use.
- OpenAI’s application-programming-interface business and developer ecosystem.
- The strategic importance of frontier AI models.
- Expectations that AI could become a major computing and software platform.
- The scarcity value of investing directly in one of the leading AI-model companies.
- Microsoft’s long-term commercial relationship and infrastructure support.
These are valuation rationales and market expectations—not proof that the company was objectively worth $157 billion or that investors would earn a return. Private investors were pricing future revenue, technology, distribution and strategic importance, not only current earnings.

The financing was more complicated than a straightforward cash-for-common-shares transaction. Outside reports said investors could seek the return of their capital if OpenAI did not complete a planned restructuring within a specified period. The restructuring involved moving away from the existing nonprofit-controlled arrangement toward a for-profit structure.

TechCrunch also reported that Thrive Capital received an option to invest an additional $1 billion at the same valuation if certain conditions, including a revenue target, were met. Reports described restrictions affecting whether some investors could back competing AI companies.
These provisions were reported by Reuters, Axios and TechCrunch and were not all included in OpenAI’s public announcement. They should therefore be treated as reported transaction terms, rather than provisions independently confirmed in the company’s announcement.
How did the valuation compare with the earlier $86 billion figure?
The $157 billion valuation was nearly twice the roughly $86 billion figure associated with an earlier 2024 employee-share sale or tender-offer activity. However, the comparison is not perfectly like-for-like.
A secondary transaction allows existing holders to sell shares, while a primary financing provides new capital to the company. The security sold, investor rights, dilution and transaction terms can all affect the implied valuation. “Nearly doubled” is directionally accurate, but the two figures should not be treated as identical public-market measurements.

Why the valuation was difficult to assess
OpenAI’s valuation involved risks that are especially important for personal-finance and business readers to understand:
- High computing costs: Training and operating advanced models require substantial infrastructure and energy spending.
- Uncertain profitability: Rapid user growth does not automatically translate into durable margins or cash flow.
- Intense competition: Google, Anthropic, Meta, xAI and other companies are developing competing models and products.
- Infrastructure dependence: OpenAI’s economics are linked to access to computing capacity, suppliers and strategic partners.
- Governance risk: Changes to the nonprofit and for-profit structure could affect control, incentives and investor rights.
- Dilution: Future financing, conversion of securities or employee compensation can change existing holders’ economic interests.
- Private-market opacity: Investors do not receive the same continuous pricing and standardized disclosures available for public companies.
Is $157 billion still OpenAI’s valuation?
No. The $157 billion figure is historical. OpenAI’s March 31, 2026 announcement said it had closed a financing round involving $122 billion in committed capital at an $852 billion post-money valuation. That is approximately 5.4 times the October 2024 valuation, or about $695 billion higher in headline terms.
| Date | Event | Reported valuation |
|---|---|---|
| October 2, 2024 | OpenAI announced a $6.6 billion financing | $157 billion post-money |
| February 2026 | Earlier reporting during the later financing process | Approximately $840 billion |
| March 31, 2026 | OpenAI announced the later financing close | $852 billion post-money |
The February $840 billion figure reflected an earlier stage or tranche of the later financing process. It should not be treated as an unrelated financing from the March close. The $852 billion figure is the latest official valuation identified here, based on OpenAI’s March 2026 announcement.

Any private-market access would involve restricted transactions, specialized funds or other arrangements with their own eligibility, liquidity, fee and fraud risks. A service promising easy retail access to “OpenAI stock” should be treated cautiously. The 2024 valuation was a private financing benchmark, not a publicly tradable share price.
The relationship between Microsoft and OpenAI also should not be reduced to a simple ownership percentage. The relevant rights and economics depend on the entities, agreements, securities and dates involved and have changed over time.
The bottom line
OpenAI’s $157 billion valuation was real, but it dates to the company’s October 2, 2024 financing announcement. Investors supplied $6.6 billion in new capital at terms implying a $157 billion post-money value. That figure was private, negotiated and subject to transaction terms—it was not a public market cap.
