The investment is tied to an 11 MW hybrid renewable-energy project in Karnataka that is intended to supply India Cements plants under a group-captive arrangement. The acquisition is expected to close within 120 days after the relevant agreements are executed; it should not be treated as completed until a subsequent filing confirms the closing.
What India Cements is acquiring
The transaction gives India Cements a 3.62% holding in Zenataris Renewable Energy Private Limited, a special-purpose vehicle incorporated on 9 October 2018. Zenataris was established for an Inter-State Transmission System (ISTS) hybrid renewable-energy project at Kudligi in Karnataka’s Vijayanagara district.

How the renewable-energy supply will work
11 MW for group-captive consumption
The project is designed to supply 11 MW of renewable electricity to India Cements plants on a group-captive basis. In this structure, the generation asset supplies electricity to participating group consumers under the applicable electricity-law framework, rather than operating solely as a merchant power project.
#1 Best Overall
Agreements supporting the arrangement
The transaction includes an Energy Supply Agreement and a Share Subscription and Shareholders Agreement. Together, these documents cover the electricity-supply relationship and India Cements’ equity subscription and shareholder rights in Zenataris.
Why India Cements is making the investment
India Cements identified three objectives in its disclosure:
Rank #2
- Ideal for Gifting
- Ideal for a bookworm
- Compact for travelling
- Meet part of its green-energy requirements through contracted renewable generation.
- Optimize energy costs by consuming captive power.
- Support compliance with applicable electricity-law requirements for captive consumption.
The 3.62% equity holding is therefore linked to a broader power-supply arrangement. The stake itself is small, but the associated 11 MW contract is the operational feature most relevant to the cement maker’s electricity strategy.

Zenataris’ reported financial history
Transaction coverage reported Zenataris turnover of ₹7,782.08 lakh in FY26, following nil turnover in FY24 and FY25. These figures are reported disclosure summaries in the transaction material; they should not be read as an independently performed analysis of the project’s audited accounts.
Rank #3
The sharp change in reported turnover may reflect the project’s development and commencement timetable, but the announcement does not establish the precise operational cause. Investors would need later financial statements and project filings to assess recurring revenue, profitability, debt and cash-flow quality.
Approvals, related-party status and regulatory context
The transaction report states that the acquisition is not a related-party transaction and that India Cements’ promoters and group companies have no interest in Zenataris. It does not identify a specific government or regulatory approval as a prerequisite for this shareholding acquisition.
Rank #4
That statement does not remove the need to comply with electricity laws governing the underlying project and captive-power arrangement. Project-level permissions, transmission arrangements and statutory compliance remain separate from the corporate share purchase.
When will the deal be completed?
Completion is expected within 120 days from execution of the Energy Supply Agreement and Share Subscription and Shareholders Agreement, as applicable to the transaction documents. The 120-day period is a timetable expectation, not evidence that the acquisition has already closed.
Best Value
- It can be a gift option
- Comes with secure packaging
- Helpful in various ways
- India Cements and the relevant parties execute the transaction agreements.
- The parties complete any conditions required under those agreements and applicable law.
- The share subscription and allotment or transfer steps are completed.
- India Cements or the company issues a later filing confirming completion and the final consideration, if different from the stated maximum.
What the announcement means for investors
The announcement signals a targeted renewable-power investment rather than a takeover of Zenataris. India Cements is committing up to ₹20.90 crore for a minority stake connected to a contracted 11 MW supply arrangement. The potential benefits are lower exposure to conventional electricity costs, greater renewable-power procurement and support for captive-consumption compliance.
Key uncertainties remain until closing and further project disclosures: the final cash paid, the timing of commercial supply, the project’s actual generation and transmission performance, and whether the reported FY26 turnover translates into sustainable earnings. A later exchange filing will be needed to confirm that the acquisition has been completed.
