Dell Technologies recorded $364 million in severance expense during the three months ended August 4, 2023, according to a Form 10-Q filed with the Securities and Exchange Commission on September 12, 2023. The charge was associated by contemporaneous reporting with Dell’s second workforce reduction of 2023—but the filing does not establish that $364 million was the exact standalone cost of the August layoffs, nor does it disclose how many employees were affected.

What Dell disclosed

Dell’s fiscal 2024 second-quarter Form 10-Q covers the three and six months ended August 4, 2023. In its severance-charges note, the company reported $364 million in severance expense for the quarter.

The filing allocated the charge across three expense categories:

Expense category Charge
Cost of net revenue $27 million
Selling, general and administrative expense $324 million
Research and development $13 million
Total $364 million

The concentration in selling, general and administrative expense is notable, but it does not identify every department or job function affected. The filing does not say that the cuts were limited to sales, corporate, or administrative employees.

For the first six months of fiscal 2024, Dell reported $412 million in severance expense, compared with $63 million in the same period a year earlier. For the comparable three-month period in the prior year, the charge was $46 million.

Why “the August layoffs cost $364 million” needs a qualification

The $364 million figure is an accounting expense recognized during a quarter—not necessarily cash paid to departing employees during that same period. Dell says it records severance liabilities when employees are probably entitled to termination benefits and the amounts can be reasonably estimated.

The quarter-end severance table shows the difference between expense recognition and cash movement:

Severance-liability item Amount
Liability at beginning of quarter $162 million
New severance charges $364 million
Cash paid and other reductions $69 million
Liability at end of quarter $457 million

In other words, Dell recognized $364 million of expense while paying $69 million and carrying $457 million in severance liabilities at the end of the quarter. The $457 million was an accounting liability, not cash held in a severance fund.

There is also a timing issue. Dell’s quarter ended on August 4, while its workforce-reduction statement was issued on August 7. The accounting charge may relate to workforce-reduction activities that had already been initiated or become probable before the public announcement. The 10-Q does not contain a line item labeled “August layoffs.”

Accordingly, the most precise description is: Dell recognized $364 million in severance expense during the quarter ended August 4, 2023, an amount contemporaneous reporting associated with the company’s August workforce reduction.

How the charge compares with Dell’s February cuts

Dell’s February 2023 workforce reduction was the more clearly quantified event. The company announced a reduction of approximately 5% of its workforce on February 6. Contemporary estimates put that at about 6,650 employees, although that estimate was not the same as a company-disclosed August headcount.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Dell later reported $367 million in related severance expense for the quarter ended February 3, 2023. It recorded another $46 million in severance expense in fiscal 2024’s first quarter, which ended May 5, 2023.

Event or reporting period Severance expense Headcount information
February 2023 workforce reduction $367 million Approximately 5% of the workforce; contemporaneous estimate of about 6,650 employees
Fiscal 2024 first-quarter follow-on charge $46 million Not separately identified
Quarter ended August 4, 2023 $364 million No official August headcount disclosed

The February-related and second-quarter charges were nearly identical in dollar terms: $364 million was approximately 99% of $367 million. That does not mean the two workforce reductions involved similar numbers of employees. Severance costs vary with salary, tenure, job level, geography, notice periods, separation agreements, benefits, commissions, bonuses, equity treatment, and the timing of accounting recognition.

Contemporaneous reporting said Dell did not consider it accurate to infer the size of the August reduction from the similarity between the two charges. The approximately 6,650 figure belongs to the February action, not the August round.

Dell’s reported 2023 severance total

Adding the three reported amounts produces $777 million:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • $367 million related to the February workforce reduction;
  • $46 million recorded in fiscal 2024’s first quarter; and
  • $364 million recorded in fiscal 2024’s second quarter.

This is best described as at least $777 million in reported severance expense across the cited periods. It should not automatically be called the total economic cost of Dell’s restructuring. A broader restructuring bill could include facilities actions, outplacement, legal costs, payroll taxes, benefits, or other expenses not separately identified in the figures above.

Dell’s next quarterly filing said the company had recognized approximately $0.4 billion in severance expense during the first nine months of fiscal 2024. That later figure is rounded and should not be used to replace the more specific quarterly disclosures.

The sales and channel strategy surrounding the cuts

The August workforce reduction came as Dell was changing aspects of its storage go-to-market strategy. According to contemporaneous reporting, Dell increased incentives for direct sales representatives who completed transactions through channel partners, a shift from a more purely direct-sales emphasis.

That context helps explain why sales and channel roles featured in coverage of the workforce reduction. However, the available filing does not establish how many sales employees left, how much of the $364 million charge related to sales, or whether the channel-incentive change was the sole reason for the cuts.

Financially, Dell was also operating in a period of pressure and expense control. Contemporaneous coverage reported fiscal 2024 second-quarter Infrastructure Solutions Group revenue of approximately $8.5 billion, down year over year, and storage revenue of approximately $4.2 billion. Dell emphasized expense controls, pricing discipline, and operational execution. Those facts support a broader cost-management and organizational-efficiency explanation—not a conclusion that one specific revenue decline caused the layoffs.

What investors should take from the filing

The charge reduced reported profitability

Because severance was recorded in operating expense categories, it reduced GAAP profitability for the reporting period. The allocation across cost of net revenue, SG&A, and research and development also means the impact was not confined to a single line in Dell’s income statement.

The cash impact was spread over time

The $69 million of cash paid and other reductions during the quarter was lower than the $364 million expense recognized. The remaining liability indicates that some obligations were expected to be settled later. Expense timing and cash-flow timing therefore should not be treated as interchangeable.

The filing does not quantify future savings

A large severance charge shows that Dell undertook a substantial workforce-reduction effort. It does not, by itself, show how much annual payroll or operating expense Dell expected to save, when those savings would appear, or whether the changes would improve margins. Those questions require later operating-expense, margin, workforce, and business-performance data.

The August headcount remains unknown

The SEC filing provides the expense and liability information but not the number of jobs eliminated in the August round. Dividing $364 million by the estimated average cost of the February cuts would produce a false sense of precision because severance economics differ across employees and jurisdictions.

Timeline

  • February 3, 2023: Dell’s fiscal 2023 ended.
  • February 6, 2023: Dell announced a workforce reduction of approximately 5%.
  • May 5, 2023: Fiscal 2024’s first quarter ended; Dell recorded $46 million in severance expense during the quarter.
  • August 4, 2023: Fiscal 2024’s second quarter ended.
  • August 7, 2023: Dell issued the workforce-reduction statement referenced in contemporaneous reporting.
  • August 31, 2023: Dell announced fiscal second-quarter results.
  • September 12, 2023: Dell filed the Form 10-Q disclosing the $364 million second-quarter severance expense.
  • November 3, 2023: Dell’s next quarterly filing reported approximately $0.4 billion in severance expense for the first nine months of fiscal 2024.

Bottom line

Dell’s SEC filing confirms $364 million in severance expense for the quarter ended August 4, 2023. The amount was reported amid Dell’s second 2023 workforce reduction and brought the cited 2023 severance charges to at least $777 million. But Dell did not disclose the August round’s headcount or an exact standalone cost, and the $364 million was an accounting expense—not proof that Dell paid that amount in August.
