CNH Industrial Acquired Augmenta for $110 Million: What the Deal Means

CNH Industrial announced on March 13, 2023, that it would acquire Augmenta, an agricultural machine-vision company, at an announced enterprise value of $110 million, subject to customary adjustments. The deal was intended to expand CNH’s precision-agriculture capabilities, particularly automated, variable-rate application. It is a 2023 transaction—not a new 2026 acquisition.

Acquisition facts at a glance

Detail What CNH disclosed
Buyer and target CNH Industrial N.V. acquired Augmenta Holding SAS, an agricultural-technology company.
Announcement March 13, 2023. CNH expected the transaction to close in the first quarter of 2023, subject to customary closing conditions and regulatory approvals.
Value Announced enterprise value of $110 million, subject to customary adjustments.
CNH’s prior stake CNH already held a 10.5% minority stake in Augmenta through CNH Industrial Ventures.
Funding CNH said it would fund the transaction with available cash on hand.
Operating home Augmenta was to operate within CNH’s Raven brand, retaining its existing employees and offices in Greece and the United States.

CNH’s 2023 annual report later records Augmenta as acquired during 2023. The announcement date should not be treated as a verified legal closing date; the consulted sources do not state the exact closing date.

What Augmenta’s technology did

Augmenta developed a multispectral camera and software system for agricultural equipment. The camera observes crop canopies and field conditions while a machine is working. Computer vision and machine-learning software analyze the images, and edge computing allows processing on the system rather than requiring every observation to be sent to a remote service. The resulting agronomic interpretation can be linked to machine controls to vary application rates in real time.

CNH’s annual report describes the sensor as perceiving canopy health, objects, and patterns and translating images into agronomic insights. The company’s acquisition announcement identified potential applications including fertilizer, herbicide, fungicide, plant-growth regulator, and harvest-aid use.

#1 Best Overall
Raven Precision 106-0159-627 Lower Housing Ultrasonic Sensor –Commercial Sensors for Uniform Spray Functions, Durable Construction | Water Equipment and Accessories
  • ULTRASONIC SENSORS: Manufactured to provide complete convenience, the durably constructed ultrasonic sensors are specifically used for monitoring the irrigation systems that help in preventing underwatering and overwatering in the field. The lower housing sensors help in expertly monitoring the operations going in the field.
  • ROBUST CONSTRUCTION: The ultrasonic sensors are manufactured using premium-grade material that helps in delivering optimum performance and induces commendable stability for a robust structure that stands the test of time.
  • EASY-TO-USE: The durably constructed sensors can easily be mounted on the desired farm machinery using very few tools. It is easy to use and requires no training to make it work efficiently at the first go.
  • APPLICATIONS: This ergonomically designed ultrasonic sensor mounted on the machinery efficiently helps in assessing the irrigation needs, monitoring the watering supply of plants, controlling chemical application, which helps in improving the farm and crops in the field.
  • PRODUCT SPECIFICATIONS: Raven Precision Ultrasonic Sensor weighs 1.00 lbs

How “Sense & Act” works

  1. Sense: A camera or other sensor observes crops, canopy, or field conditions.
  2. Interpret: Software processes the sensor data and identifies patterns relevant to an application.
  3. Decide: The system determines an application response under its programmed agronomic rules.
  4. Act: The machine adjusts its output as it moves through the field.

The strategic idea is to connect perception directly to equipment behavior. That is more specific than saying CNH simply bought “AI,” and it is not the same as acquiring a driverless tractor system.

Why CNH wanted Augmenta

Variable-rate application aims to avoid treating an entire field as if every area needed the same amount of product. CNH presented Augmenta as a way to bring real-time sensing and application control into its precision-agriculture portfolio. It said the technology could help reduce unnecessary chemical and fertilizer use, application time, and labor burden, while potentially supporting yield and environmental benefits. Those are stated value propositions, not guaranteed results or independently established savings.

Raven was the named operating home for Augmenta. In a separate integration announcement, Raven described the technology as adding Sense & Act capabilities for variable-rate applications including nitrogen, plant-growth regulator, harvest-aid, and fungicide use cases. The strategic fit was therefore not just a camera: it was sensing and agronomic interpretation connected to Raven’s application-control capabilities.

What the deal could mean for farmers—and what it does not establish

A machine that changes application rates based on observed conditions may be useful where field variability is meaningful. The actual value depends on crop, field, product, machine setup, speed, weather, calibration, and agronomic rules. A field with little relevant variability may offer less opportunity to benefit. Lighting, dust, shadows, residue, lodging, mixed crops, or unusual conditions can also complicate machine-vision decisions.

  • Seeing a crop or canopy difference does not, by itself, identify its cause or determine the correct product, dose, and timing.
  • Performance for one crop or application should not be assumed to transfer to another.
  • Camera, controller, boom, valves, display, and software need to work together; compatibility and installation requirements matter.
  • Edge processing can reduce dependence on a cloud connection, but does not eliminate needs for power, calibration, maintenance, software support, and operator training.
  • Product labels, application restrictions, drift rules, and agronomic recommendations continue to govern safe and lawful use.
  • Automation does not eliminate the role of the operator or agronomist.

The acquisition announcement and cited annual-report passage do not establish a customer-facing product name, launch date, standard farmer price, subscription price, universal compatibility list, documented payback period, or guaranteed per-acre savings. They also do not supply independent field-trial results quantifying input reductions or yield effects. A farmer considering this type of system would need current product and compatibility details, installation and support requirements, and a farm-specific return calculation from CNH, Raven, or a dealer.

What is known about the transaction’s financial terms

The $110 million figure is the announced enterprise value, not a disclosed cash purchase price paid to sellers. CNH’s pre-existing 10.5% stake is relevant context, but the acquisition announcement does not give a separate equity purchase price, post-closing adjustment, seller-by-seller consideration, or complete allocation of consideration. It also does not provide the full shareholder list or details of any contingent payments. Those terms should not be inferred from the headline value.

CNH first announced a strategic minority investment in Augmenta in 2021; its earlier announcement provides that investment context. In 2023, CNH moved from minority investor to acquirer. The available sources do not establish the precise ownership percentages immediately before closing or whether all original investors exited.

Why the acquisition matters, and the limit of the evidence

The deal shows CNH’s intent to bring machine vision and agronomic interpretation closer to application controls within Raven and its broader precision-agriculture portfolio. It does not, on its own, prove that a particular product reached the market, that every CNH machine gained the capability, or that customers achieved a particular economic or environmental outcome. The acquisition’s strategic logic is clear; the commercial effect depends on deployed products, machine compatibility, field conditions, and measured performance.
