Computer Associates International Inc. acquired PestPatrol Inc. on August 16, 2004, buying the Carlisle, Pennsylvania-based antispyware company for an undisclosed cash amount. CA said it planned to add PestPatrol’s spyware-detection and removal technology to its eTrust Threat Management security suite and bring its research operation into CA Security Advisor.
What Computer Associates bought
The transaction was an acquisition, not a partnership. Computer Associates—then commonly known as CA, rather than the later CA Technologies brand—purchased PestPatrol Inc., a company that marketed antispyware software to enterprises, small businesses and individual consumers.

Neither company disclosed the purchase price. Contemporary reports described PestPatrol as having approximately 70 employees, and CA said it expected to retain most of them. That detail mattered because CA was seeking more than a software package: it wanted PestPatrol’s technology, security expertise and personnel.

Why antispyware mattered to CA
In 2004, spyware was becoming a distinct enterprise security concern. The term covered software that could monitor users, collect information, change browser behavior or otherwise operate without a user’s clear approval. For businesses, the risks included privacy violations, inappropriate software, unauthorized monitoring and the loss of control over employee computers.
Antivirus products addressed viruses and other established forms of malicious code, but the market increasingly viewed spyware as a problem requiring specialized detection and cleanup. That was the strategic gap CA was trying to address. According to CA executive Sam Curry, the company had spent several months looking for an antispyware business to acquire or partner with. It ultimately chose an acquisition of PestPatrol. InfoWorld’s report also described the transaction in that context.
This should not be read as the absolute claim that antivirus software could never detect spyware. Rather, CA’s rationale reflected the security-market view at the time: spyware and privacy threats were important enough to justify dedicated tools and management policies.
What PestPatrol brought to the deal
PestPatrol was presented as more than a scanner that issued warnings. Its software was designed to identify and remove spyware and related unwanted applications.

Its enterprise-oriented capabilities included:
- Administrator-defined scanning rules: Network administrators could set rules for what the software should examine.
- Safe lists and exclusions: Organizations could identify authorized applications so that legitimate software was not treated as an unwanted threat.
- Department-specific policies: Rules could be tailored to different departments or individual users, an important distinction for organizations with varying software requirements.
- Removal functionality: PestPatrol was intended to clean detected spyware, not merely report its presence.
- Developer tools: Its Software Developers’ Toolkit was designed to let third parties integrate PestPatrol capabilities into Web services and business or consumer products.
CA’s announcement materials said PestPatrol technology was used by customers in more than 100 countries and referenced organizations including Yahoo and Zero Knowledge Systems. Those are claims attributed to CA’s materials, not independently audited measures of market share, revenue or customer numbers.
How CA planned to integrate PestPatrol
CA said it would incorporate PestPatrol into eTrust Threat Management. CA described that suite as covering several related security and policy problems, including viruses, spam, inappropriate employee Web use, spyware and privacy threats.
The planned integration reflected CA’s broader enterprise strategy. Instead of selling antispyware as an isolated consumer utility, CA could position it as one component of a centralized security-management portfolio. In principle, that would give business customers a way to combine endpoint scanning with administrative rules and broader threat-management controls.
The announcement did not provide a detailed product road map, release schedule, migration plan or promise of specific performance improvements. The defensible conclusion is therefore limited: CA announced an intention to fold PestPatrol’s capabilities into eTrust Threat Management. It did not establish exactly how quickly or completely that integration would occur.

The research operation was part of the acquisition
CA also planned to incorporate the PestPatrol Center for Pest Research into its Security Advisor service.
That operation was intended to support advice about deleting malicious code, preventing infection and tracking security threats globally through CA’s response-center network. This gave the deal a second dimension beyond endpoint software. CA was acquiring a source of threat information and research that could help support an advisory and incident-response function.
The distinction is important for understanding the transaction. PestPatrol contributed both a product and specialized knowledge about the emerging spyware category. CA’s plan was to use those assets within a larger security organization.

Consumer software, enterprise strategy
PestPatrol served individual consumers and small businesses as well as enterprise customers. CA, however, emphasized enterprise security management in explaining the acquisition.

- THREAT DETECTION – Stay one step ahead. Suspicious links, risky sites, viruses, and scams, caught automatically before they reach you.
- PERSONAL INFO PROTECTION – Keep your personal info safer. Identity monitoring watches for your exposed info and tells you what to do about it.
- SECURE CONNECTIONS – Just a few easy clicks, and we'll automatically protect your info on public Wi‑Fi, every time you connect.
- GUIDED ACTION – Know what matters and what to do next. Clear alerts and simple guidance make it easy to take action.
- MORE THAN ANTIVIRUS – Scam protection, identity monitoring, VPN, web protection, and antivirus work together to protect you, all in one place.
That created a practical tension. A consumer antispyware product typically focuses on straightforward scanning and cleanup. Enterprise deployment requires policy controls, centralized administration, exclusions for approved software, support processes and integration with other security systems. PestPatrol’s configurable rules and developer toolkit helped make the technology relevant to that larger environment.
The acquisition therefore was not simply CA purchasing another antivirus brand. It was an attempt to extend a broader security platform into a threat category that customers were increasingly asking vendors to manage.

CA’s announcement arrived alongside news that McAfee had agreed to buy Foundstone for a reported $86 million. The transactions addressed different parts of the security market:

| Transaction | Primary focus | What it signaled |
|---|---|---|
| CA and PestPatrol | Spyware detection and removal, privacy threats and security management | Antispyware was becoming an important addition to enterprise security suites |
| McAfee and Foundstone | Vulnerability assessment and management | Security vendors were expanding into broader risk and vulnerability services |
The comparison is about market direction, not financial equivalence. CA did not disclose what it paid for PestPatrol, while the Foundstone transaction was publicly reported at $86 million.

Together, the deals illustrated a movement toward integrated security portfolios. Vendors were acquiring specialized companies to cover more stages of the security lifecycle: finding vulnerabilities, blocking malicious software, enforcing acceptable-use policies, removing unwanted programs and advising customers about emerging threats.
What the announcement did—and did not—tell customers
For CA customers, the acquisition promised a broader eTrust Threat Management offering with dedicated antispyware capabilities. It also suggested that CA viewed spyware as an enterprise problem rather than merely a nuisance affecting home users.
But the announcement left several commercial and technical questions unanswered. It did not disclose the purchase price, the precise terms of the agreement, the detailed integration timetable or the eventual employment outcome for all of PestPatrol’s approximately 70 workers. “Most employees” was a plan, not a verified final headcount.

Similarly, CA’s statements about use in more than 100 countries and adoption by Yahoo and Zero Knowledge Systems should be treated as company-provided positioning. They do not prove that PestPatrol was the market leader or establish independently measured customer adoption.
Why the acquisition is historically significant
The PestPatrol deal captured a moment when spyware was moving from a loosely defined nuisance category into a recognized enterprise security issue. CA’s response was to acquire a specialist and place its technology, people and research operation inside an existing security-management framework.
Its significance lies less in the undisclosed price than in the strategy. CA was trying to assemble a unified security portfolio, while antispyware vendors were supplying capabilities that traditional enterprise antivirus products did not necessarily provide in the way customers wanted. The acquisition showed that detecting and removing unwanted surveillance and tracking software had become valuable enough to attract a major enterprise-software buyer.
The documented 2004 announcement establishes CA’s acquisition and its intended integration plans. It does not, by itself, verify the later release history, ownership, branding or present availability of PestPatrol products.
