Yes—but only for TikTok’s U.S. operation. ByteDance confirmed in January 2026 that TikTok USDS Joint Venture LLC had been established to operate the service in the United States. Oracle, Silver Lake and Abu Dhabi-based MGX each hold 15%, while ByteDance retains a 19.9% stake. The arrangement gives the new venture responsibility for U.S. data protection, algorithm security, content moderation and software assurance.
That is not the same as a worldwide sale of TikTok. ByteDance still has an economic interest in the U.S. venture and licenses intellectual property, including recommendation technology, to the new structure.

The short answer
- U.S. TikTok: Operated by TikTok USDS Joint Venture LLC.
- ByteDance: Still owns 19.9% of the U.S. venture.
- Managing investors: Oracle, Silver Lake and MGX, each with a 15% stake.
- Global TikTok: Not sold to U.S. investors.
- Recommendation technology: Licensed, revised, retrained and monitored under the new structure rather than publicly described as an outright sale of ByteDance’s global algorithm.
The fairest description is that TikTok’s U.S. business is now designed to be controlled by a majority non-ByteDance-owned, U.S.-led venture—not that ByteDance has completely exited TikTok.

ByteDance’s December 2025 agreements were followed by the establishment and announcement of TikTok USDS Joint Venture LLC in January 2026. The new U.S.-based entity is responsible for the American TikTok operation and its security-sensitive functions. TikTok described the venture’s responsibilities in its January 2026 announcement.

This distinction matters because TikTok is a global platform. Creating a U.S. entity did not transfer TikTok’s worldwide business, brand or all of ByteDance’s underlying technology to American ownership. It created a separate structure for the U.S. service.
Who owns the new U.S. venture?
| Investor | Disclosed stake | What to know |
|---|---|---|
| Oracle | 15% | U.S.-based managing investor and trusted security/cloud partner |
| Silver Lake | 15% | U.S.-based managing investor |
| MGX | 15% | Managing investor based in Abu Dhabi, United Arab Emirates |
| ByteDance | 19.9% | Minority shareholder and technology licensor |
| Other investors | 35.1% combined | The public announcement does not establish every holder in this remainder |
The disclosed figures show that ByteDance is below 20% and that investors other than ByteDance own a majority. But it is inaccurate to call the arrangement a purchase by “three American owners.” Oracle and Silver Lake are American companies; MGX is Emirati, and the full allocation of the remaining 35.1% should not be guessed.
What “controlled by U.S. owners” means
Ownership, board authority, operational responsibility and technology rights are separate questions. Under the White House framework, the new venture is based in the United States, majority-owned and controlled by U.S. persons, and governed by a new board. ByteDance may select one director on the seven-member board and is excluded from the security committee under that framework.

TikTok says the venture controls:
- Protection of U.S. user data;
- Security of the recommendation algorithm;
- Content-moderation decisions;
- Software assurance and related security operations; and
- Monitoring of U.S. data flows, software updates and recommendation systems.
Oracle is designated as the trusted security provider. The September 2025 executive order describes the intended controls over U.S. data, code, algorithms and moderation.
These are the powers assigned under the government-approved structure. They do not, by themselves, prove that every technical dependency or commercial relationship with ByteDance has disappeared.
What ByteDance still has
1. A minority economic interest
ByteDance retains 19.9% of the U.S. venture. That is not a controlling stake under the disclosed structure, but it is still ownership and a continuing economic connection.
2. Intellectual-property rights
The arrangement involves licensing ByteDance intellectual property, including recommendation technology. Public descriptions emphasize a U.S.-specific version of the system that can be revised or retrained using U.S. data under security oversight. They do not establish that ByteDance sold the entire global recommendation algorithm outright.

- Universal Compatibility: Effortlessly pairs with smartphones and Works with iOS, Android, and popular app (TikTok) via stable Bluetooth 5.0
3. A continuing relationship with the U.S. operation
A formal reduction in ownership does not necessarily mean the new company was rebuilt independently of all ByteDance technology, contracts or expertise. The publicly documented structure supports a distinction between corporate control and technical separation.
What changed for U.S. users and creators?
The intended changes concern governance and security more than the basic act of opening the app. U.S. data is intended to be stored in Oracle’s U.S. cloud environment, with the new venture responsible for data protection. The U.S. recommendation system is expected to be revised or retrained, and software and algorithm updates are subject to additional oversight.
For creators, advertisers and businesses, the immediate benefit is continuity: TikTok can continue operating in the United States rather than becoming unavailable through app stores and hosting providers. However, changes to recommendation models, moderation systems, data practices or advertising infrastructure could eventually affect reach, content decisions, targeting and the user experience.
The safeguards should not be overstated. They do not establish that U.S. user data can never be accessed from outside the United States, that ByteDance technology is absent, or that all privacy and national-security risks have been eliminated. They also do not guarantee politically neutral moderation.
Why the deal happened
The transaction was driven by the Protecting Americans from Foreign Adversary Controlled Applications Act, signed on April 24, 2024. The law created a severe operational consequence for covered applications: unless there was a “qualified divestiture,” U.S. app stores and hosting providers could be restricted from distributing, maintaining or updating them.
The law did not literally order ByteDance’s owners to sell every share. Instead, it made continued operation difficult if TikTok remained controlled by a foreign adversary. A qualifying transaction had to remove that control and prevent an operational relationship that preserved it.
On January 17, 2025, the Supreme Court rejected a First Amendment challenge to the law, according to the Congressional Research Service. The law’s principal restrictions were scheduled to take effect on January 19. President Trump then ordered a 75-day enforcement pause on January 20, 2025, while negotiations continued. A September 2025 executive order treated the proposed structure as a qualified divestiture and paused enforcement for implementation.

What the July 2026 DOJ opinion says—and does not say
On July 16, 2026, the Justice Department’s Office of Legal Counsel concluded that the TikTok USDS version operated by the joint venture functions independently of ByteDance, is majority-owned by American investors and has a revised recommendation algorithm and cybersecurity program. The opinion addressed whether the new entity falls outside the federal-government-device prohibition.
That is significant evidence of the current administration’s legal position, but it is not a court ruling establishing that every aspect of the separation is beyond dispute. It also is not blanket approval for TikTok on every state, local-government, private-sector or personal device.
What the deal does not change
- It does not amount to a global sale of TikTok.
- It does not mean ByteDance owns nothing in the U.S. structure.
- It does not make Oracle the sole owner.
- It does not show that the global algorithm was sold outright.
- It does not automatically change TikTok’s ownership or governance outside the United States.
- It does not necessarily change the version a U.S. user encounters while traveling abroad.
- It does not eliminate all privacy, cybersecurity or national-security concerns.
The questions that remain
The formal structure answers who has the disclosed ownership and responsibility for key U.S. operations. It leaves more detail to be evaluated over time, including how complete the technical separation is, which technology was transferred versus licensed, how the U.S. algorithm differs from the global system, how the remaining 35.1% is allocated, and what oversight reports will become public.
Future ownership transfers, governance changes, litigation or regulatory action could also alter the arrangement. The 19.9% figure and board terms describe the structure at formation; they are not a guarantee that the relationship can never change.
Bottom line
ByteDance has confirmed a real change in control of TikTok’s U.S. operation. TikTok USDS Joint Venture LLC is majority-owned outside ByteDance and is intended to control U.S. data protection, algorithm security, moderation and software assurance. But this is a legally structured separation—not a complete worldwide sale. ByteDance still holds 19.9% of the U.S. venture and licenses important technology, so “TikTok is now entirely American-owned” goes further than the public facts support.
