The headline value—up to $175 million—was $165 million in cash plus a possible $10 million milestone-based earn-out. A later accounting filing valued the consideration at $172.4 million at the acquisition date; that figure uses a different measure, not a revised headline price.
How much did CyberArk pay for Zilla Security?
CyberArk’s February 13, 2025 announcement said it had completed the acquisition the day before. Its announced terms were $165 million in cash and an earn-out of up to $10 million tied to milestones. The maximum announced consideration was therefore $175 million, the basis for the deal headline. CyberArk’s completion announcement gives the close date and terms; contemporaneous coverage by TechCrunch also described the value as up to $175 million.

The two totals answer different questions. The announcement described the cash and potential earn-out available under the transaction terms; the later filing measured the consideration’s fair value for accounting at the acquisition date. The $172.4 million figure should not be presented as if CyberArk had replaced the original $175 million maximum with a new announced price.
Why did CyberArk acquire Zilla Security?
Zilla developed identity governance and administration (IGA) software. IGA systems help organizations govern who has access to which resources, support identity provisioning, and manage compliance-related processes. CyberArk said Zilla’s AI-powered capabilities would add scalable identity compliance and provisioning automation to its identity security platform. Its acquisition announcement framed the deal as a way to bring modern IGA into a platform already focused on identity security and privileged access.

That is CyberArk’s stated strategic rationale, not proof that the acquisition delivered particular security improvements, cost savings, or customer outcomes. The announcement did not establish measured results from combining the products.

Palo Alto Networks completed its acquisition of CyberArk on February 11, 2026. In its completion announcement, Palo Alto said CyberArk’s identity security solutions would remain available as a standalone platform as product integration began. That describes the status stated at the time of the announcement; product branding, availability, and integration can change.
