Faraday Future SEC Probe: Staff Won’t Recommend Enforcement Action

SEC staff said it did not intend to recommend an enforcement action against Faraday Future or two executives, while stressing the letters were not exoneration.

SEC Division of Enforcement staff told Faraday Future, YT Jia and Jerry Wang on March 18, 2026, that they did not intend to recommend an enforcement action, based on information available at that time. The letters, disclosed in the company’s March 23 filing, did not clear the recipients: the Division said its position was not exoneration and did not rule out a later action.

What happened in the SEC investigation

Faraday Future’s latest public account changes the risk picture described when the matter became public in 2025. The SEC Division of Enforcement sent letters dated March 18, 2026, to the company, YT Jia and co-CEO Jiawei (Jerry) Wang stating that staff did not intend to recommend an enforcement action, based on information available to the Division as of that date. Faraday Future disclosed the letters in a Form 8-K filed March 23, 2026. The Form 8-K includes the staff’s qualification that the letters did not mean the recipients were exonerated or that no action could ultimately result.

The distinction matters: this was a statement of SEC staff’s intent, not a public finding that the allegations were false or a guarantee that the matter could never lead to action.

What the SEC was investigating

According to Faraday Future’s Form 10-Q for the quarter ended March 31, 2026, the Wells Notices concerned purportedly false or misleading statements connected to the company’s 2021 private investment in public equity (PIPE) financing and SPAC listing. The issues described involved related-party transactions and Jia’s role. These were allegations under review, not established violations. The company’s filing identifies the notices and the matters they addressed.

TechCrunch reported in July 2025 that SEC subpoenas followed an independent board inquiry in 2022. That account is media reporting about the investigation’s history, not an SEC finding. TechCrunch’s report also framed the matter as a three-year probe; the company later described it more generally as a years-long investigation.

Key dates in the case

What a Wells Notice means

A Wells Notice is a procedural warning that SEC staff has made a preliminary determination to recommend an enforcement action or administrative proceeding. It gives the recipient an opportunity to respond before staff makes a recommendation to the Commission. It is not a filed charge, and it is not a final determination that the recipient violated the law, as Faraday Future’s Form 10-Q explains.

If the SEC had pursued the possible remedies described in the 2025 filing, they could have included an injunction or cease-and-desist order, civil monetary penalties, disgorgement, other equitable relief or an officer-and-director bar. Those were potential remedies, not penalties imposed. The later staff letters changed the latest disclosed position: staff said it did not intend to recommend an action based on information available as of March 18, 2026.

Did the SEC clear Faraday Future?

No. The disclosed letters say SEC enforcement staff did not intend to recommend an action on the information available as of March 18, 2026. They do not say the company or individuals were exonerated. The Division’s letter, quoted in the Form 8-K, states it “must in no way be construed as indicating that the party has been exonerated or that no action may ultimately result from the staff’s investigation.”

That is the careful distinction for investors and readers: the latest disclosed staff position is less adverse than a recommendation to bring an action, but it is not a formal clearance or a guarantee against future proceedings.
